The PR says current productions but I doubt Trump or any of the other products has a place in Dead Silence. But it will go a long, long way on Two and a half men. Charlie Sheen is our man.
I can bet you all one thing. All these, what was it now?? "Insiders"?? That sold all these 144 shares had to know the company was about to feature all of its products on National TV, in Hollywood movies, Trump Vodka in Madison Square Garden, full nationwide roll out, international roll out, record sales, a move to profitable earnings, and the target for potential buyout.
That's the perfect drink recipe for failure if ever there was one. I know most couldn't bear to enjoy that kind of success. They are much more comfortable staring at it.
Easy to see why they and others moved on.

I still don't know why people refer to these 144 sales as "insider sales." They are the furthest thing from it. These people have no inside connection to the company other than they were given shares in consideration of product or service. They cannot sell those shares for a specific period of time. None of them has absolutely any idea what is going on internally with the company. All they know is the stock went up and they have a chance to get paid. That's it. Nothing more. The only insider you have to pay attention to is Pat Kenny. You know, the one who just locked in 10 million shares for a minimum of two years as a vote of confidence the placement shares are far, far below where it will be trading at that time.
No "insiders" have sold any shares of this stock in months and months.
I expect to see it take off at any time. Next week they will file in advance of earnings announcing that incredible surge in sales for this quarter. Market makers always get advance word of a filing before the street does. They'll let a couple of hedges know so they can load up. That's what these guys pay big money for! Just like last quarter they found out when it was under a dollar and started loading up large before the news actually came out. So any time within a week of that news they'll start jumping all over it. Of course most will wait until it is already back over $3 to buy after they have already scooped the shares. Good thing is the daytraders will be forced to stop scalping. Every share they take off is one they are giving to those loading up and won't want to risk not being in it when they show up to move it. Should be well over a 2000% increase in sales.
Plus VFIN is gone. So that 144 crap is behind us. Not to mention every time this stock retraced 40%, it has bounced 66% to well over 200%. Does it matter which one? Current retrace stopped just below the Fib line. Good to go!
Only 12000 shares. Near as I can tell that is all it would take to put it at $2.42-$2.45. I think everybody knows what will happen from there.
Buy volume outpacing sell volume more than 2 to 1. Smart money realizing this is the bottom and the uptrend resumes now. Happened too many times not to happen here.

Well that is the point I was making Raw. All those other stocks have money managers ready to grab any and all cheap shares because they know the net effect is a huge positive. This stock has the float being controlled by regular folks. All they do is follow price. They just sell convinced it is going lower and as soon as they do it goes right back by them. Always when they have confirmation to be back in it is when the price is higher than they sold.Deeper pockets will gladly take their shares for a song and that will happen here.
Net effect of that entire PR is a 9% increase in accumulated deficit of $1.6 mil which means the company just added an additional $684K to its bottom line in net cash on taxes it won't have to pay on these positive earnings.
Everyone does know they are moving to positive earnings now right? I guess not by the way the board is paying so much attention to this blah blah blah.
Raw is correct. It's a non event. AAPL has had compliance issues for months on the valuing of options and the stock never sold off. In fact, it went on to set multi year highs. RIMM saw no sell off either. It's new news on an old problem. I actually view it as a huge positive to the stock. We knew when they hired the new CFO it was for the express intent of cleaning up the books and readying the company for a buy out. That appears to be taking form now. The only number of size is the AD number of $1,629,000. This stock took off from 75 cents to 3.50 on the soaring sales of Trump and the incredible turnaround for the company. Fresh money bought because the potential was untapped. The $17 mil in deficit was there and people knew it. What difference does it make if it is $18,861,951 now?? Absolutely none. In fact, yet another positive because the company will not have to pay any taxes on their earnings for quite some time. Sure I have concerns that the 144 sellers knew to take their money at higher stock prices. But it was as if they felt they would lose their shares and that isn't the case. The company will just pass the higher cost basis on to them. I urge the CEO to make right with them at the correct prices as now they are distinctly overpaid. The RIMMs and AAPLs of the world are held and managed by thousands of people that know cleaning up balance sheets is just that, a housecleaning issue. That's why they see no sell off and go higher. However, we don't have that kind of smart money on DKAM. In fact, it's just the opposite. We have people selling into the most oversold conditions the stock has ever seen on the eve of the best earnings report the company has ever had. Kind of like rushing to AAPL at $45 because people just couldn't bear to be in it before it went to $98 or selling RIMM at $52 because the pain was just too great to bear being in it all the way to $145. The numbers here are the best in the company's history now. Anyone who sells now I have to say good riddance to be honest. Everyone who plays by the charts knows you buy when stocks are oversold. Just like this market soaring yesterday because it was oversold. This stock is the most oversold it has ever been. One of the biggest liquor moguls in the world has been silently accumulating this stock. He doesn't care if it is $1 or $3. The old numbers are just that; very old no matter how you tweek them after the fact. This news has no net dilutive factor and no change in current earnings. It's a shame the 144's gave so many people a second chance to reap incredible profits. But hey, that's the market. Come next week, and it will be next week, everyone will get a glimpse of just what this company is capable of in this dramatic turnaround in sales. The comical part about it is I have no doubt somebody will jump up and scream, "Hey!! Wait!!! Stop!! Please don't take it to new highs, I'm not done selling at $2 yet!" or better yet, "Where are all these buyers coming from on this news of enormous sales? Don't they know this company just cleaned up its balance sheet to make it more attractive to be bought out? I sold on that news and now you have the audacity to pay attention to this great news instead of this old news that was actually great news?"
Questions like that you keep to yourself. That's the net effect here. Say them outloud and it is quite embarassing. When the dust settles, that's what everyone will have done.
Certainly a proud day for DKAM'ers when this is the stock they sell all week to cover their margin calls on the other POS crap they hold. They ought to be proud of themselves for selling this thing down to the same oversold levels it has always had meteoric rises off of. How conveneient going into the greatest news the company has ever had. Screaming buy. Thanks for the incredible cheapies!

That's just it. They have tried to get it for $165 million. Actually even tried for $300 million and the company doesn't think it is anywhere close.
All daytraders sitting on top dying to get out before it doubles in two weeks. Goota love their enthusiasm content to lock in their daily loss because the market that has never sold a single bottle of Trump was down 200 points. Guess they think the market will magically take away a 2000% increase in revenues and a profit for the quarter. I love seeing every one of their sells pop up because it is just one less of them that will make money.
Checking the top MMs the past two days. Give yourselves a pat on the back for being sheep. Only people selling down here at oversold levels are sheep one and all thinking you can trade this stock with the overall market. I've never seen such stupidity. Thank you to the ones that have sold. You will argue you haven't been trading it but you are. You just gave your shares away to people that will not sell until the company gets bought out.

As for those intent on staring at those daily penny prizes then look over the next hill. That NT10-Q gets filed around the 14th stating a mega revenue surge. Let's just say around 2500% because it's a nice round number. What if The Apprentice comes that following Sunday? Wouldn't that just be perfect timing? Then the actual earnings come out the following week. BOOOM! Why BOOOOM? Because we also will know how far ahead of estimates they are. Somebody sure lapped up all those 144 shares didn't they? Great way to get a lot of shares before a buy rating. Somebody should have already posted that the company has had over 1000 requests combined to run advertising campaigns, promotional and cross promotional campaigns, initiation of coverage, and product expansion. Right? That came from PK himself. Just call and ask if you wish. And of course, those ever elusive offers. How many isn't the question but how much. Not enough yet that's for sure!
The filing is a D filing from Feb. 12. The company placed some additional 506 "restricted shares" with a/several private party(s). They have the right to do it this way. Unless somebody goes to the SEC we won't know who it is or how many shares. It also doesn't affect the common. They won't be dumped on the market for quite some time. The proceeds go directly to cleaning up the balance sheet and making continual inroads to making the move from OTC to Nasdaq. It's a non event. I'm going back to bed. See you at $5 after earnings. You're gonna love it.
D. Regulation D
Regulation D establishes three exemptions from Securities Act registration. Let's address each one separately.
Rule 504
Rule 504 provides an exemption for the offer and sale of up to $1,000,000 of securities in a 12-month period. Your company may use this exemption so long as it is not a blank check company and is not subject to Exchange Act reporting requirements. Like the other Regulation D exemptions, in general you may not use public solicitation or advertising to market the securities and purchasers receive "restricted" securities, meaning that they may not sell the securities without registration or an applicable exemption. However, you can use this exemption for a public offering of your securities and investors will receive freely tradable securities under the following circumstances:
You register the offering exclusively in one or more states that require a publicly filed registration statement and delivery of a substantive disclosure document to investors;
You register and sell in a state that requires registration and disclosure delivery and also sell in a state without those requirements, so long as you deliver the disclosure documents mandated by the state in which you registered to all purchasers; or,
You sell exclusively according to state law exemptions that permit general solicitation and advertising, so long as you sell only to "accredited investors," a term we describe in more detail below in connection with Rule 505 and Rule 506 offerings.
Even if you make a private sale where there are no specific disclosure delivery requirements, you should take care to provide sufficient information to investors to avoid violating the antifraud provisions of the securities laws. This means that any information you provide to investors must be free from false or misleading statements. Similarly, you should not exclude any information if the omission makes what you do provide investors false or misleading.
Rule 505
Rule 505 provides an exemption for offers and sales of securities totaling up to $5 million in any 12-month period. Under this exemption, you may sell to an unlimited number of "accredited investors" and up to 35 other persons who do not need to satisfy the sophistication or wealth standards associated with other exemptions. Purchasers must buy for investment only, and not for resale. The issued securities are "restricted." Consequently, you must inform investors that they may not sell for at least a year without registering the transaction. You may not use general solicitation or advertising to sell the securities.
An "accredited investor" is:
a bank, insurance company, registered investment company, business development company, or small business investment company;
an employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million;
a charitable organization, corporation or partnership with assets exceeding $5 million;
a director, executive officer, or general partner of the company selling the securities;
a business in which all the equity owners are accredited investors;
a natural person with a net worth of at least $1 million;
a natural person with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year; or
a trust with assets of at least $5 million, not formed to acquire the securities offered, and whose purchases are directed by a sophisticated person.
It is up to you to decide what information you give to accredited investors, so long as it does not violate the antifraud prohibitions. But you must give non-accredited investors disclosure documents that generally are the same as those used in registered offerings. If you provide information to accredited investors, you must make this information available to the non-accredited investors as well. You must also be available to answer questions by prospective purchasers.
Here are some specifics about the financial statement requirements applicable to this type of offering:
Financial statements need to be certified by an independent public accountant;
If a company other than a limited partnership cannot obtain audited financial statements without unreasonable effort or expense, only the company's balance sheet, to be dated within 120 days of the start of the offering, must be audited; and
Limited partnerships unable to obtain required financial statements without unreasonable effort or expense may furnish audited financial statements prepared under the federal income tax laws.
Rule 506
As we discussed earlier, Rule 506 is a "safe harbor" for the private offering exemption. If your company satisfies the following standards, you can be assured that you are within the Section 4(2) exemption:
You can raise an unlimited amount of capital;
You cannot use general solicitation or advertising to market the securities;
You can sell securities to an unlimited number of accredited investors (the same group we identified in the Rule 505 discussion) and up to 35 other purchasers. Unlike Rule 505, all non-accredited investors, either alone or with a purchaser representative, must be sophisticated - that is, they must have sufficient knowledge and experience in financial and business matters to make them capable of evaluating the merits and risks of the prospective investment;
It is up to you to decide what information you give to accredited investors, so long as it does not violate the antifraud prohibitions. But you must give non-accredited investors disclosure documents that generally are the same as those used in registered offerings. If you provide information to accredited investors, you must make this information available to the non-accredited investors as well;
You must be available to answer questions by prospective purchasers;
Financial statement requirements are the same as for Rule 505; and
Purchasers receive "restricted" securities. Consequently, purchasers may not freely trade the securities in the secondary market after the offering.

Here is the word. There is no Super Bowl ad for them. They will be on The Apprentice before season 6 ends as an insert. That will lead to more huge sales. Hedge funds in Europe are buying when they found out another huge drinks conglomerate is looking for an "in" to the specialty drinks market. They want three specific products that they cannot brand as their own. Trump is one of them but the other two run them up against the premier players in their space. Two hedge funds have been monitoring every shipment of Trump Vodka coming out of Holland and it has one huge player in their space buying the stock up to make an offer for the company. As long as these solid numbers are out there, every hedge fund that played FRPT is moving over to DKAM as the play for 2007. They want a piece of the float that has dropped from 18 mil to 10 mil in the last month because they know something is up for significantly higher prices down the road. "

As far as those control states go, I called about three weeks ago and couldn't get too far. A good friend in NC stopped by about 12 different ABC stores and every single one of them said they had had many requests for Trump and they didn't have it. Every bar and every restaurant she has been in she has asked for it. They all have said they've had requests but cannot get the product. A call to the State Warehouse in Raleigh did not yield much in results. The pdf from their website does not have it on their Feb 1 price list but that was put out in November. Finally a spokesman for ABC said you could expect to see Trump Vodka at any time and could be included in a revision. I didn't get a chance to check on Ohio. Simplest now would be to check with Drinks directly.
Tells me also that every single person everywhere should do the simplest form of advertising going. I don't care if it is Applebees, Olive Garden, Capital Grill, Ruth Chris, your local pub, grill, bar, it doesn't matter. Just ask when you get there if they have Trump Vodka. Most will say no and then tell them it's the new rage and they need to get it immediately. A comment like that from one person to a bar manager sounds like 50 people want it now and are ready for you to pour another.
