Only thing is-- The company says they will buy "up to 100 mil shares"
So they could buy 1 share and say that's all we're buying and still fulfill the PR.
Just so everything is clear- Not a great PR by any stretch- Next week unless PBLS offers some clarity to shareholders you'll see a real test of the supposed floor. IMO-
Hey ric! I think this one may be a keeper- at least so far . I like the fact that I can actually see some financials and looks like they are much further along in the process of moving up to a better exchange. Trying to find out more specifically about cost of materials- [ I know in some areas, like Tarpon Springs 2 years ago, the state actually paid companies like GRGR to remove the tree debris from local properties and roads.] My question is is there enough "waste" wood for the company or do they at some point have to basically buy lumber to process. Nice to see you here- hope all is well in your investing world- [and living world!]

House flipping -- buying a home and reselling shortly thereafter for a sizeable profit -- was a popular activity of real-estate speculators during the heyday of the housing boom. Those days appear to be over in many parts of the U.S., but in hurricane-ravaged New Orleans, it is a growing occupation, says Bloomberg.com. About 100,000 single-family homes were damaged by last year's storm season, and now, renovations have begun on 34,000 houses, the Web site says.
One local flipper, who plans to make a living renovating and reselling New Orleans-area homes, says he can make a gain of 80% for three or four months of work on each residence, the article says. "If you're a regular person who knows how to swing a hammer, opportunity is jumping up and down in New Orleans," the Web site quotes one local real-estate broker as saying. Small-time handymen and speculators aren't the only ones getting into the act -- Home Depot Inc. has opened a few area stores in response to demand for construction materials, and home-builder KB Home is building houses in the region.

Just a shout out to Mthead- thanks for heads up on this started to do my DD last night and looks promising here- Will try and share some info later next week.
What you just mentioned here is what I would hope to hear about soon- I would think if PBLS can possibly centrally locate some or all of their busineses- they could save a lot - of general overhead [ insurance- utilities- rent- etc].
Same personnel wise- not sure if there are any overlapping jobs or obsolete jobs as the companies get assimilated.
Lots of angles to look at/for.

I'm in Tampa and just the opposite is happening--[ I realize that NO is a very special situation]. For the last 3 years apartments we're being turned into condos as fast as they could get rid of the tenants- now I've noticed even a large hotel chain converting there motel units into apartments . Seems a lot of peope who sold there house during the incredible runnup are now renting and waiting to buy a house or condo until the bottom [ whether it comes to pass or not] is in. I sold my house this May and actually doubled my money and was very lucky to get out when I did. imo- the realestate market is nearly dead and this is supposed to be the peak selling time with school being out etc. My point is that the dynamics of realestate and realestate investing is changing very rapidly and " past results are no guarantee of future results"
I guess PBLS could always turn the condos into rentals if need be.
Maybe NO is going to become a new las vegas type gambling mecca and so price will rebound nicely! You probably have a better answer than me to NO's future- .
I wonder what it costs to insure new buildings and business's in the NO area- I know Tampa has increased 4 fold in 2 yrs with many business's actually being dropped from coverage altogether. Housing is even a crazier mess- If I knew anything about south Georgia realestate I would be investing in land that will house Florida business's heading away from Florida's sudden;y unfriendly business enviroment! imo
I certainly think Paul and company will definately run the company and get rich [ likely they are quite wealthy already]
And I think there is lots of money to be made in NO- Just very doubtful about $400,000 condos in a market that has lost roughly half its population and is in a real transition.[ actually the entire housing market- is in for a real shock imo]
I get nervous when insiders own so many shares and also when there are a lot of preferred shares in place.
I also know a little about the oil business and even have a royalty well in WY along with many in OK and TX and NM . And while the rewards can be staggering the costs of drilling can run through millions of dollars very quickly. I would have preferred to maybe grow the business more slowly and concentrate on the NO area first and then branch out- but I also understand how when opportunity knocks sometimes ya gotta go for the gusto!
I have spent a lotta time trying to DD the company because like everyone else in stock market world ,I'd like to be in on the ground floor of the next big thing. And hopefully if PBLS is it- I'll realize it in time to benefit- until then I wait for more clarity and apreciate any info that is shared!

If a dividend is part of the contract on the preferred it is a debt.
I own BAC stock . I recieved a dividend check today for .50/share [ well actually it will be mailed out today].
Each qtr. BAC isuues a dividend to its shareholder but it is not obligated to pay a dividend each qtr and can change the amount or even suspend the dividend at any time if business conditions warrant it
Read how PBLS preferred dividend works- if the person wants he/she/it can recieve the 6% dividend forever before and after the 60 months- that means to me that the deal wouldn't be completed without that provision- If PBLS has a choice to suspend dividends if business conditions warrant it- that would be a true dividend.

That's the problem without having the details. I'm anxiuos to see what all the former employees and owners of said companies are being paid . I think most will be drawing salaries and have yet to hear of any layoffs from any off the aquired businesses.
But you are absolutely right- I am assuming a lot. and we all know the old grade school saying about never assume anything.
I didn't notice "presently" in your former post and if everyone is being truthful- "Presently" no one knows the details of any of these deals until the company releases them. And I beleive paying 6% interest[dividend] quarterly is certainly akin to having borrowed money. But everyone has a different opinion and I thank you for yours-
The detailed terms of acquisition that the Company would normally be releasing at this time have been limited by certain agreements with the sellers of TCB, but Phoenix can disclose the purchase price paid for TCB and its first acquisition in the Greater New Orleans area is in the low 8 figures.
The purchase amounts were paid in cash and preferred shares, and owner of the preferred shares has the right to put the preferred shares back to Phoenix for cash at any time after the fifth anniversary of the closing, or to continue to hold the preferred shares and earn a 6% quarterly dividend

The Company has indicated that the total purchased price of the three companies was set at $4.125 million, structured as follows: $1.25 million in cash, 2.5 million shares of restricted common stock of the Company at $0.05 per share, and 275,000 shares of PBLS preferred stock at a par value of $10.00 per share, paying a 6% annual dividend, to be paid quarterly. The holders of the preferred have the right to put any portion of the preferred back to the Company at any time after 60 months for cash. In addition, both Mr. Bolton and Mr. Henley have entered into five year employment agreements with the Company.
Like I said before the devil is in the details- and since the details aren't public I choose to be more conservative.

I understand that and even mentioned that yesterday in a post- My point is PBLS has borrowed money - [in reference to pnew's post ] and I think paying interest quarterly on a note is also considered debt. As far as knowing about other financing - all I "know" is what the company releases.
Remember when PBLS finally finished aquiring pro-gas they mentioned they were in the process of putting aquisition details, share structure, etc on the ocbb site along with PBLS own. now 7 months later we are at the " very close" phase. I'm sure I'm not alone in hoping the very soon phase is a matter of days .
And I agree that settling the debt was a smart capital saving move- but as always I will be anxiuos to see the details.

Absolutely- the best buyback PR from PBLS would be done after they had bought back x amount of shares and the explained that they have been retired to the treasury- ofcourse we'd have to have an ugagged TA too.

The problem with the restricted common is we don't know the specifics. What is the restriction and are there strike prices or triggers that allow for sale of stock if certain restrictions are broken. The devil is always with the details IMO. Also if one wants to play both sides of the market- using restricted shares is a nice cushion if one goes short after a run. For as many businesses as PBLS has aquired or has interest in- I'm amazed at how little public info is available-
The 100mil buyback offer is a double edged sword imo- PBLS says up to 100mil at .03 but that means they could theoretically buy only 1 share and fulfill that promise- on the flip side it tells an average investor on the street that PBLS is presently valueing it's company at .03/shr- which isn't a resounding endorsement.imo.
I guess in the company's defense is that if they aren't going to honor the buy back- they could have said- we'll buy back up to 100mil shares at .10 to boost the price and then again only buy one share. Not sure how the securities act actually works on companys good faith offers.

OT-Hi, If I remember you are in Louisiana,? If so it's probably a green tree frog- the males make a real annoying squawk when the barometer feels like rain or if they hear thunder or loud noises. If you heard the noise higher up it would likely be a barking tree frog or a cuban tree frog. Here in Tampa the green tree frogs can really keep you up at night! The males are trying to let female frogs in the area know that they are available for stud services at any nearby puddle or pond.
