Winsted Holdings, Inc. Signs Letter of Intent to Acquire a Majority Interest in MultiCom One, Inc.
Northfield, Ill. Winsted Holdings, Inc. (OTC:WNSH) signed a Letter of Intent to acquire a majority interest in MultiCom One, Inc. ("MCOI"), a Diversified Telecommunications company specializing in providing 4th generation communications capabilities including fixed and mobile WiMAX broadband solutions and various IP applications to residential, small and medium businesses, home land security and public safety organizations, schools, local and state governments, with a core focus on the hospitality, condominium, and planned community segments. Winsted CEO Frank Manzo stated, "I am excited that we are beginning to execute our contemplated business plan and that the first Company to announce is one that has timely and exciting possibilities in the telecommunications field. MCOI has audited net assets of $2.0 million and has presented an exciting business plan to us.

Penny stocks are the bottom of the barrel, but it's the leverage play we all hope for. Doesn't always work out becuase there are so many crooks in penny land including those who run the penny companies, but every once in a while you get a lucky hit. For the record there have been plenty of penny plays in the past that had very large float's which ran hard, we are just hoping WNSH will be one of those exceptions.
Unfortunately the only thing we can do is wait, and hope that we nail a good one here.

Interestingly I had Level II up at the time I placed the buy order online, and at the exact instant when I pressed the buy button, the shares went right through on Level II. It went so fast it almost looked like they filled my order before I hit the buy button.

Just as well, when they are all flushed out we will move higher, and then they will be chasing a runaway locomotive to get back in. That should be fun to watch.
There are probably some flippers out there as well, but churning a stock from .0003 - .0005 after commissions and taxes is a really tough way to make a living.

NORTHFIELD, Ill.--(BUSINESS WIRE)--Winsted Holdings, Inc. (Pink Sheets:WNSH - News) Creates new subsidiary, announces spin-off shares.
President and CEO Francis Manzo announced the creation of subsidiary Winsted Acquisition I, Inc. as a Nevada corporation. The new subsidiary will acquire and initiate companies related to the food and beverage industry. As part of the corporate plan the Company intends to distribute shares of the new subsidiary to current shareholders. Shares distributed will be on a pro-rata basis under Rule 144. The Company intends to distribute shares in the subsidiary at a share ratio to be determined. The dividend date is yet to be determined. The Company will begin the necessary regulatory filings to begin the process of the spin-off.
Winsted Acquisition I, Inc. will be spun off from Winsted Holdings Corporation as a separate corporation and will file a 15 (2) 2-11 upon the spin-off in order to achieve trading status.

Try to shift your focus away from the share buyback, that can take up to 12 months to complete, you could be waiting a long time, lol
Try to concentrate on the business plan of the present, that's where the money is.

Well I've gotten over my hissy fit...
As far as the last PR is concerned, I'm still not crazy about it but hey, the show must go on. One thing I do find very intriguing when looking at the big picture here is, Frank has announced a first share buyback and he has also announced a first spin-off. This definitely indicates there are more to come, I like that a lot, hopefully Frank is just getting the lower priority things out of the way first, and bigger and better things are yet to come, I think there is a good possibility of that happening.
Where this could really start to get interesting is if you look at the spin-off called Winsted Acquisition I which is a subsidiary of WNSH. Winsted Acquisition I can begin acquiring multiple companies under itself, and then Frank could for instance, announce something like Winsted Acquisition II as another spin-off subsidiary which could also begin acquiring multiple companies as well. Following this pattern the upside potential is literally endless for WNSH shareholders. This could begin to look like a giant octopus over time.
I must say I am very intrigued by the direction Frank is taking, it has the look and feel of a big board type of operation, yet we are down here in the Pinksheets "for now". We still need more information to get a feel for where we are going, but we are getting new information every week, and Frank has begun submitting SEC filings to get us compliant again. Add in the fact there will no R/S or dilution type strategies implemented and it's very tough to make a case where you can find another Pinksheet company that can make the same claim.
I'm hanging tight to see where this thing goes, the business plan in itself could be telling us a very big story here, we will see.

I'm not intentionally trying to rattle anyone's cage believe me, I want all of us to hit the mother lode as much as the next guy. But if we're being played here I think we all deserve to know that as well.
I've been a real estate investor for a number of years and it is very rare that different companies share a suite, it's not unheard of but you don't see it very often if at all.
On the other hand we can just go with the MOMO
