Yes- It is taking a long time for Niocorp to get financed, but also for UURAD!,TMRC! & REEMF!!!! (Of those four U.S. based REE prospective mine sites only Niocorp & TMRC are "shovel ready!! permitted etc.!!" ) All of these prospective mines have been around for a long time! (LOOK UNDER USGS reports!)

I'm a lil investor, but I am happy with what I see from the company moving into 2021. Each investor has to make their own choices & do their own DD to decide what is acceptable for them moving forward.

No patents have yet been filed as part of this effort, as our work to date has focused on tried-and-true metallurgical techniques to produce aluminum-scandium master alloy. This helps to reduce the technology and execution risk.

NDAA 2021 Veto overridden & passed by a vote of 81 to 13
Bill becomes Law.
Legislative language related to critical minerals production in the bill includes the following provisions:
• The bill highlights the need to establish a U.S. production capacity for niobium oxides, which are used in the production of niobium metal and in optical and electronics applications. In Title VIII of the Committee Report to accompany the bill (H.R. 6395), passed by the House Armed Services Committee (HASC) (which can be seen here), in a section entitled “Secure Supply Chain for Niobium,” the Committee directed the following actions be taken by the U.S. Department of Defense (“DoD”) on niobium oxides:
“Niobium oxides are important for defense and commercial applications. Recognizing this, the Department of Interior deemed niobium as one of 35 critical minerals vulnerable to supply chain disruption, the ‘absence of which would have significant consequences for our economy and our national security.’ The U.S. imports niobium from nations subject to political pressures and instability, which creates risk for supply chain disruption.
“Accordingly, the committee directs the Secretary of Defense to brief the House Committee on Armed Services by February 15, 2021 detailing the actions necessary in order to establish a domestic production capacity for niobium oxides. The Secretary should consider leveraging established critical mineral supply chains, including niobium’s twin element tantalum, to provide needed supply chain security.”
• In the Committee Report, the HASC further highlighted the strategic importance of niobium, the rare earth elements (which include scandium) and other critical minerals. It directed the DoD to report on … "the state of the domestic supply chain, economic importance, risks associated, and availability of rare earth metals, including tungsten, neodymium iron boron magnets, niobium, indium, gallium, germanium, and tin. Thanks monocle... Both sides continue to play games; It will just take a little while longer! There is too much at stake for the U.S. not to pass this bill. Our military & national security to me is important to keep unity & coherence especially since we just got "###CKED" by cyber warfare! Regardless of motive, to me: "This is a positive move for Niocorp moving forward & I am happy with the addition!" We can speculate amongst ourselves lol!
(Obviously our team cannot comment on anything in regards to finance (or let anything out of the bag), but we can speculate amongst ourselves. Many have done so already, myself included.)
There was mention of a "Term sheet" during the AGM. An Investor/or Investors would have to agree to a "Valuation" of Niocorp moving forward. We could speculate on the valuation, the number of shares/ of preferred shares that may be added, Who is involved, will Niocorp finance the traditional way, or the "creative way", Countries involved, end users, Banks, Govt loans or guarantees, etc... Many here have been doing so all along & it's been fun & educational.
Even if many of our predictions come to naught, I've learned some cool things along the way from the perspectives of many on the board.
I've been critical of Niocorp at times, as well as cheering them on.
I'm waiting for the NDAA to be finalized first, then sometime in April, hopefully sooner M.S. & the "red shovel" should reappear???=) "I hope." I'll be getting a bit antsy by then...

executed?" IMHO Fernanda Fenga compliments our team in that respect. Her resume tells us she has U.S./Brazil & European connections & has "Closed" Billion+$$ deals. All speculation on my part! I can understand & respect that other folks may have different opinions on the matter. Advocate's idea/thought however, doesn't float.
I wonder if the "Term - sheet" mentioned in the AGM has an end date or time frame associated with it? I wonder what "valuation" Niocorp was given?

I've been reading a bunch of articles on SPACs , etc.... here is some of what I've looked at. "I'm not an investment guru lol, hoping some others onboard can chime in anytime". From what I've been reading so far it is a "creative" way towards achieving finance and "May" be in play??
Again I suspect to myself still the NDAA passing does hold some merits , but a SPAC is interesting to me here as well; we shall see...

NIOCORP's "creative financing" will be interesting to see play out. I think we've all hit on the many possibilities now moving forward. All we can do it watch & wait... our Niocorp Team is "on it!" per AGM & recent addition to the board.
Reverse IPO,SPAC, funding sources from governments, private finance conglomerate, Large Bank, Global ties or connections, Different Contract Languages, End users, Strategic Supply, NDAA passing?, Possible merger & or name change? (left out some I'm sure =))... "No wonder it's taking so darn long not to mention Covid & KYC rules LOL!"
PM nice posts!.... Those ESG commitments are going to be the "NEW NORM" for the investment community seeking out the best & safest sources moving forward. "Carbon Capture & CO2 reducing commitments" will also play a role too, I think?; and garner top dollar for their production!

Kmack- non of the other 4 REE mining plays in the U.S. have gotten a completed finance package to date. All have been around a long time easily since 2010 & have progressed the only way they can -(U.S. turtle speed!)
1) Niocorp- NIOBF: partner?/ shovel ready/ .60/share/
2) Texas Minerals Resources- TMRC: partner USA rare earths/shovel ready/1.66/share
3) Rare Mineral Resources- REEMF: partner General Atomics/ need permits/ $1.05/share
4) Ucore - UURAD: partnered to build separation facility/ need permits/ mine a ways off! /.70/share
It sucks just as bad for every shareholder in each one of these plays. I guess you don't see what many others here do in regards to Niocorp? I really do think all 4 plays above will come to fruition in time... Some are "Closer" than others LOL!=)
Don't forget it will take @2-4 years (depending on project & once/if) any of these get a finance deal for them to be built & start to produce.

1. Theme, context, objectives and scope
The work proposes to study the acquisition by the Brazilian company Petróleo Brasileiro S.A -
PETROBRÁS (“Petrobrás”) of the Pasadena refinery (“Pasadena”) then belonging to the Belgian group
Astra / Transcor (“Astra”). The main theme will be the analysis of the company's corporate governance practices
Petrobras from the acquisition to the present day in order to identify the relevant factors that
culminated in the failure of this model, such as: government interference; structure of
composition and functioning of the Board of Directors and other management bodies
(Fiscal Council, Executive Board and Committees); issues related to conflict of interest and conflict
agency. Therefore, it will be necessary to understand the corporate governance model
implemented by Petrobras in detail and in depth.
The research object of this project will analyze the entire business arrangement, the approval of the operation
(acquisition of Pasadena) in the various administrative and internal bodies of Petrobrás, the reports
prepared by the independent consultants and the internal team, the actions filed by shareholders
abroad and in Brazil, the denunciation agreements signed, the complaint of the Federal Public Ministry to
two
managers of Petrobrás, the relevant facts published by Petrobrás, its financial statements
financial statements and management reports.
The study aims to understand, in the specific case, why the governance structure
corporate governance was not effective. The study aims to demonstrate the flaws and weaknesses in the model of
Petrobras' corporate governance emphasizing the reasons that originated them, the warning signs
that could have been observed by the management bodies (Board of Directors,
Fiscal Council and Committees involved) by the authorities and by external audits. It is intended
identify whether the governance structure implemented was in fact a failure or, if effectively, not
followed and adopted by the parties involved.
The work will analyze the changes implemented by the company in the governance model,
from the acquisition of Pasadena to the present day, to identify whether the modifications resulted from
legislative imposition (Law No. 13,303 / 2016 - Law on Liability of State Companies and imposition of
CVM standard) or were adopted spontaneously to repair any identified deviations.
In this context and as a result of the study, a reflection will be made on the effectiveness of
corporate governance as a mechanism to inhibit fraudulent practices. The objective of the study will be,
based on the lessons that can be drawn from the case, identify how good governance practice
it can generate benefits and positive impacts for organizations in the fight against corruption. It will be done
critical analysis as to the effectiveness of changes in the governance model adopted by the
Petrobrás. The work will propose conducts and alerts that may be adopted by the
companies to mitigate the risks of failure in the governance system. Finally, based on the conclusions
extracted from the Pasadena case, it is intended to identify whether the best governance practices are, in
effective to prevent and mitigate fraud and corruption.
2. Justification of practical relevance and innovative potential
Recent episodes of corruption in listed companies1
, which would have high standards
corporate governance, lead us to question the effectiveness of the corporate governance system
as a mechanism capable of preventing and mitigating fraud and corruption practices. The case of Petrobras,
object of the case study, is paradigmatic in that Petrobrás was taken as an example and

international model of sound corporate governance practices2
. The advancement and sophistication of
corporate governance practices adopted by Petrobras were not sufficient to avoid decisions
contrary to the interests of the company itself, nor to avoid cases of fraud and corruption.
These scandals generate several impacts for the companies involved, their stakeholders and
for society as a whole. As with the collapse of Enron, the Pasadena case
and all other corruption involving publicly traded companies will necessarily bring
discussion of the issue of the effectiveness of corporate governance rules and mechanisms. In case
specific to Pasadena, it is estimated that the outcome of the entire negotiation and governance failure
resulted in a disbursement of approximately USD 1,245 million

The loan end date to M.S. Dec. 15th 2020 & now also Nordmin Dec. 18th 2020 pushed out to Dec. 2021 tends to make me believe the following & IMHO-
a) The Niocorp team was planning on getting something big done before the Dec. 15th 2020 end date, but due to "current events" was taking more time. (evident from listening to AGM Nov. 5th 2020)
b) The NDAA 2021 was also supposed to be approved prior to Nov. 3rd election, but has also dragged out. Now even if vetoed should pass by early Jan. 2021 or earlier. (again this is speculation on my part that perhaps there is something "there" included within this bill that has a bearing on finance either directly or indirectly???, or indeed it may have no bearing at all!!)
c) Covid world wide... Major delays to all parties
d) Why bring on another "head to feed" i.e. Fernanda Fenga & kick in stock options to boot? (seems like a message sent here by management?)
