Wording actually says mid-December. So that gives even more lee-way. I would expect news before Christmas of the closing. Don't know why I thought it was the 15th. GLTA
I thought the deal was to close by 12/15? That means a pr can be issued a couple days later. PR is not usually on the same day. I've worked for years in IR. I'm just saying--it may close on 12/15 as stated, but we might not hear about it for a couple days. So just be prepared for that scenario. GLTA.
Damn - this where I would add. Don't know if I can clear funds fast enough. Don't think it stays nearly this low again. IMO
But it's possible and likely they won't pr it until a couple days later - I'm thinking end of next week, but who knows? I'm just saying I doubt it will pr'd on the day of the actual closing. If it closes the 15th, expect the pr by the 18th. Cheers~

Good points. If we are at the same share structure in another week or 2, absent any news, I will update with some of the info. you have provided. At least it seems like what I have generated is a decent ballpark figure. To me, it seems like even if they sell for .40 cents, they are getting a lot of "potential on the cheap." I believe there were some biotech buyouts in the last couple years for 3x - 4x the closing share price as there was a huge disconnect between the shared price in the distressed companies and the value of the assets. Could be a pipe dream for us, but can this really be bought out for under 30 cents (without major further dilution)? I guess we will know sooner than later. GLTA.
Ok - here are my calculations of potential market cap. at various share prices, influenced by options/warrants. In the first section, I show how I derived these numbers, and in the second section, I show the market cap. calculations. Let me know if I am missing anything glaring. I rounded numbers here and there, but am trying to get valuations in the event of a buy-out. Also, with the warrant exercises, it may not be all that dilutive in a buy-out, as the company will get proceeds from the exercise minus some costs, so shareholders might recoup some of these monies. I'm really hoping we get an offer in the .35 - 60+ range, but hey-that's hope for you. GLTA.

Would anyone mind taking a crack at Cortex's market cap./shares outstanding at the price levels listed below? It's a least good exercise at attempted valuation I believe there are warrants at ~ .26 & .34 that could be exercised when those levels are reached, however wouldn't the company receive those monies in event of a buy-out anyway--which would not essentially dilute, too much (taxes, etc.) the buy-out cost? (FWIW - I believe some of these warrants may be able to be voided by the company if it maintains a price of .53 cents for 20+ days) Just trying to grasp what is feasible. I'm thinking this could be valued anywhere from $12 million to $55 million for a buy-out, but who knows? Thanks & GLTA.

These things ALWAYS take longer than everyone expects, yet everyone still expects them to close within certain timeframes, and I am talking about the people working on these deals--not the shareholders. At least this is what I have experienced working for small biotechs. Of course, sometimes the deals unexpectedly collapse altogether (which is why IMO it was prudent to delay unblinding of the data), other times they close WAY later than anyone imagines. In my experience. We will see. GLTA.
I am definitely looking forward to the Q&A w. James Ray. Will go along way to lending credibility to this enterprise. Volume is almost unreal today. Any positive news, the MM's could really let this run past .06. Yet, we're still stuck here. GLTA.
Higher lows throughout the week and closed near the high on Friday. Looking like it could gap on Monday and run multi-days. Could double or triple if the broader markets can turn gree. I think Stock Guru is one of the better ones (associated with BoldStocks) as far as promoters. This is IR/marketing on the cheap for a young company. These guys create decent profiles and get investors interested, so I think it is $$ well spent. IMO

Anyone talk to mgmt over the last week? I know a few people mentioned they were no longer in mgmt's good graces. Since I posted my email exchange a couple weeks ago, I was wondering if anyone had spoken to mgmt--to at least gauge if they are still upbeat or not regarding a deal? Or is everyone now "cut off" and in the dark? I hope not. GLTA.
Timeline thoughts... For what it's worth, at the Rodman conference MV said that "I would anticipate one of these deals" being closed in the next "30-45 days." So, truthfully, there is a little more wiggle room than I thought. I just re-listened to the presentation for the ~ 6th time.
I think sellers will outpace buyers if no deal announced over the next couple weeks. I'm over-invested here already, but will look to add under .1925. Downside, with further dilution may be ~ .10 - .12 cents, I wince at the thought. Upside, with financing etc, short-term could bust over a dollar. The last year has seen so many left for dead biotechs suddenly run meteoric with even modestly good news. I list some if you like, some of which, even now, I think have far less potential than Cortex. Cortex does have a bunch of irons in the fire as far as drug candidates. If they can clinch a deal or two or three, this will leave the .20's far behind. Obviously, you are all too aware of what can go wrong too. GLTA.

Absolutely. That's part of the responsibilities of IR. Message monitoring, information mining, etc. Standard IR practice. But doesn't mean they read every single message.
My impression was updates are coming week, but it's only my impression that's all. I will also be disappointed if they don't address the O/S. At least they did provide some news this past week, though it may not be the news everyone is hoping for. News flow is important, esp. for early stage companies. Even periodic updates, it at least shows management is paying attention to cares about/is afraid of shareholders. Some small stage companies go months without updates. That just plain sucks, leaving holders out to dry for the short-term. I appreciate the updates even though people may harp that is nothing groundbreaking. Also, remember, the meeting with IR was just this past Thursday, some new information was presented. It may take a few days to digest and communicate the progress. You don't always just spit out a PR the moment something new hits your ears. (generally speaking). GLTA.
DD: Spoke with IR again today. I was on the road so couldn't post until now. The outstanding questions I had of greatest prominence were 1. Why is O/S increasing in face of buyback
2. How are transactions progressing
3. General state of affairs/progress
Appreciated the call-back from Jose at Equititrend. I find his straight-forward and frank, doesn't try to answer what he doesn't know/isn't sure of.
CEO Dean Bradley visited today and brought a VIP guest from the first potential transaction company. I did get a few more details on this, but will not say to much, because it is not a done deal, but it sounded promising. I will say that the person brought in, not personally identified to me, is said to have strong credentials in the industry.
As for the O/S, Dean is said to provide more details in "very soon." Anything else we can take from this is just speculation, though it is a kick in the shins to see it without further details. Though, as I've said, the A/S is still modest.
Dean and the guest exuded confidence, deals are progressing, though I'm not sure anything has been signed yet. IR wouldn't be able to tell me if it was anyway as that is something that would first have to be announced through a public release anyhow.
Hopefully, we'll have something more concrete to wrap our heads around this coming week.
Heartened to see the volume didn't rise above a dozen million or so the last couple days of the week--that's about where it should be for this stock. More positive news flow could send this one bursting up through, what I see as thin ask on L2. Enjoy your weekends and GLTA.
