Even though I do think the financials greatly improved in the annual report, I really wish I could go back to October and sell my shares. Now we are just stuck here in the dark for who knows how long. Fool me once, shame on you. Fool me twice, shame on me. 🤦

My thought was if enough shareholders, aka OWNERS of the company as you said, bombard him relentlessly, maybe he will make a public statement as to WTF is going on. I have a lot invested here based on a very promising 2022 press release, as do many others, and I am beyond unsatisfied as a shareholder, aka part owner of the company.

Not my expertise, but as far as I understand, restricted shares cannot be purchased. They are issued directly by the company as insider compensation or debt repayment. They cannot be sold until after a set period of time, usually between 6 months - 2 years.

The fact that he accepted restricted shares as payment for "services" (whatever that means) eludes that he must have some vested interest and confidence in the company's future.

Agreed. My only interest from the 2023 annual report is the near total elimination of convertible debt and long term liabilities. Shell or not, clean books allow forward progress.

Based on the definition, it appears to be an OTCM discretionary designation based on the fact that there is no revenue yet, which we already knew. At least it means they reviewed and accepted the annual report.

Yeah, the filings were a mess last year. They were still revising the spring filings in the fall. But, the fact that they filed this year's annual early is promising.

I noticed that Ilan Freeman not only hasn't sold his 200,000,000 shares from years ago, but he also took another 18,000,000 restricted shares at .0007 in October for "services". Which means, he is somehow still involved and must have a positive outlook. 🤷

"The exact filing dates depend on the organization’s fiscal year, but it is necessary to file three 10-Q reports each year. A 10-Q for the final quarter of the year is not required: A company files Form 10-K, an annual report, instead."

Agreed. It appears all of the dilution between November and February was paying off old debt and clearing the books. Not the CEO lining his pockets or dumping shares.

Haven't read the whole report yet, but at a quick glance, I see one of the old notes is gone. I'd be willing to be my whole pile of shares the other note is gone on the Q1 2024 filing.

It's definitely been a shit show thus far, but at least the amount of dilution has been pretty minimal compared to so many other tickers over the last few months.

Until proven otherwise, I'm still going to assume the 800 million shares was to clear the books of old debt.

If so, not a bad thing.

If not, then FML.

I finally hit my breaking point of frustration and anger last Thursday when this hit 0001/0002, which many predicted, but I never believed would happen. I no longer know who/what to believe, and I am done defending this company and it's (lack of) actions.

That said, there's still one glimmer of hope I keep going back to. People have been threatening a maxed out OS (5 billion shares) followed by a reverse split for over a year. Yet, here we still sit at 3 billion outstanding shares. And the 800ish million shares of dilution coincidentally matches up to the inherited convertible notes from previous management.

If this really were nothing more than a scam from the beginning with no legitimate intent, why didn't they max out the 5 billion shares at .002+ in the fall and make MILLIONS? Not to mention, they just reverified the profile a few weeks ago to keep it pink current and even updated company profile info on OTCM.

Regardless, I guess we will know in just over a week whether they still have plans for SFLM or it's truly dead.

Can't wait to see his response to this. I can name at least 3 others off the top of my head that have failed "top traders". He also blocked me on Twitter for being realistic.

Listen man, I have been one of the biggest supporters and defenders of this thing for over a year. But I gotta be honest, I am having a difficult time deciding who has REALLY been telling the truth all along.

Let's look at the facts...

1) 800 million new shares have been added to the OS, presumably to pay off old notes that some people warned about and others said no longer existed.

2) We are only 40 million shares away from being at .0001, as many warned would happen.

3) It has been 15 months since the change of control, and we know nothing more than we did in 2022.

4) We have yet to receive a single update of any real value from anyone that matters.

I don't think Chad is a scammer, I haven't lost faith, nor am I giving up. But, facts are facts, and I'd love to see anyone try and dispute them.

Couldn't agree more with your first statement. It's probably the most childish thing I've ever seen on what should be a message board for adults to share facts and opinions.

The two companies have nothing in common. One is owned by a known con-man who never stops flapping his lips, the other is owned by someone with no apparent history of shadiness, but also no desire to update shareholders.

That said, the current state of affairs is a disappointing mess. Let's hope the 3-31 annual report provides something worth discussing.

It's all speculation, but it's based on some fairly convincing research starting from November 2022.

They updated the share structure again today. No additional dilution for the 5th update in a row.
