Interestingly, roughly 75% of all shares traded since March 2nd have been short. Source FINRA via OTC Markets.

Pro Star's deadline month for making changes to the FMCSA registration is March. However, I'm still not clear if the annual mileage information component is mandatory on an annual basis... If not, the deadline would be the end of March, 2018, since the last digit of Pro Star's DOT number is even ... Some data on all motor carrier's respective registrations only have to updated on a biannual basis... Last digit of a carrier's DOT# (odd-even) corresponds to the year in which the biannual information must be filed...
I hope so.... Do you remember how long it took them to update it last year? I remember them putting up only one month of mileage for a while until they corrected it... After several of us complained to Roger about it. When I have time later today, I'll go to the site and check to see if they have guidelines listed...
Just as a follow up... The truck with MA plates on the FMCSA site (inspections) is an owner-operator... Additionally, Pro Star Freight Systems is, at times, utilizing 3rd party carriers for hauling loads when they don't have equipment/drivers available at the time... This may explain Pro Star's close association with Maybach International.. Also, when necessary, Pro Star will lease one of our 30 owned trailers to the 3rd party if they don't have one of their own available at the time.....
Correct... As of today, we don't know all of what was crammed into Hydrophi Group Ltd....
We also aren't fully aware of what, if any, debt is still outstanding....
As you may know, Ive always based my value estimation on a worse-case scenario when it comes to O/S and potential future share issuance.
I'll continue to believe Zaric will do whats best for himself and the company. The company is busy at work... Contrary to most all penny stock Ceo's, he doesn't need to issue shares to pay bills, employees or as some of the worst do, pay their mortgage, personal debts or eat...
Real, I'm not a lawyer (and I don't play one on TV.....) but, I don't think common shares which can or would eventually be issued by conversion of preferred share(s) would be counted as O/S until the deed is done.
If those "potential" shares are already in the company treasury, that, obviously, would be great. But we just don't know... Unfortunately, we'll have to wait and see what is Zaric does.
Pro Star Holdings Trust.... Footnote (3) has the info on Zaric.
(1) Beneficial ownership is determined in accordance with the rules of the SEC and generally includes voting or investment power with respect to securities. Each of the beneficial owners listed above has direct ownership of and sole voting power and investment power with respect to the shares of our common stock.
(2) Based on 404,794,416 shares of our common stock issued and outstanding.
(3) Includes 323,835,533 shares of common stock issuable upon conversion of one unit of Series A Convertible Preferred Stock held by Prostar Holdings Trust. Nikola Zaric is the beneficial owner of Prostar Holdings Trust.
Ok, gotcha....
Our diamond guy? Or the trustee?
I remember it being reduced, as I wasn't that thrilled about it when it went back up
Yes, I'm sure... The "trustees" i dont believe are materially involved with the company.... I have noted the last name of one of the trustees is the same as our COO..
6 pak... I seem to remember our share count being reduced by that 30+ mil. number right after the merger... Which, pushed us down to 363-365 something million O/S. We then issued, on 3 separate occaisions in very early 2016, roughly 40 million shares to Magna/Group 31, which raised our O/S to its current 404 million.
O/S hasn't budged a single share since.
The SEC filings related to the merger/acquisition of Pro Star by Hydrophi Technologies.
Zaric is the "trust"
Of course..... For me, I won't stress out over the reason(s) he's been so quiet. Luckily, we live in an era where we can gather information from multiple sources and the trucking business isn't something that can be hidden. We may not know IF and/or HOW profitable the company is without seeing the delayed audited filings. However, at some point in the future, when there is no longer a reason for Mr Zaric to be so silent about his company, I'm sure we'll see a much different situation...
This company and its management behaves exactly opposite of most of the companies listed on this exchange..... Actively engaged in business and financial transactions (making money) everyday... No BS press releases... No hype... The only way I would be worried was if they were hauling cars and freight for free.... That, Im positive of, is not the case... Until we're trading at a multiple comparable to other publicly traded trucking companies, I'm a buyer....
84.9% controlled/owned by Zaric.
I'm with you... It's odd they have plenty of good things (business wise) happening, yet they remain silent... Even social media (several platforms) has gone quiet.
Yes, Pro Star Freight Systems is now registered to haul automobiles (in addition to "general freight" as they always have).
IAA auto auctions.... IAA is a subsidiary of KAR auto auctions).. KAR is a public company listed on the NYSE. Global auction co.
Thanks for letting me know.... Just getting started at work... The Massachusetts truck most likely belongs to an independent operator, but you never know... Pro Star has worked the Chicago-East coast since it's inception with their operations here... Not sure if Zaric would spend the money to do it... Unless he found a solid opportunity like he did with Jesus G Trucking and Tony's Trucking Enterprise in Orlando.... He was able to get some great trucks a facility and a fantastic location pretty cheap
. If I had to guess a location for the next expansion, Im thinking further West to service new business/ customers more quickly... I think the goal is to be able to reach nationwide and not be just regional...
Right, those driver and power unit number reductions are a direct result of the shift in business model. The utilization of owner-operators by Pro Star has become the growth focus since April/May of 2016.
Per FMCSA rules, companies only have to report trucks directly owned, leased or trip leased rigs.
I believe our full fleet is much larger than the 137 number listed.
Interestingly, Pro Star Freight Systems Company Snapshot (FMCSA) has been updated to reflect they are additionally registered to carry motor vehicles.
Very true.... The silence from the company doesn't help either.
Prostar Holdings Trust was a private entity incorporated by Zaric in Illinos which held Pro Star Freight Systems and Pro Star Truck Center. You will find it named in the purchase/merger agreement. Thats what we bought-merged with.
And yes, it appears we MAY have another arm of the company (Pro Star Auto Group LLC) but, no official word on that.. .. The new entity you may be referring to is ASN Holding LLC, incorporated in Indiana by Zaric.
Press releases. (long ago press releases) quoted Zaric as saying the company (HTPG-Pro Star) would be moving to Indiana fot tax purposes (excellent move). However, we're still waiting on that.... Meanwhile, Hydrophi Technologies has been shi@- canned to a new entity called Hydrophi Group Ltd., along with other interests owed to Slotkin... The latest SEC filing says we are focusing on trucking from here on out... So, since Hydrophi is gone, we should get a new symbol and name change at some point... Will ASN Holding LLC in Indiana be our new company name since we're supposed to be moving there with Pro Star as a subsidiary? Maybe Pro Star Auto Group will be part of the new company also.. Or will Zaric just move Pro Star Freight Systems to Indy and that's all we own.... Who knows... If we get a new symbol will it be PSFS... Or ASNH.... Thats the 64k question..... In any event, I think we're done with HPTG...
Yes... Pro Star Auto Group had about 10 trucks at the end of 1016. I know they have at least 7 car carrier trailers.
Would be nice to be doing business with IAA....It seems IAA has 171 auction sites all over the country. They mainly deal with most auto insurance, rental compaines, fleet and leased vehicles on salvage vehicles. IAA is a susidiary of KAR Auction Sevices (NYSE listed) 6.3 billion dollar market cap global auto auction company...
Yes, it would be nice for us to have a little slice of a working business relationship with them.
Solved the mystery of the sea of automobiles on the proprty adjacent to Pro Star in Orlando. The actual addtess is 9801 Boggy Creek Road. It is a holding lot for AA Insurance Auto Auctions. Still dont know if we have a piece of action as it pertains to the transportation of these cars.
Agreed....
It's worse than that wealth. The first trade of the day was at the ask.... The trade that took the stock down was a $0.16 trade.... 16 cents.... it was a hundred share block.
The answer to is doing maintenance on SOME of these Maybach trucks is yes. That was confirmed by people in Orlando. Maybach is also leasing parking space from us in Orlando. It's very possible we're running a small repair shop out of that Orlando base as it would make the most sense. Additionally, when you check the city of Orlando business licenses by Pro Stars address down there you will come up with a recently established transmission repair and parts business based out of that address. I have not dug around too much on the name associated with the business but I don't recognize it to be anyone who is associated with ProStar as of yet.
I don't know. I actually thought it was going to happen a little while ago when Maybach was late with their annual report which was to be filed with the state of Illinois back in November... It was late about a month-and-a-half but they've since filed it. I've been to Maybach's headquarters which is about 3 or 4 minutes away from Pro Stars headquarters in Oakbrook, Il but didnt learn anything. They have a small office there. Their operation is very similar to ours as they have a dispatch center back in Serbia along with more office personnel there... Im keeping an eye on things as best as i can but im not committing to calling a closer relationship between the two...
Yep.... They picked up 20 or so of our older 2006-2007 Volvos near the end of the summer. That really doesn't matter (materially) to us as I imagine most likely those trucks were/are owned by Arrow Freight....
But the close relationship is undeniable.... They use our translators as well...
I remember reading that, too... I just dont recall a percentage. Whats odd about these leasing arrangements is Maybach is hiring all over the country...
https://truckersreportjobs.com/profile/maybach-international-group-inc.541
No adds for us, but, we're hiring Cubans like mad in Florida... (from another driving source, confimed via social media and the Orlando office (non specific numbers from them).
I was suprised it was updated on Saturday.... Never seen that before... Yep... I think the copper in Colorado must be looking for him....
Spoke to an owner operator yesterday hauling for us. I asked him about his Volvo rig as I was curious if he owned it or leased it (possibly from us or Zaric's Arrow Freight). He told me he was leasing it from Maybach International. Now, I know we have close working relationship with them as I know we lease trucks to them and per Fmcsa data, th ey've been operating Pro Star Auto Group trucks as well.
Maybach is also leasing parking space from us in Orlando. Interesting information... We seem to have a very close relationship with them... Im not saying I think anything will happen as a result, but, we clearly are helping each other out...
I stumbled upon the lawinsider website a little while ago. It's an awesome place and you can find complete details and contracts and most public companies there. Like you said, the SEC information can be lacking and subsections of contracts can be totally left out.
Still no IR... No IR helps to keep quiet, doesn't it..?
No, they moved out of Des Plaines long ago... I was there when they were moving out. Watched them carrying stuff out.. Got into a pissing match with IR over their release saying we had 2 locations. That place was 5 minutes from my work...
Here you go Real... this is from Law Insider (legal and contract database)on the Hydrophi/Pro Star merger... Article 7.1 subsection k. Conditions to obligations of buyer and seller. looks like the preferred stock he could have picked up was in the 14+ million share range based on the outstanding shares at the time.
Series A Preferred Stock – Class 1. Roger Slotkin will have received a fully executed stock certificate representing 1,000,000 shares of preferred stock of the Series A Preferred Stock – Class 1 entitling him to acquire 4% of the fully diluted common stock of Buyer on the sixth month anniversary of the Closing and copy of the filed Certificate of Designations for the Series A Preferred Stock, Class 1 and Class 2.
No sweat...! I don't mind getting my chops busted by people in the same boat as me...
I'll dig that up for you Real... It was part of the agreement.
