Canopy warns Nasdaq objects to plans for U.S. holding company, could delist pot firm
SMITHS FALLS, Ont. — Canopy Growth Corp. is warning a U.S. holding company it wants to set up could be delisted from the Nasdaq stock exchange, which is objecting to some of its plans.
The Smiths Falls, Ont. cannabis company says in a proxy filing that the Nasdaq has objected to Canopy consolidating its U.S. financial results should it close on the acquisitions of U.S. companies Wana, Jetty or the fixed shares of Acreage.
Canopy announced Wednesday that it will create holding company Canopy USA to hold its cannabis investments south of the border.
Canopy, which is also listed on the TSX, says it disagrees with the Nasdaq's objection and thus has no assurance that it will remain listed on any stock exchange it is currently on. It says there is also no assurance it will be able to satisfy the conditions to list on an alternative exchange, if it incurs a delisting.
Its proxy filing says its Nasdaq and TSX listings prohibit it from investing in businesses in the U.S. pot market until U.S. laws change or until it lists on an alternative exchange that allows investments in such businesses.
Canopy says it believes it is complying with applicable laws and regulations but could see how the Nasdaq could allege it is violating the exchange's cannabis policies.
“This is a novel structure, and there isn’t always immediate comfort with innovation. But we believe in this market opportunity and the need to start capitalizing on it, and this is the structure to make that happen," said Brenna Eller, Canopy's vice-president of communications, in an email to The Canadian Press.
"And it’s our job to show the value and the rationale here, and we will continue our ongoing dialogue with NASDAQ to support our compliance with their rules and regulations as we pursue this groundbreaking strategy.“

Nevada Judge Orders Board Of Pharmacy To Remove Marijuana From Schedule I Under Agency’s ‘Unconstitutional’ Code
A Nevada judge has ruled that the Board of Pharmacy’s classification of the drug as a Schedule I substance violates the state Constitution and that the agency “exceeded its authority” by making that designation.
Clark County District Court Judge Joe Hardy has previously determined that the Schedule I classification was unconstitutional based on the fact that the state has legalized it for medical and recreational use. But he withheld judgment at the time about the board’s regulatory authority in order to give petitioners and respondents time to submit filings in the case.
The submission deadline was October 5. Now, on Wednesday, the judge handed down his final, merit-based ruling that found the board “acted outside of its authority when it failed to remove cannabis from the list of Schedule I substance” when medical marijuana reform was enshrined in the state Constitution.
“The misclassification is unconstitutional and must be declared invalid,” the ruling says.

On Oct. 6, President Joe Biden pardoned thousands of people in federal prison on charges of possession of marijuana and announced that his administration would review whether marijuana should still be considered a Schedule I substance. There is no doubt that this action by the president will benefit the lives of thousands of Americans. However, there are still thousands of people in state prison for possession of marijuana and in federal prison for the distribution and sale of marijuana. Until marijuana is legalized or decriminalized in the United States, people will continue to be sent to jail for use of a substance that is legal for recreational use in 19 states.
One important reason that marijuana should be decriminalized is that, by some metrics, marijuana is safer than alcohol, a drug commonly used by Americans. It is considered impossible to overdose on marijuana. It is also extremely difficult to develop an addiction, although it is possible to have a dependence on it. Additionally, over 60% of Americans support the legalization of marijuana for recreational use and 90% support its legalization for medical use.
Besides the attitudes of the vast majority of Americans as well as the safety of marijuana, there are economic reasons why the U.S. should legalize the drug federally. If marijuana were legalized at the federal level, people who currently purchase weed from unregulated sources would purchase it from licensed cannabis dispensaries. Shifting demand away from unlicensed sellers would allow the government to benefit from taxation of marijuana. Currently, recreational marijuana is legal in 19 states and the District of Columbia. In 2021, those states reported a combined $3.7 billion in revenue.
Regulation would allow for consumption of safer marijuana and knowledge about what is in the product. Purchasing marijuana illegally increases the possibility of potency inconsistencies, mold and pesticides. Legalization would allow customers to know what is in their marijuana, including tetrahydrocannabinol (THC) and cannabidiol (CBD) percentages, allowing users to be aware of the potency of their marijuana. Regulation will help keep people safe from the dangers of using too much marijuana in a short period of time. Though marijuana overdoses haven’t been observed to be lethal, they can still cause serious adverse mental and physical effects.
Legalization of marijuana also leads to greater participation in the labor market and higher rates of employment, as more people are employed to work in this new industry. Legalization of marijuana federally would allow all states in the country to reap the benefits that many states have already seen. Additionally, legalizing marijuana would reduce law enforcement and incarceration costs, freeing up those dollars for other priorities.
Finally, the U.S. should legalize marijuana because of the complexity of laws that exist in this country about the substance. While marijuana is legal in 19 states for recreational and medicinal use, it is fully illegal and criminalized in four states. In addition to the states where marijuana is legalized for medicinal use, there are a variety of reasons why marijuana is legal in other capacities in the U.S. On top of that, federal law prohibits the use and sale of marijuana, further confusing the legality of marijuana in the U.S. While marijuana is legal in many states, possession or use of marijuana on federal property can lead to federal charges, even if marijuana is legal in that state. Marijuana’s continued placement as a Schedule I drug along with heroin and LSD, and above fentanyl, leads to uncertainty about the consequences of using marijuana.
Efforts to legalize or decriminalize recreational and medical marijuana have been attempted on both sides of the aisle. While many of the states that have fully legalized marijuana are controlled by Democrats, states under Republican control such as Mississippi and Alabama have legalized marijuana in some capacity. This demonstrates that efforts to decriminalize marijuana have support from both parties, making it easier to pass at the federal level.
Additionally, Congress has attempted to decriminalize marijuana and remove it from the federal list of controlled substances, with some Republican support. There are currently two bills in Congress regarding the legalization or decriminalization of marijuana, one introduced by a Democrat and one introduced by a Republican. The Democrats’ bill would remove marijuana from the Controlled Substances Act and impose a tax on marijuana. Three Republicans signed onto this bill. The bill introduced by Republicans would impose a lower tax on the sale of marijuana and treat marijuana like alcohol under the Controlled Substances Act. While the 50-50 Senate may make it difficult to pass measures legalizing or decriminalizing marijuana, participation by Republicans in such efforts are possible.
Biden’s decision to pardon people in prison for marijuana possession and to review whether marijuana should remain a Schedule I drug is absolutely a step in the right direction. However, it does not go far enough. Marijuana is a commonly used drug that does not have significant negative impacts on health. People do not deserve to be imprisoned for marijuana charges. It’s crucial that the U.S. legalizes marijuana now.

SIOUX FALLS, S.D. (Dakota News Now) - The Flandreau Santee Sioux Tribe supports the legalization of marijuana in South Dakota, saying the benefits outweigh any stigma and negative effects associated with its use.
On Nov. 8, South Dakota registered voters will have an opportunity to clarify their stance on the legalization of adult-use marijuana in the State. Initiated Measure 27, if approved by a majority vote, would expressly allow individuals age 21 and older to possess, use, and distribute marijuana and marijuana paraphernalia within South Dakota’s jurisdiction—without a medical use requirement.
In a press release from the Flandreau Santee Sioux Tribe, the Tribe is an industry leader in medical marijuana and has continually supported advocacy efforts and responsible legislation to progress medical marijuana use within the State of South Dakota and legalize adult-use marijuana. The Tribe fully supports its passage and encourages all eligible South Dakota voters to consider voting “Yes” on IM 27.
This is in part due to the Tribe’s belief that the benefits of marijuana products (whether for medical or recreational use) far outweigh the stigma and negative effects associated with such use.
Likewise, the Tribe has found the demand for marijuana products striking. With the Tribe currently serving over 10,000 medical patients, the doors to its dispensary are flooded with patients daily. As a result, cultivation activities on the Tribe’s Reservation, solely for the production of medical marijuana, are expanding just to keep pace with its patient demand. This suggests the demand for less restrictive adult-use marijuana would be even greater.
In addition, the positive economic benefits realized from the Tribe’s medical marijuana program have been significant since its inception. The program’s success has allowed the Tribe to pursue additional economic development opportunities and boost its contributions to programs serving community members.
While opponents of adult-use marijuana in South Dakota try to minimize the substantial financial impact that can be realized from its legalization, the Tribe’s example certainly indicates the opposite to be true.

In two weeks, voters in five states, four of them very conservative, will decide whether to legalize weed. If all five measures pass, we will be just one state short of half the country having legal, adult-use pot. Population-wise, it would be over half (thanks in part to Washington, DC and two territories also being legal). Accounting for medical marijuana, pot is already legal in one form or another for almost the entire country.
In the meantime, polling indicates that Americans’ support for legal pot only continues to grow. Two-thirds of the country now wants pot to be legal for all adults. And President Joe Biden, who had been a lifelong drug warrior, has now begun to move on decriminalization.
Mitch McConnell and the other Republicans who like to use weed as a political cudgel—usually to paint Democrats as flighty airheads—will likely keep up that strategy for as long as they can. But at this point, federal legalization seems inevitable, especially given that a fair number of Republicans are pro-legalization. It’s only a question of when.
