Solar3D Increases Guidance by 20% for the Fiscal Year Ending December 31, 2015
Santa Barbara, CA – November 12, 2015 – Solar3D, Inc. (Nasdaq: SLTD), a leading provider of solar power solutions, announced today that the Company is increasing its guidance to $48 - $52 million from its previously issued guidance of $40 - $45 million. The guidance does not include revenue from acquisitions yet to be completed this year.
The increase in market guidance is based on the Company’s recently released sales figures, as well as its extensive sales backlog. Last week, the Company announced revenue numbers of $19.7 million for Q3 2015, more than triple the $6.4 million reported for Q3 2014 due to strong SUNworks organic growth and the addition of MD Energy. With a sales backlog of nearly $30 million, the Company is confident in its continued sales success, allowing Company leadership to focus on identifying profitable solar companies to add to its portfolio of operation divisions.

This is only true with the lease model. If the buyer is not signing a lease and paying for ownership of the array then the buyer gets the full tax credit.
Finally someone else caught that! I was beginning to wonder if most others still here are sleeping at the wheel. This board used to be full of excitement and full of people with great hopes as to where this company was going and how much we would all enjoy profiting from being early investors. I am frustrated beyond words although I seem to find words lately...LOL!
This is really going to suck when the PPS is nowhere near JN needs it to be for the closing of the elite deal within 3 weeks. Hope none of the insiders need to sell prior to years end for tax purposes.

I would agree with this analysis if we were not a Solar company with a looming ITC major change on the horizon and zero track record without the ITC. Sorry guys but reality has set in for me.
I totally agree with you! I also think that those who think this stock is going to go exponentially higher in 2016 because of a flurry of business before the tax credits end is ridiculous. Hell we are making money right now and not finding new long term interested investors. Investors not in solar are not going to get into solar right before the tax credits end and see the downturn in revenues. I came here 100% for the cell and I think I stayed too long now quite honestly. I am very disappointed in the way JN brought investors in with high hopes the 3D game changer cell would be commercialized by now.

I wonder if institutional investors look at the way the pps reacts to good news and what difference it makes in their investment decisions. JN must think we are at a pps and business story level to hook one or two otherwise he would not be going to these investor conferences?
With this result after great news it is obvious to me the big players trading this stock could give a rats ass about what this company is or does or anything else related to true DD of JN and company! This is BS at its best!

Financial Highlights:
· The Company achieved profitability in Q3 with record sales and net income.
· Revenues tripled year-over-year, and were up 79% sequentially over second quarter 2015 revenue.
· The Company made significant improvements in operational efficiencies, reducing operating costs as a percentage of sales.
· Solar3D announced Q3 gross profit of $5.3 million and Q3 net income of $1.4 million or $0.08 per basic share and $0.06 per diluted share.
· The Company reports a strong backlog of $29.5 million equal to an increase of nearly $7 million from last quarter.
Revenue Growth Trajectory Continues
• Q2 2015 to Q3 2015 revenue increased 79% from $11 million to $19.7 million following 83% revenue growth from Q1 2015 to Q2 2015 to $11 million.
• For the first nine months of 2015, SLTD achieved $35 million in revenues compared to $20 million for the full year 2014, representing a 75% increase with a full quarter of revenue and earnings yet to be recorded.
• The Company reiterates that it is confident it will exceed published revenue guidance of $40 - $45 million for 2015 and may increase this guidance as the quarter progresses.
• Expect continued organic growth into 2016 plus incremental growth when Elite Solar acquisition is finalized.
Balance Sheet

I was disappointed in the pps action yesterday as were others I would guess after such great news that we had been waiting and dreaming about. It is amazing how the longs here always have such sound reasoning about the current situations with pps. I agree with you Carl even though I want knee jerk reactions from the market when we have good news but that obviously is not reality at this time. I have learned so much from following pennies to dollars or nothing to something with this investment in Solar3D. The one sure thing for me is I feel very safe and can sleep good at night regardless of my disappointment in pps action when news happens. I do miss the days when this board had several longs with great discussions every day but I guess that was because it was a more speculative company than it is today.

Financial Highlights:
· The Company reported revenue of $19.7 million for Q3 2015, more than triple the $6.4 million reported for Q3 2014 due to strong SUNworks organic growth and the addition of MD Energy.
• Gross profit was $5.3 million also tripled with steady gross margins of 27%.
• The Company reported third quarter 2015 operating income of $1.7 million, compared to breakeven for the 2014 third quarter.
• The Company reported net income of $1.4 million or $0.08 per basic share and $0.06 per diluted share for Q3 2015, partially as a result of significant improvement in gross profit compared to the net loss of $13.7 million, or $(1.14) per basic and diluted shares for Q3 2014, which also included one-time non-cash charges related to financing costs.
• Cash and cash equivalents for the Company were $9.3 million on September 30, 2015, compared to $0.4 million at December 31, 2014.
• YTD 2015 revenue of $36.4 million, more than double the $15.0 million reported in 2014.
• YTD 2015 net loss of $0.1 million or $(0.01) per diluted share, compared to a net loss of $17.6 million, or $(1.61) per diluted share for 2014.
Operational Highlights:
• The Company announced entry into a merger agreement to acquire Elite Solar to dominate California’s agricultural sector and establish itself as premier solar provider in the farming sector.
• SUNworks division secured several large California agricultural and commercial projects totaling over $10 million and 5 megawatts of solar power systems during the quarter.
• SUNworks division achieved $4M in residential sales for the month of July, establishing a Company record.
• SUNworks division secured a $1 million contract in Nevada, the first commercial project in the state since opening the Reno office earlier this year.
• The Company appointed Shane Mace to its Board of Directors

Third Quarter 2015 Financial Summary
Solar3D reported revenue of $19.7 million for the quarter ended September 30, 2015, an increase of 208% compared to $6.4 million for the quarter ended September 30, 2014.
For the quarter ended September 30, 2015, the Company reported net operating income of $1.7 million with net income of $1.4 million or $0.08 per basic share and $0.06 per diluted share. The net income compares to a net loss of $13.7 million, or $(1.14) per diluted share during the 2014 third quarter, which included a non-cash loss in the fair value related to the valuation of a derivative liability. Gross profit margin remained constant at 27% for both third quarter 2015 and third quarter 2014.
Total operating expenses for the third quarter ended September 30, 2015 were $3.6 million compared to $1.7 million for the third quarter ended September 30, 2014 but decreased as a percentage of revenue to 18.4% of revenue from 26.6% of revenue. The selling and marketing expenses of nearly $1.6 million and general and administrative expenses of approximately $2.0 million for the quarter ended September 30, 2015 were used to build the Company’s infrastructure to support the current and projected growth.

Awful quiet here today given the thought that some thought we would see a pullback here today since the announcement of pushing back the Elite deal by as much as 30 days. I saw this as good news! Why? If ER on Thursday was not going to be a good one JN knows very well the stock PPS would drop back to mid $2's and then would not recover prior to inking the Elite deal. He would have just inked it Thursday or Friday last week knowing the PPS was better than a week later after the ER was public. I could be wrong as I have been wrong before but this is my hunch. Hoping I am spot on!
