When did this company ever say they weren't registering? A withdraw and refile with comments addressed and fresh financials is common. Ever heard of financials going stale?

If you are referring to their PR today where they confirmed that their technology and their technology alone will be allowed in SD, I'm not sure that qualifies as fluff.

You may need to brush up on your SEC R&Rs. Even if the company becomes an SEC filer, they would have to be a filer for months for the shares they sold in the past to qualify for the 6 month exemption.

570. Medbox markets being able to hold 57 different varieties of product in quantities of 10. That doesn't include their edible machine which brings it up closer to 800 products from what I was told.

Not sure where to start with this one! First, the company has patent rights on exactly what Autospense does. Medbox does track from seed to sale, and lastly, Autospense hasn't sold one machine in 2012 and also this year. Why would Medbox pay any attention to a company like that?
Apparently you don't realize that the case you cite here is regarding the company's trademark which another company is trying to challenge. This has nothing to do with a patent.

Read today's press release today for further information on what the company deems a dispensing system. A noseless dog could sniff that out.
Oh, that lawsuit was dismissed when they found out that in over a year Dispense labs hadn't sold a single unit. The company PR'd about it.

After finding out about their auditor the company issued a series of press releases that give the impression they were caught off-guard with the news. Then they engaged a 2nd firm and announced it. Sloppy but understandable. This company has never pretended it is seasoned.
Not to mention the extra legal and accounting expense the company saved itself. They took a beating in Q1 on legal and accounting!! Read the Form 10 cover to cover and was impressed with the amount of disclosures they incorporated. Nothing on that document gives me a reason to believe the SEC would take a hard line approach.

Well, I have more than 2 brain cells. I don't call people criminals if they have priors. Calling someone a criminal means that you have knowledge as to a current criminal transgression. So maybe you are using the word incorrectly unless you have specific knowledge as to the founder currently engaging in a criminal act.

It's called conservative revenue recognition. According to their CPA footnotes they carried $1.5m worth of signed contracts in Q1 without counting it as revenue. It's a sign of a REAL company that they would choose to do that.
