Could be an interesting day here. Still long as hell.
A surprise mod-CsC clearance would be awesome.
OMID
Well maybe this is the beginning of the glorious end - the finale if you will.
OMID
dp, I did consider and review those time frames before my earlier post but I did not find anything significantly obvious.
I was hoping someone who perhaps understands the process better would chime in.
Unrelated: I did find yesterdays price action and volume very interesting. The chart is reasonably bullish as well but I have not relied on any technical signals for a bit with this ticker. I am working from home today for once so I am able to watch the L2 and time/sales -- I find the action to be very interesting.. after years of experience staring at these two bit of information, to me it seems that someone is loading while trying to make it appear like weakness. This is further corroborates my thesis with respect to yesterdays action.

Does anyone else find it curious that the special meeting was adjourned for only 14 days?
Wasn't there some reason to adjourn between 20-30 days - I can't seem to locate this information at the moment. I believe it was solely to keep the voting date as the original initially planned date?
OMID
As I said at the time: any call to IR with hopes of digging up non-public information is always a fantasy. This is particularly true in any scenario when your IR is a securities lawyer.
Funny story from when I was still a novice trader: years ago, several other investors and I used to call an IR guy frequently. The guy just loved to talk and if you called him he would tell you all kinds of stuff about everything. Sometimes he'd even act like it was privileged information but since he likes you he'd tell you. You may not have always felt great in the end, especially since red days were a favorite time to call for some mental fortitude and reinforcement, but there was always an underlying theme: hope springs eternal that big things are in the works! Well that was all unsupported hearsay and you can guess where the share price is now (0.000x).
So jumping back to the topic of AMDA, you can be sure that IR has no hints, tips, or tricks (big or small), to offer those of you who would call seeking them. If he was legit - which I doubt - MBD will become an excellent example of what not to do.
On the bright side, we do have a wealth of proven, relevant due diligence graciously shared by Boston, CL, and a few others here. Nothing is more valuable for determining the validity of your position.
Adios. Good luck bud.

One final comment in response to your post and most intriguing question: if I had $20M I would buy this company myself right now.
What's funny is the scare tactics are clearly not questioning the deep value but rather preying on a universally experienced "fear of the unknown" which theyve tied to the intentions of the CEO with zero supporting evidence.
OMID
This will become a great example of people not taking the bets they "knew" they should, despite all the evidence clearly identifying enormous value, simply because they were early to the show and couldn't get past the age-old question of "why isn't the market pricing out right if it's so great".
To those of you asking that question, I have a question for you: if the market is the perfect pricing mechanism, why do you frequently trade or watch anything on a daily/weekly/monthly basis. True value is not created overnight; you should be solely a long term trader.
Some people have the goal of retiring by the time they're 70.. I myself, do not expect to retire but instead be financially free well before I'm 40.
OMID
Thank you for that very well thought out post. I have read it over several times. I do truly believe that we're sitting on a very very deep value play here. Some ideas worth considering are the verge of profitability, best-possible material in a high-margin industry with enormous, whale-sized barriers to entry even if you have the tech (which no one does), extreme market potential esp. when considering the demographic-related needs.
I can go on but profiting from a BO here has been a foregone conclusion for me from day 1. And I hardly feel the need to second guess it for a second. I do appreciate the realistic, novel thoughts though whether they are for or against my personal expectations and beliefs.
OMID
This whole narrative you're exploring with the brand new alias is a joke at best - not that your account has any merit either. I will be blocking people talking about this nonsense henceforth, starting with you if fate has it.
To everyone else: I know what I am holding and understand the OTC; I'm not worried for a second. On the contrary, I am hoping the price drops more so I can buy cheaper.
OMID
Any theories for what happens on Thursday, September 7 (current scheduled date for the special meeting)?
OMID
In the context of the new post from 2011 talking about Zimmer buyout, this is apparently unacceptable without the bolded correction.
Certainly going to be looking to add and double my position shortly, regardless of the post, to be clear.
10-4 - good post.
I think there's no question that I'm a true long here. I just want to be clear that I feel no desire whatsoever to call IR as I'm not a fool; I know that they cannot legally tell me anything that I actually want to know. Anyone who thinks they are collecting valuable snippets of nonpublic information better reconsider having a brokerage account at all.
OMID
I am really looking forward to picking up more under .3 if possible.
Saw someone like you sell IDXG recently just before the run up which is still underway. Took a big lots and I told them they were making a huge mistake; the duration will be no different with you.
Good luck with your next pick and try to forgive yourself when we take off here.
Best,
OMID
Per the attachment in the replied-to post, e may not be getting as much as 20 days prior notice.
I'm in my phone but it's the Gibson link on m&a
If new material information is presented to
stockholders immediately prior to the stock-
holder meeting, the company may be required to
allow stockholders additional time to consider
the proposal in light of such new information. If
a defi nitive proxy statement previously mailed to
stockholders has become materially misleading
prior to the date of the meeting due to a subse-
quent event, such as an amendment to the terms
of the merger agreement, the proxy statement
must be amended or supplemented to correct
any materially misleading statement or omission.
Proxy materials must then be fi led with the SEC
and disseminated to stockholders with enough
time prior to the meeting to allow the stockhold-
ers adequate time to digest the new information.
While there is no specifi cally required num-
ber of days that a meeting should be delayed to
give stockholders time to consider new material
information, 5 to 10 business days generally is
regarded as common practice. A helpful bench-
mark is the tender offer rules which require an
extension of the offer for an additional 10 busi-
ness days for changes in the price or amount of
securities sought and 5 business days for other
material changes in the offer. 12 Additionally,
when Delaware courts have enjoined stock-
holder meetings and mandated that further
information be disclosed to stockholders, they
have enjoined the meeting for a similar period. 13
How do you plan to add on Saturday, Sunday, or holidays? ??
But in all seriousness and I've said this here before: I believe there's a good chance this stock is steadily holding $5-$10/share by end of year.
OMID
With respect to aims' question. I believe it would be easier for the ZBH board to paint a pretty picture to shareholders if they're acquiring a NASDAQ-listed company rather than a recently delisted company. But to be clear, the tech and IP speaks volumes by itself and needs no secondary artificial sweetener.
Note: my message is hypothetical and needs no factoid-only based drab response.
OMID
Well there is nothing preventing them from further delaying the shareholder meeting if need be.
Boston, please correct me where I am wrong - I spent an hour yesterday looking for the xactly post with no luck (swear I just read it recently) - but my understanding is that the board can file an amendment to change the content of the meeting to include a merger vote with 7-10 days notice without having to reschedule the meeting.
That info was cleaned from CL post with a link to M&A paper by a specialist form I believe.
OMID
Thank you Captain Obvious.
Should we not expect to see Zimmer calling a vote of the merger will be accomplished through a share exchange? I presume they will not call the vote until after the successful vote by AMDA shareholders to merge and RS.
OMID
Making this post a sticky. Thank you.
Thank you to everyone participating in this conversation. More people read this than you know.
OMID
Agreed stealth. The loan shows confidence from Sonny as well as the de-risking you mentioned. One less roadblock - and I believe that was the only one.
Maybe this is irrelevant given the upcoming events but I am a big fan of the chart setup at the moment:

OMID
Hey there - it's been a while.
You've arrived at what might be the most opportune time.
There is a compelling case here as a long term value play but the short-term BO theory is compelling as well.
OMID
Below are some key items straight from the recent 8-K filing
https://www.otcmarkets.com/edgar/GetFilingHtml?FilingID=12203827
Has anyone here even taken a second to look into the financials?
What evidence is there that the $20M will go to shareholder and not the debtors who are getting screwed via bankruptcy filing.
My immediate expectation is that those debtors are senior to any common shareholder who willingly risked their own capital absent of any contractual agreement.
The buyer offering $20M will be assuming "certain liabilities" - what the hell does that mean? Someone is going to lose here.
Let us make this a forum where we put our heads together and find out who.
OMID
I can totally relate. I do this every time I open my trading platform; now it will be even more intense!
OMID
Now this is very encouraging news. Take note that this loan was granted on July 28th. Hercules could be long gone by now. It's very possible that the final ink for BO is now hitting the paper and will be subsequently released tomorrow.
OMID
For the record, I have applied for Ihub moderator today in anticipation of increased posting volume in the near future; my application was accepted.
OMID
Wise, perhaps this is wrong of me but I no longer put any weight into any short volume metrics other than the monthly reports which are essentially a snapshot of current positioning.
To me, this data can easily be misleading as you have no clue to what extent the turnover rate truly is.
OMID
Fair point, wise.
My rough price target was more of a sustainable minimum share price.
We have 2x ERs that I believe will be very positive and make it very clear that this company is bound for greatness before the close of the year.
Best,
OMID
We had a technically nasty day but I believe the deep pockets are making this stock painful to hold so they can load up. Pretty obvious when investors are buying $12MM worth at $1.10/share and just yesterday anoth $1M at $1.25/share.
The good news keeps rolling but price is not whatsoever indicative of the potential here. I am truly comfortable holding long term and expect $5 minimum by EOY.
OMID
Even if everything you and boston believe about a buyout is false - which i must clearly state that I am on board with you both - the intellectual property owned by AMDA easily warrants a market cap 10-100x the current market cap - this is no joke; I am placing my hard earned money in this for the long haul but I will accept a buyout at half-way decent terms.
OMID
Yes! Haha. Absolutely.
OMID
I am thrilled to be able to say I just averaged down at .3585 w/ 5k bought. Hoping that my timing is flawless and spit on in a couple short weeks.
OMID
Well the timing is certainly an interesting piece of the puzzle... Seems to fit well with the merger theory.
If I was pulling in a completely different product to be my centerpiece I'd prefer to have the expert who is knowledgeable and practiced at rambling on and presenting it in the lead role.
Tbh though, speculating on corporate folly is not something I've done much at all; might be a week spot.
OMID
Really appreciate the current status and short term events to look out for, boston. There will be an army of people who owe the majority of their success to you.
OMID
Yes I appreciated that same quote as you did.
Very astute commentary.
