Yeah, I don't quite get it. Seems to me they should be selling share at the ASK. Make me wonder if I would have put my limit at .01 if they would have sold them.
Interesting. My buy this morning was a limit to .04, but was filled at .03.
O/S as 11:23am EST 3/15/2011: 53,839,081
We'll find out tomorrow. I've been calling almost every day the last couple of weeks.
hahahah!!! Boy, is that the truth!
The price is falling! The price is falling!!
Could we be near the end of the convertibles? With the buying pressure from the news last week, perhaps this is why we are seeing the rise in price.
All the volume so far has been buys. With the O/S unchanged, we have to be close to flushing VERT out of here.
O/S as of 10:18 AM EST 03/14/2011: 53,839,081
Indeed it is. I suspect it will be relatively quiet for now.
Yes, and it will.
Also, when the company uplists off the pinks and into the OTCBB, it should be better.
Also keep in mind the MMs make money on the spread (difference between the bid and the ask). Therefore, it is in their best interest to keep the spread large. However, they also know that too large a spread stalls selling. This is why you'll see the bid and ask move around.

Great news for sure. It confirms the MOU is a real agreement. Now you can't ignore the news from last week.
Yes, the confernce call may have been hard to understand, and the details of the MOU questionable, but it appears Tivus is remaining transparent.
Long and strong.
For all we know the major volume last Monday and Tuesday could have wiped them out. I mean we did approx 6-7 million shares Pure speculation of course.
A good sign right now is the bid and ask are pretty close, unlike before.
We really can't know what happened yesterday. I'm willing to bet they were buys at the bid making it look like a sell.
Even so, it doesn't matter. If we end up with 100 million O/S, then we're still in good shape. The scope of the opportunity from a revenue perspective is HUGE. And past the initial installation of the hardware, the gross margins have to be 30-40%.
At the end of this year, anyone left standing will be laughing their way to the bank. Mark this post.
LOL!!
I love the disclaimer at the bottom...
Per the T/A:

I believe they said over the next few days and coming weeks.
I'm more interested in the audits and application for uplisting.
It's interesting.
You can read a lot into people just by watching when people post on the PPS.
You'll notice a lot of people pop in when the stock is on a rise or big news is about to be announced. Both for good and for bad. But when the price tanks, everyone scatters. Like cockroaches when a light is turned out. Personally, I like a quiet board. I want to invest in the company that no one knows about. Gives me a chance to accumulate and then when they break it wide open, I'll be sitting pretty.
Unfortunately, there are probably quite a few here that are thinking the same thing and will pounce on any shares less than .01, including myself.
That's why you saw the dip to .015 yesterday come straight back up. People are thinking it can go lower, and won't buy in hopes of the lower PPS. The problem that can occur, is we never get there, the PPS starts a rise, and then you're chasing. It's actually playing out a lot like the housing market.
Take it from me, this stuff happens in cycles. You will never realize a loss until you hit "sell".
Time is on our side. Never play with money you aren't willing to lose. Try to keep emotions out of it. At the end of the day, it's just business.
I started out in this trading world a year ago and trust me, I made some mistakes and lost some money doing it. In the end, I stopped reading about "Chart Plays", "MOMO", an all the other crazy strategies to make money here. Instead, I'm looking for companies that have strong business models and bring value to theri vertical/industry.
In my opinion, Tivus is one of those companies.
Rough day for sure. If you're a flipper, you just got screwed!!
Holding long as always here. If you're long, this is nothing. If we get down to .01s, I'll be buying more for sure.
Take advantage of it now. I've been in other plays where I've seen drops of 80% or more, only to have them rebound a couple of weeks later to new HODs.
See you all in the morning!
Nic,
I'll try to make this one as simple as possible. I'll be making some assumptions, so other posters feel free to correct me.
First, the Oustanding Shares (O/S). The O/S is the total number of share on the open market, trading today. This differs from the Authorized Shares (A/S). Think of the A/S and the O/S as a credit card. You can charge up the card to the A/S, and everything in between. Prudent companies will never max out their credit cards. If they do, it indicates waste and bad cash flow management. Tivus's A/S is 300 million. That means they can have up to 300 million shares trading on the market before they have to file with the SEC for an increase in the A/S.
The O/S is found by calling the Transfer Agent (TA). This can be found on most companies websites under Inverstor Relations. You just call and give them the name of the company and they'll give you the O/S.
Now, convertibles. In the recent financials that were filed, we were told the dollar amount of all the convertibles is approx. $1.5 million. But the question is, how many shares is that? And what percentage of the convertibles will actually be converted? The financials provide estimates for this, but the easiest way to figure this out is take $1.5 million divided by the current share price. If we take the current PPS of .03, then that would me $1.5 million would convert to 50 million shares. But what happens if they convert at .04? Then $1.5 million would become 37.5 million shares. This isn't exact, but it's enough you get the general idea. When I started with Tivus, the O/S was at approx 15-17 million shares. None of the convertibles had come due yet which is why it ran from .04 to .22. Since then, the notes have come due and they are being converted to allow the original investors to recoop their investment. The number of shares is hard to determine since the PPS is always changing. My guess, based on when I started and the PPS, is we should be almost done with the convertibles. I'm thinking the O/S should level off around 60 million. Honestly, if it stays below 100 million, I'll be happy.
Take a look at a company like AAPL. I know, in the realm, different completely. But their O/S is close to 920 million shares. Even large companies have large O/S and A/S. It's important, but not in the grand scheme.
So what does it all mean? The end goal is to have the company/angel investors NOT selling shares on the market. This results in the shares being held by the "public" which in turn drives regular trading which is healthy. Especially when the stock is in demand. Why do objects go up in value? Because they become rare and in demand. Tivus can have demand, but won't be rare if convertibles are still being sold into the market. It's like buying rare coins directly from the US Mint. They can print as many as they want. In our case, Tivus is not printing shares. We know the issue here are loans that have to be paid back. If not, then Tivus would default on their notes and we would be in a much uglier situation.
What is critical for Tivus at this stage is to follow through and show consistent revenue generation and positive cash flow. Cash is King. It trumpts all. Most startups remain cash flow negative for the first couple of years. So right now, it's not a concern. But if Tivus can become positive within 24 months, then you'll be looking at a PPS of $5, maybe more. Positive cash shows me the company can begin to grow organically, versus acquiring outside financing or selling shares.
Looks like most of the flippers exited last week. If it's back to longs holding, then we'll be slow until the next news.
Shares Outstanding: 53,839,081
Per the T/A at 10:07 AM EST 03/07/2011
No change from 3/2 to 3/7. I'll take that as a good sign for today.
We'll most likely hover around this range. Don't expect to go into the 2s.
Morning Tivu Board,
I'm expecting a relatively slow week. Hoping further details on the MOU are released.
On the bright side, the volume was good. Heavy volume days will allow for the converts to be soaked up rapidly which is a good thing.
Well said and completely agree.
Short term holders hoping to be millionairs by now were out of scope on their predicitions and hopes.
As I've said from August of 2010 on this one. Not a short term play. I'll be buying up as we progress through the year.
Once the audit is done, you will all have your answer. Until then there is nothing you can do about it. You already know this.
Asking the same questions over and over again expecting a different answer is insanity.
Yes, we get it. You're concerned about the converts. Now move on...
Why are you beating a dead horse???
Don't ask the board. Call Steve and get the answers yourself. If he doesn't give you the answers you're seeking, then sell your position and move on.
Who died??
Really, you all should reread some of your posts. Very depressing.
I am absolutely thrilled! I'll have been holding Tivus for a full year in August and based on CC, I'll be holding for at least another 12 months. Take advantage of the converts now and soak up cheap shares! Once the converts are done, up we go.
Another poster said it best: "Tivus is building a company, not a stock price". Therefore, converts should come as NO SUPRISE to anyone here that has been investing a long time. If they were splitting and reversing all the time, then yes, we would have a "stinky pinky". Instead, we have a reputable company with global partners and Fortune 500 customers that just happens to be trading on the pink sheets...right now.
Today was just the flippers getting out, nothing more, nothing less. You want to keep flipping stocks making ten bucks here, a hundred bucks there, then move on. You want to make serious money, then hunker down and pucker up.
Good news today, for sure!
However, be prepared for the drop in PPS tomorrow. We have people who will be looking to flip and sell on the news. Anyone on the call today should understand this is a long term play. Opportunities like this don't come around. Myself and other posters have commented this is similar to getting in the ground floor of DELL. A few years and this could change your life. I'm 30. If I have the chance to never work again in the next couple of years, then ya, I'll hold.
I will be accumulating on top of the 174K I already have.
I'm pondering whether or not Host Hotels will issue their own PR in the coming weeks regarding Tivus. Now that would really spread the word...
Here's a question:
Could the block of 700K at the bid actually be a buy?
Correct me if I'm wrong, but it look like it went through as an All or None.
How the hell would you be able to do that??
What the hell was that all about???
It's traders manipulating.
Whack the bid if your shorting it to bring the PPS down to where you need it.
For those who were on the last conference call, there is a major difference between this one and the previous one:
Announcement of call on 11/30: "Mr. Shiva Prakash, Tivus' president and chief executive officer, will hold its first shareholder conference call on Tuesday, November 30, 2010, at 4:15 PM EST, providing an introduction to Tivus, a message from the chief executive officer, and the Company's outlook over the next 18 months."
This was primarily an introduction call for SP to introduce himself to shareholders. I also believe it was coordinated by Steve to help quell repeat questions he was getting.
Announcement of call on 3/1: "Mr. Shiva Prakash, will host a shareholder conference call to announce a major material event regarding new hotel IPTV installations as well as other topics of shareholder interest."
So for this new call, we have a single topic of focus. New installations of the IPTV technology.
