i bought heavily at 0.016 - 0.03 range and now holding more than 1% of the o/s.... i'm not moaning... i still have my target buys every week at this range as new money coming in from other plays.. next upward resistance is at 0.048.. so, at this range, it's still cheap...
i hope you are right john.. judging on the previous PRs.. they tend to be active on certain months and inactive on more... hopefully he get it right this time...

you know the answer to your question on dilution.. it's NO..
but the answer to my question, no one knows until we see the financials...
it's plain and simple... how much is cash burn, existing revenues, existing expenses, or NO DEBT = NO BANK DEBT... and for all we know, the expenses are being augmented by the directors ie in the end we have DUE TO DIRECTORS (as liability and we get SCREWED)...
and perhaps ZERO revenues realized from the PRs...
the technology is great, a ticket to WONDERLAND... that's why i bought and holding... but all these PRs which are getting better and better each day - their impact on the PPS are INVERSE.... the better the PR, the lower the PPS.... meaning.. going down the drain?
i am still holding though.. but i am just dismayed on how those PRs were useless for now...
well.. the financials will tell the whether bills are getting paid and from where... for all we know, it could be DUE TO DIRECTORS...

financials would give us an indication whether David was able to cash in on PR releases on contracts for cranes (believed to be Alcoa) and mining (beleived to be Mosaic)... otherwise, one can argue that those are BOGUS... hence no interest on the stock..
TRANSPARENCY is what David has been aiming for... he's not going to achieve TRANSPARENCY if David is still SHAD(e)Y... which i think at this point.. he is..
i understand but what i'm trying to say is that i prefer to verify their PRs on (i) no debt (ii) revenues on contracts for cranes and mining on the financial statements... unless we see the financial statements, everything else are forward looking to me...
financial statements would tell whether all that is true... until then, I continue to speculate and get more shares as possible... this is for now a long-term speculative hold for me... if 90% of what they were saying in the PR is true...

DD. Pivotal GC as the Purchaser is not merely a continuation of the Debtors, and no common identity of incorporators, directors or stockholders exists between Pivotal GC and the Debtors. The Sale is not being entered into fraudulently. If the Sale is consummated as a direct transfer of Purchased Assets, Pivotal GC will not be, as a result of any action taken in connection with the Sale or otherwise, (i) a successor to the Debtors or their bankruptcy estates (other than with respect to the Assumed Obligations and any obligations arising under the relevant Assumed Contracts and Real Property Leases from and after the Closing); or (2) de facto or otherwise, have merged or consolidated with or into the Debtors. If the Sale is consummated through a Reorganization Alternative, Pivotal GC will be the owner of equity securities of one of more of the Debtors who will continue for regulatory and operational purposes, or Pivotal will be the successor to one or more of the Debtors for regulatory and operational purposes, but all Claims and liabilities of the Debtors and their bankruptcy estates through the Closing Date and all Interests in the Shares, except for the Assumed Liabilities, are still discharged under the Plan, and Pivotal GC will have no Successor Liabilities except to the extent of the Assumed Liabilities. A transfer of Shares in the Debtors under the Reorganization Alternative through a direct purchase of the Shares of one or more of the Debtors, or by the cancellation of all existing shares and issuance of new equity interests in the Debtors, or pursuant to the terms of one or more mergers, consolidations, share exchanges, recapitalizations, reorganizations or other similar transactions will vest in Pivotal GC all right, title and interest in such transferred Shares free and clear of any and all rights, Interests, Encumbrances and Claims of any kind or nature, whether imposed by agreement, understanding, law, equity or otherwise, all of which shall attach to the net proceeds of the Sale in the order of their priority, with the same validity, force and effect which they now have and to all claims and defenses the Debtors or other parties may possess with respect thereto.
Two scenarios exists:
a. Purchase of assets of Capital Growth (including assumed liabilities) by Pivotal and the proceeds will go to the ESTATE ie Capital Growth to be distributed to stakeholders (debtors and shareholders). In this case, Pivotal will still hold debentures (note that only portion of debentures ie not all had been used to bid on Capital Growth)). Pivotal becomes owner of the ESTATE by excercising the warrants or receiving portion of the proceeds. Commons may receive proceeds as well.
b. Reorganization Alternative, as discussed above and may issue new shares and chances of commons to survive is high.
Clearly, Pivotal has covered all possible angles.. including hiring of CFO...

That's the point I was trying to raise... the group has virtually no ASSETS with so much LIABILITIES... $273K out of US$12.2 that is not even 1%...
