At the end of the year if nothing becomes of any of these three I will be taking a "huge" Tax write off. Not to mention sending some PR's out of my own about Management, lies and Pinkies. If I had the writing skills of one of my daughters who was a small town editor for a while while going to college I could have all sorts of fun! Maybe I will anyhow.
Shucks, I don't mind being embarrassed about buying into the pinkies. But lesson learned. "Do not invest in non-reporting Companies"

Rick was our best shot. Small service business's run lower total volume but deliver good net profits if run right.

I do not know if it is true... but how would you like to have your family threatened by a few shareholders?
I probably would go Independent myself. I do not know if RGNO was a scam or not. I do know that PR's need to be true.
Time will tell. If I get some time I may go meet with Jerry and ask for more detail. "He is not in hiding and is willing to visit with non threatening persons".
I am not free to give out Jerry's personal phone, but you can make contact through Pizza or Jerry's new Company NUCO. He will seek prosecution for any threatening calls. "Be polite, respectful and he will visit". He has moved on.
Good luck to us all with the new Management where I think we need to focus. I have not tried to call them due to the fact they probably already are peppered with calls.

Fraud cannot be protected under any case or with any attached lingo. Proving intentional fraud is expensive and difficult even when obvious.
The courts work with a different kind of "obvious" thinking than I am accustomed to!

I am not sure what is happening right now, to many threats to
management by phone calls. Rick did not need the threats, he was trying to do a turn around as an interem CEO. He bailed early? This is my take from a frustrated Jerry.
I guess I am talking to much. I do not want to spread false information if that is what I recieved. I just do not want to go off the deep end. Oil is over for us. Leases must be sold and small Companies with income purchased. This is my take if it is not to late.
The only way we could remain in the Oil Business is to be aquired for our leases. We have lease assets -- no money..?

As far as I know, we (rgno) own leases and one dry well. Maybe the others were sold to make the aquisitions and pay off debts? We own two business's one entertainment and one Insulation if new management has not sold them. Making the aquisitions was to develope income in lieu of going to the grey sheets. If this part is true then Jerry probably did the right thing.
Jerry said he is out of the loop now and does not know anything that is going on at this time.
I know this is a Jerry said, but it is all I have. I guess waiting is all that is available to us at this time.
I hope what I am sharing is accurate and the new management will due what Ricks goal was.

I am holding, I do not know enough about what is going on to make a buy, hold or sell position. I was believing what Rick put out in PR's and was very optimistic. Now I am confused.
I also was believing Jerry. Now it seems things are different than what I first understood from him.
Now I find myself waiting for the new CEO to deliver some news. Of course they do not have to delivery any.
If there is any fraud the old CEO's cannot walk away as many think that they can. Ones attorney may not always share that information immediately due to the fact they like to make money also. If there is no fraud that can be proven here likely will be nothing that can be done.
The assets we own will benefit us only if someone does something with them. If the leases expire, Jerry or equal will likely purchase them for the benefit of another company?
Does anyone know how long the leases are ours?
We need a CEO that is our friend to pick up the cause.
I thought that we owned Leatherneck, but it seems that we do not per Jerry.
Apparently the 1 mil we invested went to drill one well only.
An "investigative attorney" would probably start at our one dry well to find out if all expenses charged to that well can be proved attached to that well only. He would also probably check to see what it cost to drill the well and make a industry cost analysis comparison to other wells drilled. Jerry states that the dry well is 1200' deep. Over a Million dollars to drill one well?
Also if there was any claim of RGNO Gas or Oil flowing that could be followed up on.
These things are easy to find out for the right price!
The problem is spending the money just to find everything legit and that Jerry was just horrible at what he did.
Who knows? But Jerry is not in hiding. I have visited with him a few times by phone. Most recently today. He is happy to visit with me as long as I am non threatening and polite.
Probably the best thing is not to threaten Jerry, but to
seek documentation voluntarily from him. I am sure that enough shareholders who had combined holdings of 5% or more could ask a court to cause Jerry to produce the records?
For a price of course.
Just my thinking....but then again, "it was my best thinking that got me here".
Any attorneys here that can weigh in on this or are they

Maybe Strongus knows. I wish us all well. I will hold for now due to not knowing what is happening. I hope I also do not have to be involved with the courts. A CEO "is" responsible for what "is" Stated in PR's even if he has "dotted all the I's and crossed the T's".
Even if Jerry has done every thing legal, undoubtedly he will
eventually have to testify to what has transpired.
I do wish Jerry well in his new endeavor and hope he cooperates in giving us all the information we need. After all we did finance his efforts even if he feels Share holders do not own the Company.
I always try to give people the opportunity to do the right thing first. I do hope that Jerry will. If he blew it and did his best he should say it and let us know what is left and what can be salvaged. This part is more moral than legal.

I have been here a little over two years. A newbie to most here. I also have seen my investment erode. How-ever I am in hopes that if Management cannot get the Company off ground floor themselves that they will seek out a larger Company with a better networking opportunity to make things happen whether it be some sort of partnership, merger or sale of the entire Company.
There is nothing wrong with saying we need a little help.
I am holding due to conversations I previously have had with a couple of customers.
On another note. All my $ 20 plus stocks doing well, all my pennies in the dump. I only started doing a few pennies approx two years ago and they are all worse than FASC. FASC was my first. I guess you know where I am going with my investments once I am outa the pennies I have! Jag knows a couple of my losses! so far I have received no personal Jabs from him.

I am pleased to see an improvement. It would certainly look better to both creditors and shareholders if the Management who is turning high salaries into increased debt for the company switch to a much more modest look at their compensation and begin a success bonus system. In turn the shares would be worth more, financing would be easier when necessary, the Company would look better to all and increase a better value long term to Mgmt with less embarrassment.
I think the large salaries are a turn off to new investment. It kinda makes them look like they are having a salary situation with weak confidence in their ability to perform.
Another aspect to look at is if the Company ever did file BK,
The compensation VS Performance would be challenged by the Shareholders. It would be better to insure the success with less burden on the Company.
I feel Mgmt is doing their best, but it is to easy to over value ones self due to effort in leiu of Value by success.
Just thoughts from an uneducated yet successful business person who went through what FASC is going through.

Do you remember when we were all screaming for PR's. Jerry was trying to build a business from the field and the office obviously was not attended to very well.
What we got was what we asked for. He was not perfect, but at least he did not run it dry.
Just looking at the positive in all this. I was already assuming a big fat "0" as in other Pinks that fall short.
Now it seems Christmas will come.

The gagged position on the TA is probably due to making sales, aquisitions and and other changes. If shares are added due to an equity addition, it is not necessarily dilution of value per share.
This is a group that wants to be a reporting company. I am definitely invested in my last non-reporting companies.

I hope everybody reads the PR carefully and saw that old management is working with new management in the transformation. Obviously Jerry is leaving, but he did not dump and run.
Also ..."former management deemed it necessary for change".
It seems that in most pinkies management will keep running a company until it is in the ground. Jerry obviously did not want to do that. He sought help.
I would like to ask many here if they ever had a dream that did not go quite the way they hoped. At least Jerry did not wait until there was no return.
