The PR contains very positive news for HISC. I know you want HISS to publish a picture of each dollar they receive so that you can note the the serial numbers and call the Federal Reserve to verify authenticity, but why do you put a negative spin on everything that is released?
The CT has just recently began being mass-produced. HISS is receiving orders for it. In fact as the PR stated, a 353% increase in orders the first two months this year over last years entire first quarter. The revenues will follow.
I missed most of the morning here. It's great to see a PR showing huge growth in sales. 353% increase over last years first quarter and still have a month to go in this quarter. How on earth can that be interpreted as anything other than positive news? Things are shaping up very well for HISC.

I hope the merger news comes on time. Somebody on the board said they had spoken with Rodney at Apple. And Rodney said that the news might be as much as 10 days after the date we are expecting. Needless to say, I hope it comes sooner.

O.C., the CT has just recently become available. It is going to be a huge revenue source for HISC and the new BB company. The key words are...it is going to be.
I'm more interested in the 3rd and 4th quarter financials for 2006 as a measure of the future of this company.
I grew up in Eugene, Oregon and remember buying shoes from Phil Knight at the first and only (at the time) Nike store two years after they opened. If I had seen Nike's financials at that time, I would not have bought Nike stock. Which I didn't buy, but that's another story.
Of course we would all like to see PR's with numbers. We will be seeing them soon. Remember the CyberTracker is a new product that just recently became available for delivery and it can be configured to fit the needs of each individual client. As such, anyone placing a large order would want to test it, not only to see if it does what it says, but to see how it could most benefit them. At this, still early stage, no company is going to just call HISC and say "send me 1000 CyberTrackers".
That's why I believe many big orders are around the corner. HISC could be witholding news on big orders, as some have said, until the merger but whether they are or not, the big orders will come.
As such, I liked the PR, it gave us more information (as RCP and Neutral pointed out) about the possible structure of the two companies after the merger, as well as keeping HISC's name in the news. Personally, I expect PR's with big numbers to report, but it's still very, very early in the game and I think you are expecting too much too soon.
We will have good news soon. I'm not predicting what day it will arrive though.

Here is what I like about what you wrote. If a person had no shares of stock and no vested interest in the outcome, your scenario is the most likely result of all this manuvering. Of course it won't play out exactly as you wrote it, but it should be really close. In other words, the preponderance of the evidence points towards these events taking place. I think after the rollercoaster ride we've been on, people are almost afraid to think in overly positive terms. Plus, nothing happens as fast as people want it to. The days and weeks seem to drag on, but in reality this thing is happening very, very fast!
Some of your projections might seem to some people like pie in the sky, but if you apply logic, it is not only NOT pie in the sky, it is the only logical outcome.
Below are some comments on what you wrote, mostly affirmations but I want to comment on some key points nonetheless, so bear with me:

I don't know if anyone has thought of this. But, this point alone is enough evidence to make me feel very confident. Actsoft is in good shape as a private company. There has to be a VERY COMPELLING reason for them to go along with this.

This is the most difficult part to predict. It's fairly easy to use deductive reasoning to conclude what must be happening based on what we know about the HISS/Actsoft. But, we are trying to make an educated guess about the exact division of responsibilities with no information about the BB companies industry or products. A software company of some type seems to make sense, but it could be something else related to homeland security, or possibly a manufacturerer of some type, but it's hard to say. However, this point is not one that is a "scary" unknown, in my opinion. We know it has to be a win-win situation, but exactly how the two (three actually) companies will fit together is tough to know for sure.
All in all an excellent appraisel of what is going on, in my opinion.

Thanks for the heads up. The demo is great! It makes you start trying to think of new applications for the cyber tracker. The possibilities are endless.
FWIW...I spoke with Jackie at Big Apple. What I could get that I wasn't sure of from the PR is:
1. It is a "merger" not an "acquistion".
2. The ticker will not change...we will still be traded under the symbol HISC. (I asked twice)
3. We will be receiving dividends in the other company and retaining our shares in HISC. She doesn't know what the share exchange rate will be.

It's difficult to make an educated guess as to what is going to transpire because the PR announcing the withdrawal of the SB-2 was as clear as mud.
Everybody seems to be assuming that HISC is merging with, or being purchased by another company. That is a reasonable assumption because it's impossible to understand how a deal could be structured, (based on HISC's current financial situation) that would allow HISC to purchase any company, let alone a company on a bigger board.
Having said that, every quote in the PR announcing the withdrawal of the SB-2 seems to point to HISC merging with, or buying another company. The only exception is the quote that Kook just mentioned. At first glance it leads you to believe that HISC would be receiving an offer, and then Kook gave a viable alternative interpretation that could lead you to believe that the shareholders of another company will be receiving HISC's tender offer . Admittedly there is a lot of grey area in there, but look at the following quotes from the PR:
Homeland Integrated Security Systems, Inc. (HISC) announced today it plans to pursue possible merger and acquisition candidates in order to speed up its move to uplist...
The identity of the target company, as well as the exchange on which it is traded, has not yet been released.
The reason for the withdrawal is simple," Moody said. "The rules wouldn't allow us to pursue both the SB-2 and the acquisition at the same time, so we had to choose.
Although these could be intrepreted to mean many things, I believe an uninterested observer reading these quotes would make the assumption that HISC was merging with or buying, not being bought.
The PR also states that, (paraphrasing) the desired result would be to speed up HISC's move to a larger more regulated exchange. If it were a straight out purchase by another company, we wouldn't be moving to a more regulated exchange would we? We would get an offer for our shares and move onto other investments.
I know all this has been discussed before, but when you consider what Kook wrote in his last post, then consider all the other quotes from the PR, it sure doesn't sound like a company about to be purchased. Since HISC acquiring somebody else is unlikely, (if not impossible) I'm betting on a merger.
Maybe we should start a pool. The prediction that is closest to what actually happens wins 1 share HISC...future value $5.00??? or .0005????.

It would be unfortunate if we receive a tender offer and that's it. I'm hoping Saturn's thoughts in his earlier post ring true. If we get a large premium for our shares, it won't approach the numbers HISC could see in the long term.
OT (sort of): Anybody want to bet that if Lacy makes 2 million dollars on HISC, the first words out of her mouth will be "Oh no, think of the taxes I'll have to pay".

I owned PRGN when they were acquired by H.P. PRGN went through an accounting scandal, bankruptcy, indictments, lawsuits and a lot of other garbage. But at the time of the acquisition they had come out of bankruptcy and seemed to be headed towards uplisting to NASDAQ.
PRGN closed at 19.10/share the day before a PR came out announcing a merger/acquisition by H.P. at 26.08/share. PRGN continued to trade until the deal was closed. I believe it took about four months give or take. During that time PRGN traded in the 25.00/share range. Some people bought hoping that a better offer would come along, others (me) sold thinking they would take the money and find somewhere else to park it. I was long gone by time the deal was consumated, but the shareholders who hung around were to get 26.08/share. So in the end the shareholders received a premium. Of course a debate ensued about whether it was enough etc. Probably not a great comparison to HISC, but it may be somewhat similar to what could happen IF HISC is acquired.
PRGN was the second stock I owned and I held it for 2 1/2 years. I took the proceeds and decided to further my education by purchasing HISC...LOL. I may buy some more this week and then I'll just sit back and listen to the sage wisdom of the Capt. and Tex and wait this thing out.

I added 200k shares yesterday. Gonna go home and kick the dog a few times, but no real worries. It wouldn't be fun if it were easy.
I can't say for sure what is going on right now, we are all just speculating, but I feel this news is a good thing, just don't know how the good news will play out.
I am not an experienced investor, but I was intrigued by HISC, so as part of my DD I attended the CES. Actsoft employees were working as one with HISS employees and Actsoft people were extremely excited about being a part of HISS and having the opportunity to sell the CT.
I based a most of my investment decsision on what I learned first hand at the CES. If you are a day trader, than the company doesn't really matter, you are just playing a game. I'm surprised that more investors, particularly if they are long and investing a significant amount of money, don't attend at least one company event. A few hundred dollars for a plane ticket can make, or save you a lot of money.
I bought another 100k shares this morning.

That's right Capt. What a difference a day makes, huh. The bashers seem to have disappeared into their little holes tonight. I hope this post doesn't wake them up. Whatever tomorrow brings, the long term possibilities remain tremendous. Many (Red Cloud, Tex etc.) have pointed out that nothing has changed in regard to the products, the potential market etc. The PPS can still be manipulated, so don't get too excited about it. It won't be long and the MM's won't have complete control of the PPS. That's when HISC will begin to realize it's true potential and our patience will be rewarded.

OT:
The only thing that I'm absolutely certain about with EMTI is that six months from now an EMTI investor will be walking down the road in tattered clothing. A stretch limousine with the vanity plates "THKS HISC" will pull up and a man will lean out and say, "Get in we'll give you a lift, and here's a few hundred bucks to help you on your way". The man in the tattered clothing is so grateful for the kindness that tears will form in his eyes. The pretty blonde under the rich man's arm will say, "Spence, I love you because you are so caring. And all your money? Yea, that helps too".
Could be wrong about all this. Just have to wait and see.

I used to work next door to the PR department at an airline, (they had a tough job after one of our planes went down) but that's as close to any knowledge of PR's I have.
Apple is supposed to be the highly paid experts. My gut feeling is that they are saving some big announcements until after the uplist. The uplist will bring attention to HISC and any substantive PR's closely following the uplist will have a bigger effect at that time. Of course, maybe I should go into the PR business as I'm attempting a positive spin on the PR situation again.
Neb, I know I was grasping a bit for an excuse on the PR's there, lol. Trying too hard to put a positive spin on things, maybe I should go in PR business! Still I'm not going to get too excited or ticked off about anything until the uplist. It just seems that PR's are wasted at this level anyway.
Maybe the buyer doesn't want the quantity of CT's ordered to be stated. Wasn't that the case with the towing company? In any event I think the PR's that are released will begin to effect the price after the uplist/Actsoft acquisition. Until then, PR's let us stockholders know that the company is making some sales, but nobody else is going to pay much attention.
I just noticed that Risk started the day with some bull@$#% on the other board. I enjoy all the posts, even OT posts, but when it's a constant stream of crap like Risk and Liar post it makes me want to slap them upside the head. I think a court would find that it was justified:)
The only problem with this board is that some of the thoughtful posters are not members. Maybe they'll pay up when HISC starts to climb again.

OT: Catty, Telemarketers are a different breed of people and they emit a signal that is recognized by newer model cell phones. 99.8% of their calls cannot get through.
Either that, or there is a "do not call list" that all telemarketers are required utilize. It can be found on the internet and if a telemarketer is found to be calling numbers that are on the list, he/she and the company they work for can be made to pay a heavy fine.

I figured I would start at the top. I called President Bush. He said he was sorry he was so involved with that war on terror thing and he would now devote more time reviewing Apple's PR's.
I then called Moody and he agreed that what the company really needs at this time is a better informed message board at IHub. He said he will immediately halt production on the CT, stop talking to the ports and call all his salespeople in to have them devote more time to critical rumor squashing at Ihub.
My last call was to my My Aunt Millie in Iowa. She is mostly concerned with who is long and who is short. Mentioned the Capt., but I'm not sure we were discussing the same topic.
I will continue my DD and report back later.
I agree Saturn. It seems to me that releasing significant PR's this close (hopefully it's close) to the uplist would not have that much impact on the stock price. After the uplist, people will beging watching HISC and the impact of PR's will be much greater.
I've mentioned this before but both HISC and Actsoft exec's at the CES were excited about the merger and they were already working as one company. If Actsoft had doubts about the acquistion happening they probably wouldn't want to be spending time, money and energy affiliating themselves with HISC in the minds of their customers. In addition Actsoft is already marketing and selling the cybertracker and we'll hear a lot more about those sales after the uplist, IMO.
At the CES, the executives from Actsoft and HISC were working together as if the acquistion had already taken place. In their minds, it's not even a question, it's a done deal. Obviously, something unexpected by both parties could happen to change it, but it would have to be something truly unexpected. The Actsoft sales force will be very upset it if the acquisition doesn't go through as scheduled. It's the least of my worries.
Wow, I wander off to play softball tonight and come back to all this. I guess patience is wearing thin. I will come clean now and Sans should to. There was no CES and there is no Hisc or Actsoft. Look closely at the pictures and you'll notice that the people are just cardboard cutouts.
I wish all could have gone to the CES. I have done as much DD as my feeble mind can take, but the CES clinched it for me. The cardboard Actsoft people were chomping at the bit to be turned loose to sell the CT. They were obviously well versed in the technology and they realize they have a great product to sell and they're excited about it. And, this isn't just a stock they own, it's their income and career on the line. Most of the things we discuss are secondary to them, because they realize it will happen in time. I guess it was just a last bit of reassurance for me. HISC could go under, but if it does it won't be because of any conspiracy or lack of quality people running the "show".
I don't remember who posted the "shock and awe" post earlier, but I would bet money (and I am) that that is what we'll see after the uplift, uplist...whatever. Any big news of orders now won't have close to the same effect that they'll have after the uplist. Anyway, I'll sit back and wait to see what happens, either direction won't be the end of the world.
Speaking of doing things in the right order, I'm glad to read that they are having a meeting to discuss production. Since I firmly believe there are many small quantity orders for the CT out there, and hopefully some large ones in the not so distant future, production schedules and quality control will become critical. I haven't read anything about a lead time for production, did I miss something on this forum or elsewhere that addresses this?
I agree, why announce any orders as a pink sheet. Especially with uplist just around the corner. I expect that any substantive PR's will wait until the uplist and although it tries everyone's patience, it will be pay off much more.
I prieviously mentioned a guy I saw at the CES who was inquiring about CT's for his fleet of trucks. There was no way he was going to place an order right there. He was just starting his DD for a possible purchase. I'm pretty sure he had never heard of the CT until the show, but I know it impressed him enough to do further DD and consider replacing his current tracking system with the CT. I would bet it would take him a month or so to do research, determine if it makes sense for his budget etc. before actually placing an order.
Of course the CES never happened, the CT is an empty box, and my attendance at the show was just a dream right, Jag?

J. Ian Riley is 23 now according to the guys at the CES, so cut him some slack. I asked about him while I was at the CES and Troy Van Dyke, VP of Product Development, told me that Riley started a business repairing computers when he was twelve years old. He also got involved in a couple of other small businesses during his teen years. He was one of those kids who had an interest in business and specifically computers at a young age. He also said he was a very down-to-earth guy who is super sharp and probably wouldn't mind being called a computer nerd.
OT---Whocares, I couldn't get your video to play, but I'm pretty sure it was the Adult Video Awards. Those folks were in the same building as the CES and we were more-or-less co-mingling. You couldn't miss them. Many at the CES were upset by it. It wasn't exactly like you might think. Lots of nut cases, (no offense meant to the nut cases here). I talked a female security guard into letting me walk around the show with her.
There were some nice bodies wearing next to nothing, so it was very worth while, but they were out-numbered by people who I will have nightmares about for weeks. For example, the height disadvantaged (about three feet tall) guy wearing a tarzan suit/thong, and several people with chains hanging from piercings that were in places normally covered by underwear or bras. The worst, for me anyway, may have been the naked beefy "cheeks" that rippled and swung wildly from side to side as they walked through the show. It was very crowded and I spent a great deal of time dodging these weapons of "mass" destruction. I could go on, but I've probably already offended enough people.
