Hello arbpro, when did you e-mail him? It sometimes takes him a little while to return your e-mail, and other times he's really quick. If you don't hear from him by the end of the day, I would follow-up with another e-mail. Make sure to introduce yourself as an investor, and be nice ;) I told Scott I wouldn't bug him anymore for a little while, but I would love to help out if you still can't get a response.
***E-mail from Scott***
Here is the e-mail that was deleted. I used my wife's I-hub account to post the e-mail last night, so they deleted it. Evidently they view that as having multiple accounts... Anyway, here is the e-mail:
I wrote:
"When the asset purchase agreement is finalized this week, when do you plan on filing the SB2? Once filed, how long do you anticipate it will take to receive approval? If your numbers for the prior two quarters have already been audited, why can't you release those separately to inform shareholders of the audited results of operations? This will greatly enhance the credibility of the guidance released.
Also, have your auto sales been meeting or exceeding your monthly expectations? If there has been an increase in demand, has their been a subsequent increase in the default rate? What, would you say, is your profit margin for all of NowAuto's operations?"
Scott replied:
"The SB2 is scheduled to be filed in September, including 2 years' audited financials through June 30, 2005. From that point on we'll be fully reporting, even while our SB2 is being reviewed by the SEC. Effectiveness is declared by the SEC and is out of our hands; thus it is hard for me to estimate how long it will take them. A guess, and only a guess, is 90-120 days. You don't audit in pieces, e.g., quarters, it all flows together, so the second question isn't applicable. Auto sales have been in line with budget, although certain locations have been softer than planned (made up by other locations). Default rate as a percentage of total loans should not vary unless underwriting criteria changes; so we will likely see a higher absolute number but not a higher percentage of defaults. I can't discuss margins since we're in a bit of a quiet period. I can say we shoot for dealership gross margin of 50% and finance gross margin of 60%. Navicom shoots for s 40% gross margin."

Hopefully this answered some of the questions on this board, especially from the "teacher". If there are anymore questions or concerns, Scott and Keith would love to help you. If you have more Navicom specific concerns, Keith loves to talk about it.
It was deleted b/c I had my wife register a new account, so I could post the e-mail. Well, I guess they don't like people to have more than one account, so they deleted my message. I will post the e-mail again.
Churak, we all know what he meant. "When the Now Auto Group reports..." Per Scott's e-mail yesterday, two years' audited financial statements are going to be released, though June 2005. We will see the numbers, hopefully, by September.
This is my last free post remaining. I do not misunderstand anything Greg, please read my post. When thinking about these two companies, you should lump them together as the Now Auto Group. Their assets will be listed on the documents in the SB2 that is submitted, reviewed, approved, and filed with the SEC. Per their press release, they will become one entity, and all the records from NowAuto will be combined with, and into, the documents from the Now Auto Group. This will take a couple of months, so if you don't feel like waiting...there are a lot of other stocks in the market.
If there are any more responses to me I will answer them tomorrow when I'm able to post again. If any of the "skeptics" have further questions, please consult Scott Miller: smiller@nowauto.com
That's why I put "merger" in quotation marks...it's an asset purchase agreement, per their press release.
You are misunderstanding me, I am referring to the Now Auto Group.
If you're thinking of it from that aspect, then you're correct. Rather than using two symbols (NWAU & GEIV), you should think of them as the Now Auto Group. The Now Auto Group will release audited financial statements, as approved by the SEC, once their documents have been submitted, reviewed and approved.
You must be patient, compiling SEC compliant documents, and having them approved, can be quite laborious. If we were directly filing to be listed on the OTCBB, rather than "merging" with GEIV, the wait could be much longer. Good things come to those who wait. However, if you wait on the side-lines, you may lose the chance to buy cheap shares. This may be a good position to dollar-cost-average over the next couple of months. IMHO
I am talking about NWAU. I really don't care about GEIV too much. To me, NWAU is just using them to become listed.
The biggest reason this stock can't hold the PPS is because it's on the pink-sheets. They have never promised us that audited financial statements would be released on a specific date. They have assured us that they will be released, however, and that they have plans to become fully reporting. If they had not agreed to an asset purchase agreement, we would have seen our audited numbers by now. There is more complexity to the situation now, and, if anything, we are much better off than we should have been. We went from hoping to be listed on the OTCBB, to soon-to-be listed on the OTCBB and filing for the Nasdaq. Remember? You must be patient, and if you can not, then you should probably not invest.

If they do not release their audited financial statements after the SB2 has been submitted, approved, and officially filed with the SEC, then I will need a very good reason to not take some off the table. Scott will keep us posted during the filing process, and I'm confident that we'll get what we're looking for.
Now, once the statements are released, if there's a devil hiding in the details, then I will sell. I have no problem doing this and I will admit it if the time comes. I am not married to this or any other stock. In fact, I have kicked myself in the past for not holding long enough. When I see value in a company, and strong management, I stick to my guns until I see something that convinces me otherwise. I have yet to see anything I disapprove of with this company. A couple of times I have had my doubts, but I just raised my concerns directly to Scott.
We will have our audited numbers soon, it may take a couple months, but we'll get them.
You can't help but have speculation with this stock, that's the name of the game right now. The wild, unfounded accusations of scams and fraud, however, are completely made up. There is no proof to back these claims, nor is there audited financial reports to back our claims. This is the in-between stage of becoming a fully reporting company. If you don't want to invest here, you don't have to.
I completely agree, I need to see the audited financial statements in order to validate my research. Everything I have analyzed has a big asterisk next to it...
We will have the reports in the next couple of months, just be patient. I reiterate: this may not be a good short-term position. If you are looking for quick money, there are a lot of other stocks in the market. If you're a long-term investor, the reward will be worth the wait.
Now, if something that they have stated will happen, doesn't come to fruition...I will be first in line to reevaluate my position. As far as I'm concerned, however, everything they have stated has been done. The earnings estimates are yet to be verified, obviously, but their press releases and e-mails comfort my suspicions. If you are truelly against this stock and this company, nobody is holding a gun to your head to be here.
Scott and Keith will return your e-mails if you write to them. Give it a try, and post their responses. They can fill you in on most of the information you are requesting. All the other information you are requesting can be found in the press releases, or the soon-to-be-released audited financial reports. They have not lied to us yet.

Yes, please refer to this e-mail from Scott on July 23rd:
"Audits go with the SB2. Audit goes through June 30th, so Q2 included in audit."
Once the asset purchase agreement is completed, this week, the documents will be submitted and filed. After review and approval, they will be released to the public. As to more detailed information or timelines, please research that on your own or maybe another poster can explain.
You're exactly right, they still have to have audited financial statements and they have to be filed. This is not a scam, that poster is just lying...plain and simple.
When the volume dries up, it does mark that the selling may have subsided. Buyers will usually step in after the dust settles to pick up the pieces. You can't make the assumption that there are no buyers, they could possibly just be on the side-lines hoping for cheaper prices. 9 times out of 10, a decline on lower volume is extremely bullish, and usually foretells a trend reversal. Whether or not it will apply to this pinky, time will tell. Patience is rewarding and you just have to tune out the ignorance that is posted on this board. I'm amazed at those still claiming that this is a scam, they have some serious issues to deal with.
Here's something to discuss, e-mail from Keith Tench:
I wrote:
"How are the developments with Navicom coming along? Is everything on track for August still? Do you have any significant new deals in the pipeline? If so, can you provide a guidance for sales during the rest of the year, and next year? Any other helpful information is very much appreciated."
Keith replied:
"Thank you for the email.
Everything is on track. We expect to have units delivered by late August as planned. They are testing both the GSM and Microburst box as we speak and we expect to receive live test units by the first week of August. The back end is 75% complete and we continue to have weekly meetings with the software engineers to stay on top of the developments.
With the addition of John Pappas, our new Executive VP of Business Development, we have been extremely busy with a multitude of deals ranging from enterprise accounts to nationwide retailers who will integrate our product into their distribution channels. You are going to see an enormous shift in the direction as it relates to microburst vs GSM. Companies who primarily sell microburst (Aircept) and others are scrambling to stay in front of the curve. The paradigm shift in the industry is headed toward EGPRS (GSM). Because of this, we plan to aggressively market our GSM box and its capabilities both domestically and internationally. I could talk all day on why this unit so extraordinary but that will come shortly as we move closer to the launch date. A side note on the unit: It will do over the air programming and reconfiguration as well as have the ability to do full voice transmission. You can imagine the possibilities this opens up for us.
We’re on track with our 1,000 unit a month forecast. In fact that number for us is a baseline based on a 3 month rolling average. By no means is that what we are shooting for. It’s our minimum internally."
I hope you're right. I don't mind paper down-days, but I prefer to see it go up ;)
The board is much, much better now...man! It's surprising what a difference that makes. I thank t5lewis, and whoever else made this decision. We can actually discuss NWAU now ;)
Does anyone else think the MM is holding it down today? I've noticing buy orders roll in, and the ask remains unchanged. But as soon as a couple sells come through, that bid drops hard. I guess we'll have to deal with this until some renewed interest sparks a rally.
You just have to be patient, we've had a tremendous run-up lately. Don't you remember the days when we were hoping to get over $1? Just remember that and you'll remember how patient you were. This stock is very undervalued, it just lacks interest at this point. Once we get a renewed interest, our patience will be rewarded. Rome wasn't built overnight. It may drop below $1.50, but who cares! If you're short-term that might concern you, but this is a much better long-term play than it is a short-term play. IMHO
I see good times ahead for NWAU as well. I adjusted my ignores, so hopefully that'll help. I was just getting irritated by the direct personal attacks, that's not my style. I like to focus on the actual company and it's related information. Now that some board rules have been reiterated, and explained, hopefully this board will be better. I'll give it a second chance and we'll see...
The e-mail was yesterday (Saturday, July 23). t5lewis, how do you change who you have on ignore? Is there a way to get more than 5 w/o paying?
FYI, for those that are interested in NWAU.
I asked Scott:
"When do you plan on releasing your audited numbers? Are you going to release your results for the last quarter soon, as well? When do you anticipate the asset purchase agreement to be finalized, and, thus, shares exchanged?"
Scott replied:
"Purchase agreement next week. Audits go with the SB2. Audit goes through June 30th, so Q2 included in audit."
Dennisb68, thanks for the message. I'll probably stop by when there's decent discussion going on. The board is horrible when there's nothing going on and the idiots are posting. Also, how do you change who you have on ignore? Are you only allowed 5? I prefer Yahoo b/c you can have unlimited igores for free... TIA
Thank you YankeeAce, I appreciate your help very much. I will look into the items that you've listed, as well as all of the others. I am very interested in their business model and industry, but I agree that there is fierce competition that both exists already & is entering the market. I will most likely make a small purchase on Monday, then, if I like what I see, I'll probably do some follow-up purchases. Take care and I'm sure we'll discuss this company further.
Take it easy Hog, I'll probably run into you on the Yahoo boards. Thanks for recommending this board to me, but it's not for me anymore. Take care.
Maddog, you may want to switch the assistants out now that I'm not going to be here anymore. Hog is a good choice. Take care.
That's it, I'm done posting here. It's gotten out of control and it's just distracting me from the information I really need to be concentrating on. Good luck everyone, it's been fun. Hopefully I'll see you all on the Yahoo boards once the Now Auto Group is on the Nasdaq. Take care.
Please Help With DD
I'm doing some DD on this stock as a "gamble" play, please give me some brief bullet points as to why this is a good investment. Also, please list any negatives. Thanks in advance.
"...the information that the public will be seeing on NWAU has been "filtered and screened" in favor of one particular view.
Since the PUBLIC is the ones buying this stock ...and the PUBLIC is having the information screened via bias/pre-prigrammed methods ...only a FOOL would stay invested!!!"
If you call a message board the "public", then you need to broaden your exposure. Who cares if they censor a message board, it doesn't matter. You should only read the press releases and filings (if any) from the company. That is the true information being released to the real public. LOL
BTW, I only responded to that idiot because it was a direct attack at me. I usually don't care, but something in me makes me respond when directly approached. I will not respond to he or anyone in that "group" again.
Why would a stock that doesn't have operations or good fundamentals want to be purchased or traded? It's just a shell company that happens to have BB status, that's it. They have all the proper filings in place and are looking to purchase or merge with an existing operation. Many companies are like this, some are actively traded, and others are never traded. Probably on the day of the trasaction, somebody that is familiar with NWAU bought GEIV in hopes of a run-up. It probably hadn't been traded, and had the ask at $6.10 because of the merger, so someone bought. After the merger is complete, won't this stock be valued at around $6? I think so... You shouldn't look too deep into 100 shares anyway....LOL I'm sure the stock only has insider transactions, but no public investors would take that risk. Plus, you can price a stock at whatever you want, but it doesn't mean someone will buy it. If someone does, more power to them. As far as the other more detailed information goes, you should contact the SEC or other professionals, but I can tell you this much: It's Not a Scam. There has been way too much publicity and information released for this to be fraudelant, that isn't even a question at this point. LOL
Now...how do I put you on ignore? Maddog, can you have more than 5 ignores somehow w/o paying to be a member?
Wow, that was a pretty disappointing close to a fairly disappointing week...oh well. Patience is the key with this one, we'll have our day in the spotlight again soon enough. Have a great weekend everyone.
stockhead....if you still have an "ignore" left, I suggest you put watchdog on it...if anyone. You're just wasting your time, and the board's.
justwatching77: What do you think of the short-term technicals? I like the volume dry-up today after yesterday's strong positive volume. Also, we didn't retest yesterday's low, and stayed in a pretty tight range...compared to recently. Do you think we may have formed a bottom? I would like to see a strong volume, positive day tomorrow to close out the week. (I really try not to think short-term with stocks, but it's fun to analyze patterns...sometimes it works, many times it doesn't..but it's fun.) Thanks in advance for your reply.
No detailed information or numbers has been released regarding the merger and effects thereof. Unless I'm mistaken, if so please provide a link to that information. If this is the case, and there is no data yet, everyone is just guessing and there is no credibility to anything anyone posts. I refuse to guess, it is unproductive. Once we have some data to pick through, then we can all talk about the details...
Good post Maddog...I just wish we could ignore more than 5 ;)
Wow, some people still want out... Hopefully we'll get all the trash out soon, but we'll probably just get more trash. I think I'm gonna call it a day and go play golf...take it easy.
They will soon, be patient. If you have short-term intentions, please move on. Nobody is forcing you to invest in this company, there are thousands of other companies to invest in.
