Clueless. Anyone shed any light what this is for?

For me this is 18-24 months and an investment with no separate trading account. Competition will be fierce with lots of roadkill. I will continue to add as everything happening will make SHWZ stronger.
Total NM sales for April was $46Mil vrs $47.7 for March. Not sure exactly what SHWZ dispensaries did individually but sales went down close to 4% with 1 less day. Now understanding why the last new hire was hired to increase wholesale revenues from this large increase in dispensaries. IMO, lots of red hitting the bottom line for q2. 340 new dispensaries in one month and sales down not going to fly very well. Since this news has been out for 2 days and no one has posted it makes me think some l-termers here are quietly selling and mum is the word.
With NM reporting very soon it will be very interesting and revealing to see revenues reported with all these extra dispensaries for April. With almost 50% more dispensaries than the prior month I would think even with 10% total state sales growth we would be doing great to just maintain March sales reported for SHWZ. Would appreciate any thoughts from anyone on this subject. This does not in any way change my accumulate mode presently for me as I believe the SHWZ playbook is very positive even when a speed bump arises now and then.
My thought was with all the convertibles factered in plus options etc. the total possible O/S was well over 200Mil. With A/S at 250Mil and my expectations of continued aggressive expansion and using cash, notes, and stock it was a reasonable expectation. With that said and a new CFO obviously with a few positive law changes anything can happen over the next 18-24 months. Surely our ace management is much more in the know than my limited knowledge on where this is going. My slogan is"follow the money."
IMO, most will be converted and debt will not be the problem as suggested in the past. Why would you not convert if the pps is much higher than $1.20
This cant be good for the small mom n pop operators. Everybody cant grow it and even less have the marketing skills needed to operate in an enviroment that is quickly becoming hugely competitive. IMO, a lot of operators are going to lose a lot of money and go under quickly. Unfortunately the population will not support this many dispensaries. Colorado has about 6 million while NM has a little over 2 Mil. Very obvious NM dispensary operators will have saturation issues very soon. Im glad were are a verticle operation and not dependent as others will be.
PS I was shocked to be honest about A/S not getting a vote. Obviously Dye is holding his hand close and might have a wild card or two yet to be played.
I used to own SLGWF when Chris Driessen was CEO. Very down to earth and actually was a very good investor relations guy to boot. He was very different than Dye and his team. Was very investor friendly blue jean type guy who was totally involved and got his hands dirty. Problem was he was spread so thin with funds so limited. As far as his role at SHWZ he should be a perfect fit. The guy is very approachable and definitely knows marketing. His contacts and knowledge are top notch and should be very beneficial.

Yahoo poster says the deal is $12.5 Mil cash, $18 Mil note, $8 Mil in stock, and another $8 Mil in stock incentives
Could temper any rise in A/S as this is a lot less shares of convertible in the previous N.M. acquisition.
I agree a higher listing is not a priority at this time. However, once laws changed and they will a higher exchange will be a priority. My point was building the foundation with more dispensaries etc. is where we are currently at. While dilution is happening thru acquisitions it is of no concern presently. When the time is right a higher exchange will bring in lots of interest as investors are locked out!
Not really sure. What we do know that it is merger related. We know that accredited investors are the buyers except one. I don't see red flags glaring or the sky is falling.
IPS, you are probably right a reward for excellence. No dilution imo only transferring shares to accredited investors. I do believe if these announced acquisitions close it is a game changer.

I believe as laws become mote favorable SHWZ will do a ,R/S so they will qualify for a NSDQ or even NYSE. Thus grow the heck out of the business even at the expense og dilution. Of course this strictly IMO. However, as the economy slows down and the possibilty of refinanced debt with Safe Banking could also happen. Longer term we will be golden!

Lol! At times I may sound like I'm going back and forth. I get very annoyed that little has been done in regards to black market as all states have a vested interest. With that said I am very confident that too will get sorted out.
I believe going deep will bring synergies to the bottom line that many small operators will not achieve. Continue to average down as I've not sold a share in 2 years and still have an average much higher.
My motto concerning management being "do as they do not so much as what they say".

Couldn't help myself. Picked up anther 900 shares today. With the latest 8% convertibles realistically just as cheap as the notes for the 1st year
I like the fact that itwas just announced and expected to close in q2. Only 66 days left in q.
Wow! If everything closes we are at 60 dispensaries. This is awesome news. Becoming more obvious A/S are going to have to be increased
Good news to hear management will stay in place. This should help margins as redundacy in some functions would be eliminated plus other costs related to synergies.
With this news we might see some buyers step in. I doubt much of a pps increase is warranted at this time as their was some large hidden block sales yesterday sells

Cannibus sales are crashing hard in Co. In Feb. Sales were 109 Mil ln rec and $16 Mil Medical coming in less than $125Mil. for Feb. which is down from almost $200 Mil average for 2021.
I realize their is a way to much supply and way to much of a black market. It appears the problem is getting worse.. Oregon is even much worse. Does anyone know if the CO or anyone is doing anything to slow down the black market? Won't be long before all these taxes earmarked for numerous programs will just go away
Sure hope Dye knows something we dony know as $10 Mil for recent medical sounds extremely expensive at this time for $7 Mil in sales..
While I said yesterday no reason to add and possibly lighten up I sent in more money today. The structure of the deal is good. With so many large and small operators getting killed SHWZ continues to add stores. Scale of economy should continue to alleviate lots of costs that many can not avoid being spread so thin all over.
Agree price seems excessively high. Anyone have any idea why other than location? I do like the fact they are keeping management and growing different acquisitions with their own identity.

Fortunately I have a booming real estate business. Just a little bummed out that the industry has the majority of common everyday people rooting for them. and legalization. Then we have govenors amongst a slew of politicians who really could care less what the people want and are beholden to no one. IMO, we are years from any meaningful change. Now a certain person wanting to become president wants to associate all this school killings etc. with marijuana.

Is any monies going in the coffers from these preferrreds at 8%. If so is it possible they paid off some 14 or 15% notes?

Definitely getting oversaturated very fast. Prices are probably going to drop thus bringing down margins.
Nice increase. Hope our sales grow proportionally. Dispensaries are growing fast.
Like to see synergies with added dispensaries along with cost reductions.
