A group of stockholders holding a total of 51.71% of the total voting common stock outstanding in MediaMax on the Record Date took action by written consent to resolve that the number of members of the Company’s Board of Directors should be increased to four and that the following two (2) persons are to be added to the Board of Directors: William H. Whitmore, Jr. and Scott S. Stoegbauer.
Why did the stockholders take this action?
The stockholders believe that the addition of these directors will benefit the Company by (1) ensuring that management remains focused on the completion of the pending merger with SunnComm International, which should greatly minimize, if not eliminate, the risk of a lawsuit against the Company for failing to complete such merger, and (2) maximizing the Company’s profit potential, including, but not limited to, leveraging the newest SunnComm products (which would be available to MediaMax only if the merger is completed) in a way which would be beneficial to MediaMax.
SO THIS IS A BUNCH OF CRAP????
Now that it has taken so long to do the merger the need is gone. It is still the advantage to the SCMI stockholders for MMXT to make it, but what is the value of MMXT compare to SCMI? The delay could turn out best for the SCMI shareholders and less so for the MMXT shareholders. I am glad that I do not have a lot of MMXT shares.
Bob, why would the 14c state this move to increase the bod is to ensure the merger with mmxt??Are you saying management lied in the filing and doesn't intend to merge with mmxt??We've all heard about how kevin's departure ties into this 14c,apparantley kevin didn't want the merge, nor did granite.I for one have been buying which ever stock is cheaper for a long time based on management's and mario's repeated touting of a 1 for 1 merge.I'm sure those 38 million shares of mmxt sunncomm holds(the remainder of our dividends)wouldn't want to be short changed,those shares are probably sunncomm's lifeline right now before any potential revenue would kick in.Not much if anything you have said on here the last couple of years has been correct so I will take it with a grain of salt.I would hate to see peter screw this up anymore and go against a fair merge that has been touted over and over. This is where the legal troubles would begin.

Gregg,if it doesn't say it all, it will soon enough. This minor selloff will seem small compared to the large dump this is gonna take if we don't get some decent info around here!!. I don't think peter's "before years end" comment is gonna keep people here sitting in the dark for the rest of the year!! I think we deserve to know more about these new products and what markets they serve and of course how we will survive in the meantime!!!

Bleu, glad to see your buddy viper has come aboard to enlighten and encourage us all about our investments in scmi/mmxt.Such depth, with a wealth of information in his 35+ postings over his six years with this company.So far I've learned that I'm not supposed to be frustrated about what has transpired here and that I should sell if I don't like it.Well, I already did, about half my holdings over the last month or two.Yeah, it sucks after all this time holding and waiting and watching for nothing.This investment used to be exciting when we had some product out there but since had become extremely negative and was considered a waste of time and money by many of my friends and family...and believe me it has been embarassing at times watching this investment flounder around like it has...but still I hold on in hopes that this company will deliver the entertainment industry the technology it needs to continue without being compromised.Anyway, I'll keep it short and say I'm glad to see you have verified mario doesn't have a third alias...That we know of...Thanks again and just for the record, I'll be buying those shares back a little cheaper next week in hopes of a major turn around for this company and it's shareholders!!

Flea Speaks Out On Chili Peppers Album Leak

RED HOT CHILI PEPPERS
Red Hot Chili Peppers bassist Flea has taken to the band's Web site to plead with fans not to download the group's upcoming album from file-sharing sites. Due May 9 via Warner Bros., "Stadium Arcadium" was leaked online in recent days, much to the chagrin of the band.
"If you download it now ... you will be getting a pale imitation of the record," Flea writes. "If will be of the poor sound quality of the technique they used to get it on there and that will break my heart. We worked for a year and a half to make the epic record of our lives."
Promotional copies of the double-CD "Stadium Arcadium" were mailed to journalists with the made-up band name Ryan's Song to deter potential theft. "We spent day and night for a year making sure every little sound was just right —that they were all put together in the most beautiful way we could," Flea says. "We did not leave a stone unturned in doing that work. I can not put in words how much this record, 'Stadium Arcadium,' means to us."
"Yes, it is stealing from us, and that is lame," he continues. "Everyone has to live with their own conscience on that one. Let it be your guide."
As previously reported, the Peppers are touring in Europe for the first portion of the summer and will begin a North American tour Aug. 11 in Portland, Ore.

Another question if I may reguarding the dvcd product?
I've heard this technology could replace the dualdisc format in the music arena but have also been told it is a movie industry product allowing a movie and the soundtrack to be on the same disc thus eliminating the need for 2 discs and excessive packaging. I was wondering if this product is also protected as the dvd industry doesn't seem to have the legal challenges that the music cd industry currently faces.
Any insight on the products functionality? Could this product alone see the type of revenue generation cd protection should have seen if it were set up more ethically (legally).

Steh,why did you buy this company? I bought because of the technology and the purpose it served. The music industry is in big trouble and needs a solution.Labels and artists are having their albums cherry picked for 99 cents when sometimes it takes a full year or two and hundreds of thousands of dollars to produce,record,package and market.Have you not seen the product out in the market?There is a need for a LEGAL copy management technology.We still have a chance for success, but I'm a bit concerned that the management of this company will hold us back as they seem to have an unbelievable knack for shooting themselves in the foot!!!

Fly, would have to agree with you this morning.While I do understand how business plans and forecasts may change in a tempermental climate/industry such as this, my main irritation comes from the pr's in which most of them never amounted to anything.As well as the companies tell you what you wanna hear,string you along mentality.

I bought over a million shares based on this information and none of it has amounted to anything thus far.It's pretty sad when I have to try to get excited about making my own money back!!!!!!!!!

Let it fly randy!!!! I would have to agree with a large percentage of your posts as of late.Painful is an understatement and lets just say we see eye to eye on your opinions of investor relations the last few years.
I was really stoked when our product was TRUELY and VERIFIABLY entering the US market with all the big names last year and really bummed when we were cut short right before the supposed full rollout we had been hearing about for so long.
Don't know much about K.C. at this point but I don't think this saga is over yet!!!
IMO, BMG will step up to the plate and use at least one of our many, newly "unofficially" touted products shortly or leave us to die like a rotting corpse in the desert(arizona).

EDITORIAL: PIRACY A FIGHT FOR ALL
After working as an industry lawyer for two decades, I am well aware of the perils of piracy. But like most of us, I never realized the immensity of the problem. Thousands of pirate CDs, millions in illegal profits, billions in lost sales. These were just numbers.
Then I joined a stakeout for a suspected CD pirate (see story, page 26). As we sat and waited . . . and waited . . . I pondered the resources being used for a single bust. Why, I wondered, should anyone care this much about CD piracy?
The answers are compelling. Every dollar spent on a pirate CD is a dollar lost for legitimate goods or services. That means a loss of tax revenue that could be used for teachers' salaries, school supplies and cops, firemen and other emergency workers.
Narcotics investigators say that CD piracy operates like the illegal drug trade—but is more profitable. Organized crime syndicates (not necessarily mafia families) typically run manufacturing and distribution networks. Profits fund other criminal activities, spawning violence.
On the music front, CD piracy means fewer record deals and less incentive to invest in genres that attract pirates, like Latin and urban.
Yet many members of the music industry are blasé about CD piracy, some believing law enforcement agencies will handle the problem.
But governments alone cannot conquer this global epidemic. The music industry must help itself.
The record labels, through their local and international trade groups, actively identify piracy hot spots and train law enforcement officials to detect pirate and counterfeit goods. The labels won't reveal how much they are spending on anti-piracy initiatives, but we're sure it's a bundle.
The industry has suffered from bad press because of its legal campaign against file sharers. But such coverage ignores the far greater efforts to combat truly criminal elements.
It's time for other segments of the business to wake up and pitch in. This includes artists, writers and publishers. Participate in educational efforts. Contribute hard cash. After all, a lot of cops have put on vests for you. ••••
