LegacyXChange, Inc., formerly True 2 Beauty, Inc., incorporated on December 11, 2006, is engaged in e-commerce business. The Company is developing an online site for the trading of collectibles and memorabilia across a range of product categories, such as sports related items, celebrity related items and pop culture items. The Company is focused on utilizing deoxyribonucleic acid (DNA) and rare earth mineral-based authentication solutions to enable collectibles and memorabilia to be permanently marked through ink in a pen. The site will also allow third party collectible items to be listed and sold. The Company will feature a range of products for sale, including sports items, entertainment, coins, music and movies, stamps, jewelry, home furnishings, clothes, and business product equipment and parts. Its site will be focused on selling items that can either be won through a conventional time specified bidding process or purchased at an amount set by the seller and agreed to by the buyer. Some auctions will allow reserve pricing, which provides the seller the ability to set a minimum amount for the auction to be won.
A portion of the items for sale on the site will be given a Mark identifier that will provide the basis for tracking ownership and providing verification the item has been marked with its identifier. The Company's site will offer two classifications of products for sale: Original and Secondary, products sold in both classes will be Marked. Original are Marked before they are sold, Secondary are Marked once they have been sold. Every item sold and Marked on its site will be registered in its database. The site will provide multiple formats for buying merchandise, including auctions, reserve pricing (reserve pricing allows the seller to indicate a minimum price required for item to be sold), and fixed pricing. The platform will provide an ongoing revenue share model for sellers of the first time an item is sold and buyers of an item the first time it is sold, for the specific item, provided the product is traded on its site.
The Company will provide marking plus authentication services for Original items, which it documents as authentic when they are created. This includes following a chain of custody for the Mark, marking the item, guaranteeing the creators' identity is validated, and ownership registered in the LegacyXChange database. Most of these items will either already be in the possession of the Originator or will be supplied by LegacyXChange, such as rookie cards, photos, team jerseys, and other sports related merchandise. It will mark secondary items for the first time when they are sold on its site, once a sale has been completed. The items will be sent to its offices for marking, and once marked will be sent to the buyer. These items generally consist of memorabilia and collectibles associated with the Originator, usually bearing their name, such as signed sports cards, autographed photos and clothing. The Company will also incorporate other authentication technologies for Marks, including rare earth minerals, which can be applied through visible or invisible ink, and can be identified through a hand held scanner that only reads rare earth mineral Marks when placed above the Mark on an item.
The listing, selling and buying processes require a user to establish a user account before engaging in any trading activity, and which requires name, address, contact information and credit card or banking information only when a transaction of money changing hands takes place. Users will be provided access to all merchandise, terms and policies, storefronts and account information. Sellers are required to either have items marked prior to listing, if Original, or once they are sold if they are being sold for the first time as Secondary. The site provides registration for any item, which includes a designated serial number to every item registered. Once an item is registered, and marked, if Original, it can be listed for sale. If an item is Secondary and being sold for the first time, it can be registered and listed for sale without being marked prior to listing. Buyers are required to create an account prior to bidding or purchasing any item. Purchasing an item requires payment through either a credit card or PayPal. Its products will be primarily shipped directly from the seller to the buyer.
The Company competes with eBay and Amazon.

We do not believe we are a shell company, as defined in Rule 12b-2 of the Securities Exchange Act of 1934. We have exerted substantial efforts towards the development of our online shopping platform and marking and authentication services. We had revenue of $35,240 and $79,496 for the years ended March 31, 2014 and 2013, respectively. As evidenced below, we have engaged in a committed business plan of launching our online shopping platform and offering our marking and authentication services by the end of 2015.
Since January 2012 to present, our Chief Executive Officer has oversaw and directed our business activities by, among other things, developing our business concept and coordinating the work of our 3 full time consultants who are: (a) our IT/Programming Consultant, who from July 14, 2014 to present, has been building our website, which includes all backend and front end programming; (b) our Web Designer & Marketing Consultant (working part-time from fall of 2013 to summer 2014 and full-time from August 2014 to present), who is designing our website for the user experience, which includes graphic design and functionality and developing marketing strategies to identify our potential customers, which will include television advertising, print, radio, and online outreach; (c) our Business Development/Marketing/Project Manager (working for us on a full-time basis since January 2012 and who has 35 years of marketing, branding and retail experience) who collaborates on our overall business concepts/goals by overseeing and coordinating the foregoing consultants’ work, attending industry events, including having attended marketing and promotional events surrounding the NBA All-Star week in February 2015 and regional trade shows related to sports merchandise, such as the Sports Licensing Show (Dallas, Texas) in August 2014 and meeting with current and retired professional athletes for them to act as spokesman for our website and sell or promote their memorabilia on our website. Our consultants all work in coordination with one another towards a common goal of completing our online marketplace platform and have collectively worked over 5,000 hours towards that goal. This includes multiple daily conference calls with our Chief Executive Officer and consultants and sharing an office in Las Vegas, Nevada for the past 3 months. As of March 17, 2015, the site is approximately 80% completed, including all of the underlying coding for the database structure, security, registration, and many other key components, as well as the basic design, functionality, and content for the site. We anticipate the site going into an early stage internal beta test by the end of March 2015.
We have also engaged in efforts to promote our planned website and marking and authentication services. We hired a paid spokesperson, Bobby Grich, to promote our website and services. We are attempting to secure agreements with partners, such as the NBA Retired Players Association and NBA Players Association to introduce and support us by increasing the strength of the brand and secure individual agreements with active and retired NBA Players that would bring their sports items to our site for sale to our online population.
We have performed the following tasks in connection with our planning marking and authentication services:
· Secured the Heads of Agreement with Applied DNA Sciences, Inc.
· Researched and engaged in discussions with other marking and authentication services

NOTE 1 – ORGANIZATION AND NATURE OF OPERATIONS
LegacyXChange, Inc. (formerly True 2 Beauty, Inc.) (the “Company”) was originally incorporated as Burrow Mining, Inc., a Nevada corporation, on December 11, 2006. In February 2010, the Company shifted its focus to the beauty industry and later amended its Articles of Incorporation and changed its name to True 2 Beauty, Inc., to better reflect its new business focus.
On July 10, 2012, the Company formed a new wholly owned subsidiary True2Bid, Inc. (“True2Bid”) which was incorporated in the state of Nevada. This subsidiary’s name was changed to LegacyXChange, Inc. (“LegacyXChange”) in December 2014. The Company continued to sell existing inventory of beauty products through May 2013 when the final inventory was sold. LegacyXChange operates an online e-commerce platform focused on delivering users a wide array of sports and entertainment related products that can be won in an action packed environment of a live auction.
On July 2, 2015, pursuant to a Certificate of Dissolution filing with the Nevada Secretary of State, we dissolved LegacyXChange, Inc. (formerly True2Bid, Inc.) to allow for the change in name of our parent company, True 2 Beauty, Inc., to LegacyXChange, Inc.
On June 24, 2015, our Board of Directors approved of a name change from True 2 Beauty, Inc. to LegacyXChange, Inc. (the “Name Change”) and on June 29, 2015 shareholders holding 51.8% of our issued and outstanding shares approved and adopted the Name Change. The State of Nevada approved the Certificate of Amendment affecting the Name Change on July 6, 2015 to be effective as of July 2, 2015.
