The other day I thought
I saw Graffiti Entertainment in big letters on Navarre.com. I thought to myself there must have been a quiet merger. I didn't want to say anything at the time. I can't find it now. Maybe it was a mirage.
Let's not get ahead of ourselves.
Will my online brokerage account automatically reflect the modified SPDC price on Monday morning? Does anyone know if SPDC actually trades this coming Monday post R/S or does it now cease trading?
It's appears to be a gray area.
Specifically, can Speed Commerce legally terminate the registration of its common stock prior to resolution of its ongoing lawsuit with Graffiti Entertainment? It could be argued that those stockholders total more than 300 as well. Does Federal Securities registration rules allow that? Can we assume that SPDC has adequately apprised Federal regulators and have received the green light?
Sorry, just thinking out loud. I'm not an attorney.
Something to consider.
SDVI and probably Graffiti also each have over 300 shareholders I think. An attempt by SPDC to acknowledge any part in our situation might interfere with their preferred action to delist and restructure. So maybe they are saving us as the very last step in a very long journey. Just a thought.
The SEC filing mentioned .01 as though
it really meant something. So I suspect this is as low as it gets. Now, it would be nice if management would post something in writing regarding Graffiti lawsuit settlement.
Good question.
I thought it would cease trading Thursday. Maybe more cheapies next week. Who knows?
It appears as if Grafitti Entertainment lost
and Ken wasn't man enough to tell us. How can SPDC be taking care of everyone else but not taking care of us first? No mention in filings of any escrow account set aside. Ken has started another software company already and forgotten all about us; maybe waiting out the statue of limitations. JMHO
So does everyone receive the same
information the same time? Probably not. A Saturday morning shareholders cc could have gone a long way. Right now, Monday pre-market should be a mess. GLTA
I don't think Ken has sold us out
put now would be a good time to address the troups. Just saying.
IMHO, if Graffiti lawsuit has not yet run it's course,
it borders on obstruction. But of course I'm no attorney. GLTA
One possibility.
They acknowledge their bad behavior and promise in writing to make Graffiti whole at some future date. Sticky situation; what a legal quagmire if they loose to Graffiti. Then again, maybe Graffiti lost and Speed got the green light to do this.
Interesting developments today.
They could have done this 6 months ago. I wonder what happened to Graffiti?
If not, some may face obstruction
to say the least. JMHO
I reserve the right to comment,
only after the verdict is in.
"There are known knowns. There are things we know we know. We also know there are known unknowns, that is to say there are things we know we do not know. But there are also unknown unknowns, the ones we don't know we do not know."
Donald Rumsfeld
Sorry to disappoint.
Whenever you say that Dr Frank probably LHAO. No, I'm not her. However, I'm sticking with my long standing suspicion that the Intelligence Community runs RDI. They alone will determine if RDI ever goes public again. JMHO
The questions remain.
What does new management offer that old management was unable to deliver? It's all too quiet for me. Is any SPDC price floor safe anymore, even for a week? Did old management take any clients with them in their surprise exit? Did SPDC come to any secret agreement with Graffiti? The list goes on. No filings, no PRs, nada. GLTA
Doesn't appear to Ants Software related. Interesting history. Thx
Speaking of competitors,
was that our Real Data, Inc along with Zillow and others that was a couple of years ago involved in a patent infringement dispute with Corelogic? Did that involve any Ants technology? Was that our Real Data, Inc or one of the many look alikes? Just curious
I'm keeping an open mind.
Yes, it is true that the best nursing homes in America are our country club prisons with free wifi, health, dental, and liberal prison yard privileges. However, I'm interesting in finding out what percentage, if any, of the $1.24B valuation is attributed to old Ants, new Ants, whatever? And what percentage is personal or newly created IP technology of Dr. Kautzmann unrelated to Ants? Ant lovers old and new may claim ownership to the fruits of Ant technology but they cannot take ownership to his mind. Will the Dr. Kautzmann defense argue the very nature of genius? We'll see. GLTA
Seriously, the interesting thing about
the upcoming trial in my opinion is that in order to refute the charges the Good Doctor will probably have to disclose some previously undisclosed Financials. Good news for believers or non believers alike, right? Not necessarily. Even if Dr Frank is innocent, I suspect he would prefer RDI Financials stay private for the current, staying away from preying eyes of competitors.
Then there's Edward Bloom, Garrett Quintana, Frederick Meyer and Christine Chiaramonte. Will they appear or submit affidavit. Who knows? Alternatively, Dr Frank may just plead guilty. But even that would come with some additional admissions and disclosures. GLTA, I don't know any more than you know.
Old Management could have done that.
Why spend $52K a week thingy to do that? Kinda pricey.
What do I know?
He probably enjoys the solitude, mediation and enlightenment. I think he operates in a different world.
I suppose you could obtain
an official finding under FOIA. But that was all under the previous CEO, the Late Worth Allred. Since everyone knows semiconductor facilities have stricter safety and fire restrictions above and beyond, the event (or non-event, depending on your point of view) is almost hilarious.
The key here is Real Data Inc now runs on autopilot, something the previous business model sadly failed to achieve. Then again, that's just a guess. What do I know?
It's a shame they don't just
go private for 6 months or so. A lot of longs and institutionals would prefer that over the current race to the bottom. Maybe that's the plan. JMHO
It's a freakin train wreck.
Why would any entity wish to get acquire without first waiting out until resolution of the ongoing Graffiti Entertainment fiasco? Whatever settlement outcome, Speed Commerce will become case study for future graduate business students for decades to come. GLTA
Clearly, thing most paramount at this juncture
is that every stockholder or potential investor receives the same identical information on SPDC at the same identical time. That said, I can't help but sense SPDC voluntary delisting afoot.
I fear some decision will be rendered
by Monday if not sooner. Below a nickel the commons stockholder equity must be preserved. JMHO
Too Blessed to be Stressed.
Have a Happy New Year guys!
My cleaning lady doesn't get $52K per week. Lol
For that amount of money you could have paid down your damn debt or something. It sounds a bit much. Maybe the intent is just a month or so; but still...What happened they refused to take payment in future stock price?
We were expecting an SEC filing regarding
that recent change at the top. Probably just an oversight. GLTU
It's sounds complicated.
What's preventing Richard Willis and Terry Tuttle from starting another e-commerce and taking our clients with them? Did they sign a non-competitive agreement or something? What in fact was their severance package anyway? Reluctantly, I will admit they held some talent in marketing to bring Speed Commerce at least this far. In short, I was expecting more detailed follow up. Maybe, we'll get some this week. GLTU
I sense after hours news. Just a hunch.
You said it.
Unless they intend to put their own money into it. That might be the plan. GLTU
What amazes me is
why they didn't dump those guys a year ago? It's a no-brainier. Lol
What they say and what they mean
are two separate things. If they see PPS go to say .02 some type of action might transpire in what they might reasonably justify as in the interest of existing common shareholders. They might only demand greater transparency filing or else; but nevertheless something will occur. JMHO
Something big afoot.
Spectulation perhaps, but happening internally prior to January 8th. JMHO
Does anyone now not believe
this is all unrelated to the Graffiti lawsuit? I'm wondering what a share of Graffiti Entertainment is worth right now. Maybe10 bucks a share or more? JMHO
I might be wrong,
but I think a conference call and release of audio minutes could provide some price stability. It's almost as if they want to bring it under a dime. GLTA
Mighty quiet out there.
Just saying, January 8th is a lifetime. GLTA
Pure speculation,
but unless the charges were brought by the Estate of the Late Worth P. Allred Ph.D nothing will come of this, IMHO. Galtech Semiconductor has conducted itself as a national lab, a government think tank, for at least a quarter of a century. The US does not put its top scientists away; period. Even if found guilty (and not saying he is) he will then receive immediate pardon for national security reasons, IMHO.Sorry, that's the way it works. And all I have to say on the matter until resolution. GLTU
