CHANGES IN SECURITIES
From the 1Q08 10-Q:
Common Stock
"During the first quarter of 2008, the Company issued 914,005 shares of common stock.
An employee exercised employee stock options issued in previous years to purchase 5,000 shares of common stock totaling $2,500.
An employee exercised stock options in a cashless exercise for 1,382 shares of common stock.
A former director exercised his stock options in a cashless exercise and was issued 185,677 shares of common stock.
The Company’s directors each received 2,000 shares for services for a total of 14,000 shares.
The remaining 707,946 shares were issued in private placements at prices of $5.00 to $7.40 per share, for a total consideration of $ 3,652,000.
Total stock issuance cost for the first quarter was $395,400."
Okay, cashless exercise? One way a 'cashless exercise' occurs is when someone exercises their options and sells the shares they acquire in so doing , in the same transaction or at least at the same time, resulting in the shareholder netting the gain immediately without having had to put up the cash at the option strike price. Is that what would have happened here or is there another scenario , such as netting fewer shares than he in fact exercised options for?

Liquidity
From the 1Q08 10-Q:
"During the remainder of 2008, we expect to expend approximately $20 million on drilling activities. Funds for the majority of these activities will be provided by sales of partnership interests in the Opus-I drilling partnership, which will still be raising funds for development purposes.
Tri-Valley’s portion is expected to be approximately $5 million. We are evaluating and finalizing results of recently drilled Pleasant Valley and Moffat Ranch in order to design the optimum development plan for the property. We expect to drill additional wells there in 2008. Our ability to complete our planned drilling activities in 2008 depends on some factors beyond our control, such as availability of equipment and personnel.
Our actual capital commitments for fiscal year 2008 are less than $4 million, but to expend $20 million we will require additional capital from the OPUS partnership or other outside parties."
Financing Activities
From the 1Q08 10-Q:
"Net cash provided by financing activities was $3.2 million for the first quarter. We received $3.0 million from sales of restricted shares of common stock in privately negotiated transactions including the exercise of stock options by employees. We used $70,000 to pay down principal on long-term debt. We have not planned any private placement of equity securities for the remainder of 2007, but we may continue to receive funds from privately negotiated transactions. We do not have a targeted or budgeted amount of equity financing activities."
How much of 2007 is left?
Where's a good spellchecker when you need him? Who was that expert spellchecker that used to be around? ;)
Operating Activities
From the 1Q08 10-Q:
"We had a negative cash flow of $611,000 for the three months ended March 31, 2008 compared to a positive cash flow of $50,000 for the same period in 2007, the cash flow in the current period is due mainly to our loss from operations being offset by our increase in accounts payable and deferred revenue and a decrease in advances from joint venture participants. Our loss from operations was approximately $2.1 million for the three months ended March 31, 2008 compared to a $2.4 million loss for the same period in 2007."

Probably pointless.
FD regs mean they can't say anything definitive on any subject.
Just wondered if you saw a real method.
I already know the company name is on the door and the lights are on , although last week 'the pulse' seemed a bit slow. That's such a subjective thing anyway , we need a PR that might indicate something good is actually going on. It's pretty easy to speculate on something bad going on after 8 months+ of silence.
jonesie
p.s. And with the price of gasoline being what it is I could pick up 2500 shares for less than the drive would cost ;)
Yeah, sad. NITE sat up at .004 last week ...
... with no takers of course , but has now moved down to .003
Not having watched any other sub-penny stocks very closely (thank goodness lol) I guess I can't tell what it all means but it sure seems strange that 'they' won't just pull back on the Asks a bit and see if it would float up. Shoot , they could even swap some shares back and forth and make it seem like trading was moving it up.
They haven't done anything like that in a long long time and don't seem inclined to do it now.
The bid at .0028 seems to have thinned out a bit.
Another new multi-year low , that is an ouch.

"method of conducting business"
You actually see a method here , other than execs paying themselves handsomely for filing all required forms with the SEC while shareholders have been worse than decimated during CH's tenure?
It's amazing that Chip hasn't managed to do anything which would afford an opportunity for him to say something positive to shareholders since saying over 8 months ago "This financing will allow NeoMedia to launch their aggressive new global sales and marketing initiative in response to the rapidly expanding global demand for camera-initiated transactions and active mobile codes.
A significant amount of funds will be deployed to build world class sales and marketing activities."
I don't see a method. I just see the cashing of paychecks.

DAILY CHART
leftybobcat, another MB formed intraday Friday , coming off the lower Bollinger Band.
Wm%R crossed -50 to the upside and Aroon Down has come down far enough, with Aroon Up having already moved all the way up, giving off a MB buy signal.
The PPS is a couple of nickels or so higher than when that occurred on Friday.
It'll be interesting to see what kind of follow-through the PPS might get from today's update from TIV. So far volume is pretty good for early in the morning, you West Coasters might not all be awake yet (lol) and for a second there I think I saw the Best Ask all the way up at $6.35 with 7300 shares for sale there.
What think?
JMHO -jonesie
Isn't BOEPD the accepted acronym ....
.... for daily production of 'oil equivalent' (oil + gas converted into terms of bbls of oil)?
What exactly does "BOED" mean? Barrel of Oil Equivalent (on one) Day?
What happened to the "PER" day part? Why use an offbeat acronym like BOED? Semantics again?
lol, it's always something.
JMHO
jonesie
Thanks gumshoe, sounds good.
I just don't understand why they say "While several of its newest wells are on confidential status as to production rates with the California Division of Oil, Gas and Geothermal Resources" and at the same time report dramatically increased production right in the PR. It doesn't sound like they're really serious about that 'confidentiality' thing.
They've said the Temblor waterflood operation was still being tweaked and wasn't doing so well, so the only place extra oil could be coming from would be PV , unless the E in BOEPD represents a lot of increased production at Moffat.
So, they put PV wells on 'confidential', ostensibly to keep other companies from competing for surrounding leases, yet at the same time herald the increased production which anyone with the ability to read a few of their own PRs could easily interpolate that they are claiming a lot of production at PV.
Which part of that doesn't make sense? Why not just put the numbers up on DOGGR for Feb. and Mar. and Apr. right now instead of dancing around the issue with the 'confidential' stuff?
Was that 1015 BOEPD ON May 8 when a lot of steamed wells were produced at maximum, but possibly very temporary, output?
Or are they producing 1015 BOEPD every day, or for at least a week?
TIV's past claims which turned into vapor make me , and apparently most of the rest of the 'investment community' , very cynical about what games of semantics they might be playing with these PRs.
If that is 1015 BOEPD on a continuously sustainable basis then the increase in TIV's production would be HUGE, a 15X upward change. If the current share price of TIV is supported by the marketplace on the basis of the current DOGGR-reported production .... then if people actually believe what TIV is trying to say here, the share price should go up HUGE.
We'll find out what people do and don't believe shortly.
Good luck to all!

1) No.
2) "Potential" support levels based on historical trading action , points at which to pay special attention to what happens next , all of which obviously provided no long term support at all.
3) I haven't been much of a proponent of averaging down 'on the way down', preferring to spend the bulk of any time allocated to NeoMedia with illustrating the success of, or rather the lack thereof, 96% of the companies partaking of the toxic financing offered by Yorkville , showing how a network of connection-related companies looks when shown on one page , and pointing out reality vs management-statements. So , even though .003's might sound good to you , and might in fact turn out to BE a good 'average down' point for anyone with a higher cost basis , only the 20-20 clarity of hindsight will know for sure.

Still on track for this ...
... from 2/9/08?
"projected NET PROFIT for COPI of $2,983,500 for 2008 and that's assuming NO SALES INCREASES!
Now divide $2,983,500 by 130,000,000 shares and you get...net earnings per outstanding share of .023 per share
And you have to remember the interest expense used in the above projections is much less now, and the company is rapidly growing revenues, therefore NET PROFITS should be more than 4 million dollars, imo, for next year...
Therefore, COPI at .069 may well be one of the most undervalued companies since DPDW last traded at .069 in late 2006..."
Ok, not relevant to Cornell ...
... other than this 'company's' attorney's office is on Cornell Place somewhere.
But it popped out of a search and for some reason this S-1 caught my eye and as I skimmed through it I realized I have NEVER seen anything like this before.

http://www.sec.gov/Archives/edgar/data/1433654/000116552708000251/g2339.txt
I skimmed through very quickly so I may have some of this slightly wrong, but .....
Basically a one-woman (Vera Vechera) operation in which I think the woman lives in China and has incorporated in Nevada.
They've been in business a few weeks and want to 'go public'.
She bought 5,000,000 shares from the company for $5000 and out of that 'company funding' has paid various fees, has secured a domain name for an educational website (www.studyESL.cn), and is planning on spending around 30% of her time working on developing the business plan.
They/she (?) plan on selling 4,000,000 shares on our American otcbb at an offering price of .05/share so as to gross a couple hundred grand with which to develop the business plan.
According to statements in the S-1, if Vera gets too busy or sick they might suspend or cease operations and investors might have a hard time getting their money back. If she dies or her other obligations result in her having to drop this idea, it's history.
If you enjoy SEC filings and want to get a laugh out of one, start around page 14-15 and skim through.
At least these guys are honest. Maybe the plan is to get listed and put out some promotional pieces, sell some shares, and then be completely protected in case 'they' want to cease operations for any arbitrary reason because they know 99% of their buyers never read a filing where all of the protective legalese is.
Don't say I never gave you a good one LOL. Tripod International Coming Soon to a Stock Tout near you!

Even if we raise the maximum amount of money in this offering, we do not know how long the money will last, however, we do believe it will last twelve months. We will not begin operations until we raise money from this offering.
If we are unable to successfully negotiate strategic agreements with universities, institutes, colleges and schools to enable us to offer educational programs to our clients, or if we are unable to attract enough clients to utilize our services, we may
quickly use up the proceeds from the minimum amount of money from this offering and will need to find alternative sources. At the present time, we have not made any arrangements to raise additional cash, other than through this offering.
If we need additional cash and cannot raise it, we will either have to suspend operations until we do raise the cash, or cease operations entirely.
PLAN OF OPERATION
Assuming we raise the minimum amount in this offering, we believe we can satisfy our cash requirements during the next 12 months. We will not be conducting any product research or development. We do not expect to purchase or sell plant or significant equipment. Further we do not expect significant changes in the number of employees. Upon completion of our public offering, our specific goal is to profitably sell our services. Our plan of operations is as follows:
COMPLETE OUR PUBLIC OFFERING
We expect to complete our public offering within 270 days after the effectiveness of our registration statement by the Securities and Exchange Commissions. We intend to concentrate all our efforts on raising capital during this period. We do not plan to begin business operations until we complete our public offering.
SUMMARY
In summary, we should be in full operation and selling programs within 100 days of completing our offering. Until we have executed agreements with North American schools, obtained referral agreements, and developed our website, we do not believe that enough Chinese clients will use our services. We believe,
however, that once our website is operational we will be able to advertise our services better and attract new clients to by educational programs that we

offer. If we are unable to negotiate suitable terms with educational institutions to enable us to sell their programs, or if we are unable to attract clients to use our services, we may have to suspend or cease operations. If we
cannot generate sufficient revenues to continue, we may be forced to suspend or
cease operations.
LIMITED OPERATING HISTORY; NEED FOR ADDITIONAL CAPITAL
We have not started our proposed business operations and will not
do so until we have completed this offering. We expect to begin operations 100 days after we complete this offering.
Since inception, we sold 5,000,000 shares of common stock to our sole officer and director for $5,000.
Current management started off ...
... with some of the same habits previous management had.

At the risk of 'jinxing' anything ...
.... (cuz lately no trading has been better than trading) maybe the MM's could assume that most who were willing to sell/buy between .0031- 0035 have bought/sold already?
I wonder what they would prefer? To instigate some volume by taking it down a notch, or by taking it up a notch?

That makes sense.
So any company who would like to remain in the ballpark of companies who could possibly offer something to Apple at some point in time had better be careful about what they say.
I'm sure NeoMedia would like to think they are at least 'in the right ballpark' and have at least as good a shot as any other barcode reader company out there.
If they actually had a shot hopefully it will become apparent while there are still a few bucks floating around and while we all get to keep playing as shareholders.

George O'Leary Elected to the Board of Directors of Isonics Corporation
http://biz.yahoo.com/bw/080508/20080508005948.html?.v=1
(Previously noted when it appeared in Isonics' most recent 10-Q , it has now been PR'd , NeoMedia not mentioned but then some other relationships weren't mentioned either http://investorshub.advfn.com/boards/read_msg.asp?message_id=28490257)
Thursday May 8, 11:37 am ET
GOLDEN, Colo.--(BUSINESS WIRE)--Isonics Corporation (OTCBB: ISON.OB - News), a company focused on the provision of homeland security services and 300-millimeter (and smaller diameter) test wafers and reclamation services, wafer thinning and custom wafer products for the silicon industry, announced today that veteran businessman and management consultant George O’Leary had been elected to the company’s Board of Directors, bringing the total to five.
Mr. O’Leary currently serves as a director of several other public companies, including Futuremedia PLC (FMDAY.OB), a learning and communications company, and NeoGenomics, Inc. (NGNM.OB), a cancer genetic testing laboratory. He is also engaged, in an advisory capacity, in several turn-around situations, both in the US and the United Kingdom. The holder of Isonics’ 13% Debentures has a business relationship with and has previously invested in NeoGenomics, Inc.; nevertheless, the Board of Directors has considered the potential conflict of interest and has determined that any such relationship will not interfere with Mr. O’Leary’s being able to faithfully carry out his duties as an Isonics Director.
Chris Toffales, Isonics Chairman and CEO, said, “We are pleased to have George on our Board of Directors. He brings a wealth of business experience to Isonics, and he is equally deep in both private and public company operational and financial activities. We have spent the last year mounting a turnaround at Isonics, and George’s help in maintaining the momentum will be critical. He joins a very strong and committed Board of Directors.”

I had forgotten that. I wonder what is the current status of the reality behind that statement.
Interesting correlation you point out between salary/note.
