It’s not often that you find a stock trading at $0.0006 which could actually be long term investing material, but some traders and investors alike feel they may have found that diamond in the rough. While micro penny stocks are often reserved for scammers, frauds and companies which are just looking to take advantage of some easy capital, Italk Inc (OTCMKTS:TALK) may be one which strays from the norm.
According to the company’s CEO they have just merged with a Wireless Equipment Distributor & Technology Services Provider called United Mobile Solutions Corp. UMS currently has an annual revenue of $16 million and best of all, they are growing. On the other hand, at the current share price of $0.0006, Italk Inc’s (OTCMKTS:TALK) current market cap is just $723,200.
While this all seems swell and dandy, we do urge investors to tread with caution as this is a microcap stock which was once trading north of $1 before the company began to dilute shareholders. The stock increased 50.00% or $0.0002 on December 18, hitting $0.0006. About 81.18 million shares traded hands or up 348.51% from the average. TALK has risen 215.79% since May 20, 2015 and is currently uptrending. It has outperformed the S&P500 by 218.05%.

Pursuant to the terms of the Purchase Agreement, the Company agreed to acquire from Mr. Lee all of the UMS issued and outstanding common stock in exchange for shares of the Company’s preferred stock, convertible into 85% of the Company’s fully diluted common stock (the “Exchange”).
The Purchase Agreement contains standard representations and warranties by the parties to the Purchase Agreement and certain closing conditions, including receipt by the Company of audited financial statements of UMS.

On October 6, 2015, iTalk Inc. (the “Company”) was notified by the Securities and Exchange Commission (the “Commission”) that the Commission had suspended Terry L. Johnson, CPA, the Company’s independent registered public accounting firm (the “Former Auditor”), from practicing as an accountant on behalf of any publicly traded company or other entity regulated by the Commission. As a result, on October 6, 2015, the Company’s Board of Directors approved the dismissal of the Former Auditor as the Company’s independent registered public accounting firm. The Former Auditor was engaged as the Company’s independent registered public accounting firm to audit the Company’s financial statements for the fiscal year ended August 31, 2014 and 2013. The Company informed the Former Auditor of its dismissal on October 6, 2015. The Former Auditor’s dismissal was effective as of September 30, 2015.
As TALK does its little dips as always a great time to accumulate and I for one look forward to buying lots more in the next few weeks while I can afford to do so! Look foward to the frantic chase coming soon as when is the only real question?

On September 24, 2015, iTalk Inc. (the “Company”), entered into a Purchase and Sale Agreement (the “Purchase Agreement”) with Kil W. Lee and United Mobile Solutions Corp. (“UMS”). The Exchange will close on the third business day after the first date on which all closing conditions have been satisfied or waived, or such other date as the Company and UMS mutually agree in writing.
Pursuant to the terms of the Purchase Agreement, the Purchase Agreement may be terminated as follows:
? By mutual written agreement of the Company, Mr. Lee and UMS,
? By UMS, if any Company representation or warranty fails to be materially true or correct, or if the Company has failed to comply in a material respect with any covenant or agreement in the Purchase Agreement,
? By the Company, if any UMS representation or warranty fails to be materially true or correct, or if UMS has failed to comply in a material respect with any covenant or agreement in the Purchase Agreement,
? By UMS, if the Company of any Company affiliate incurs or is affected by a violation of any laws relating to the purchase, ownership or distribution of securities,

By the Company or UMS at any time after December 15, 2015, upon notification to the other parties to the Purchase Agreement if the closing of the transactions contemplated by the Purchase Agreement shall not have occurred on or before December 15, 2015 and such failure was not primarily caused by a breach of the Purchase Agreement by the terminating party, and
? By the Company or UMS if there is in effect a final, non-appealable order of a governmental agency restraining, enjoining or otherwise prohibiting the consummation of the transactions contemplated by the Purchase Agreement.

Reg D Companies selling securities in reliance on a Regulation D exemption or a Section 4(6) exemption from the registration provisions of the '33 Act must file a Form D as notice of such a sale. The form must be filed no later than 15 days after the first sale. The exact form type is usually REGDEX, but may be a REG D-1 or similar.
SB-2 This form may be used by "small business issuers" to register securities to be sold for cash.
S-8 This form is used for the registration of securities to be offered to an issuer's employees pursuant to certain plans.
S-1 This is the basic registration form. It can be used to register securities for which no other form is authorized or prescribed, except securities of foreign governments or political sub-divisions thereof.
1-E / 2-E Business development companies (BDC) can avail themselves of a more esoteric provision of the Securities Act – Regulation E, which provides an exemption from registration for securities issued by BDCs. In short, under Regulation E, a BDC may issue up to $5 million worth of securities a year without registration. Also under Regulation E, an individual may offer to sell up to $100,000 of securities in a BDC each year.
424B1, 2, 3, and 4 filings are final registration statements to register stock under previously filed SB-2 S-1 and S-2 filings, and they serve other purposes.
EFFECT filings are notice's of effectiveness of POS AM's and some S filings ie: S-1, SB-2. The EFFECT filing comes prior to the 424B3 filing we see when the shares enter the market
Wilma6311 thats an interesting point on 2016 date on bottom of page. I assumed web developers had that set to automatically update at year end. So I went to look at UMS? I haven't noticed any changes?
