SEC Trading Suspensions to Protect Investors
The Securities and Exchange Commission (SEC) is authorized under federal law to suspend trading in any stock for a period of up to 10 business days. The SEC issues a suspension when it believes that the investing public may be at risk. Many factors influence the SEC’s decision. A very important one is a company’s failure to keep up the required filing of periodic reports—such as annual and quarterly reports—that provide the public with information about the company’s business, corporate outlook and financial performance to date. Another factor is the quality of the publicly available information, particularly if it appears to be inaccurate. The SEC will also consider the trading activity in a stock, evaluating who is actively trading and whether market manipulation may be taking place.
Once the SEC decides to suspend trading, it will issue an order of suspension and announce the reasons(s) for its decision and the actual dates. If the reason is a lack of current information, the SEC will state when the company last filed public reports. This information provides an indication of how stale available information is. Current and past trading suspensions are available on the SEC’s website.
What Happens After a Trading Suspension Ends?
Historically, most companies subject to trading suspensions by the SEC have been quoted in the over-the counter (OTC) market on the OTC Bulletin Board or other broker-dealer operated systems prior to the suspension—and most SEC suspensions are based on a lack of current information about the company. The end of a trading suspension does not mean that quoting and trading automatically start again for OTC stocks. Instead, certain requirements in SEC Rule 15c2-11 must be met. A broker must also file a form with FINRA that needs to be approved before quoting can resume. The broker can file the form after it obtains and reviews current information about the company, including:
the company’s organization, operations and certain control affiliates;
the title and class of securities outstanding and being traded; and
the company’s most recent balance sheet and profit and loss and retained earnings statement.
The broker filing the form must have a reasonable basis for believing the information is accurate and that it comes from reliable sources. A broker generally cannot quote the stock or solicit or recommend the stock to any investor until the form is approved. After approval, the broker can begin quoting—and other brokers may also quote the stock relying, or "piggybacking," on the first broker’s quote without filing the form or reviewing the company information on their own. Be aware that the SEC’s ability to continue a trading suspension indefinitely is strictly limited. As a result, the lifting of a trading suspension does not mean that the SEC’s concerns have been addressed and no longer apply.
Investors need to be careful before purchasing a stock after an SEC trading suspension has ended. If you are considering this move, here are several things you can do to help protect yourself:
Ask the broker quoting the stock what information it has on the company and how recent that information is, bearing in mind that the SEC’s reasons for imposing a trading suspension typically involve a lack of current, reliable information.
Look for information on your own and evaluate carefully whatever you find.
Understand that there may be an illiquid market for some of these stocks, particularly if the company does not have to file periodic reports with the SEC.
Use extreme caution if anyone is recommending you purchase the stock without offering current information about the company.

Newmill..You seem to know what your talking about. Can you provide some insight as to weather or not FVSTA is restricted in any way in issuing PRs with concern to the SEC suspension? Absence SEC or legal restrictions IMO there silence will be there doom.

As stated in my previous post. I hope for the best as I am invested in FVSTA, however if they do not come out and address these issues, or fallow through with previous PR statements then they are saying it all by not saying anything at all.

I agree 100%. I am not sure what legal bounds they may have to do so while suspended maybe some one who knows more about what restrictions they MAY have when under a SEC suspension. If they are not restricted or limited in any way then they need to address it ASAP or they loose credibility IMO.

FVSTA goal for this past few PRs was as stated to increase it's share value to what they claim to be fair as they claim the current pps did not reflect a fair market value. How can a company who repeatedly states raising the current FMV of there stock is the main goal, then allow themselves to be put in a situation that does the exact opposite? I am really unsure of the future of FVSTA but I am holding REGARDLESS of weather and or where they trade until I get some facts. They have been tossing PRs out like they are Google lately, to go quite and not here from FVSTA very soon they are doomed IMO of course. If they are for real they will continue there PR updates and maybe even address the SEC suspension have they nothing to hide. Anyone invested here will in the least HOPE for the best as I am, but without firm announcements from FVSTA in the next few days they are basically confirming what many believe is happening here.

Etreade called me last week after the SEC suspension and told me my sell orders were cancelled do to the SEC suspension and I could re enter them on Nov 22. I called again and got a diff story from a diff broker that it will not trade at all with E Trade. They do not really seem to know what is going on at all.

OK thanks board I enjoyed all the opinions and references to other OTC companies with SEC suspensions as well as the debates about what may be in play and what is in play " which non of us actually know for certain" At this point all that matters is:
Is there a buyout deal?
are the PRS accurate?
Are there additional reserves and do they belong to FVSTA.
THAT IS ALL THAT MATTERS at this point. In the absence of even one fact being available I think I will relaxe, enjoy my weekend and see what actually happens with FVSTA as the FACTS come out.

I agree SOME companies do. I simply asked for one fact concerning what matters as it pertains to FVSTA and the claims they have made being real or bogus and NO ONE can provide this board or me with ONE fact that there is or is not a buyer, they do or do not have additional reserves, they are not retracting 200 mill O/S shares as advised by the board. Guys i am heavily invested in FVSTA but by no means am I blind to the good or bad info provided here. I simply asked for one fact to support FVSTA current financial standing,and again have yet get one.

However when discussing a company I am invested in I prefer FACTS about bogus this and scam that but in the end no one knows one way or another. However stating your opinion as being fact only misleads people with what a portion of this board believes will happen. #2 Is there a buyer currently offering to buy FVSTA?
#3 Will they retract the mill O/S shares as stated being directed to be done by the board.
Please provide any fact to debunk or verify these three questions either way because I don't have the answer either way my self but I would sure like to hear from anyone who does I would like to know as at this time those 3 questions being FACT or not are all that really matters.

Please post a fact that supports or debunks any of the FVSTA statements/PR's or potential for success I would appreciate the info. North or South it's very simple.
SOUTH Bound:
If far vista has lied about the oil reserves, lied about the O/S being pulled, lied about a buyer going back and forth with offers to buy between .42-.50 then we are all bag holders with worthless shares of a worthless company. NO verifiable info has been provided that any of these things are true or false.
North Bound:
Far Vista has the reserves mentioned, files to retract the 200 mill O/S shares, and has a solid deal on the table we are all going to do very well. Also non of which is proved true or false.
SEC suspension makes no difference until we have these FACTS pertaining to which of these two scenarios are in play. Other then the SEC suspension none of us can say for certain what the facts really are. I have yet to see any factual info on the South bound or North bound out comes.

PR's made by FVSTA pres stating factual new oil reserves. Factual O/S retraction. Factual deal on the table for a buyout as well as counter offer and what not.
Taking a step back and not assuming anything does anyone know what the legal liability is to the board, the president, and/or anyone else involved in the blatant PR's if they in fact turn out to be invalid?
Is it civil? they get a slap by the SEC and maybe a lawsuit?
or is it criminal and they could face jail time?
I ask because if the R/R for them in this IF it is all blatant lies is only they cash in on scam but only get a SEC slap and maybe difficult civil issues being they are spread out between Russia, Canada, NJ god knows where. I do believe Nevada but to be honest i'm not even sure of that any more.
Basically what risk is on the line legally and personally for those involved IF this turns out to be a 100% scam??

My broker tells me the same. FVSTA has 10 days to satisfy ALL of the SEC concerns and they open business as usual. FVSTA has PR'd about accountants and attorneys working hard to gather all needed info for the B/O offer so they should have what the SEC needs on hand to respond ASAP. This plays out next week and NO ONE knows what will happen it can go so many diff ways. I will continue to state my opinion here but do my DD else where, as well as let the SEC and FVSTA facts come out before I sell a single share for any price + or - what the best value will be.

You seem to be well informed as well as you do not seem to have an agenda other then to provide facts. Question if you please the SEC suspension is being played here as if that is it game over. Is the suspension really end game now no way it opens back on the OTC market as this board seems to be convinced of? My Etrade broker told me they would begin accepting orders again 11-21-2013. Is it really gloom and doom or is it a norm for them to give the SEC what they want and re open on the OTC market soon?

Also FVSTA has been so forth coming with PRs these past weeks my guess is that without a release of the deal, or to address the SEC suspension Monday and they all the sudden go dark with news then at that point i will accept I have been had. Until Monday plays out i am not ready to roll over and accept what the SEC is INVESTIGATING as being FACT, nor do I consider this deal not being perfectly legit. Monday will be the tell for me. I agree if they do not issue a PR it will be the first real concern I have had with the whole deal. BANG BANG BANG with PRs then sec suspension and they run short on PRs. They have every right to re assure the stock holders about the SEC investigation in no way does the SEC restrict them from doing so. I expect a PR today addressing this SEC suspension.

Suspension is not a halt. I agree way to much PRs for OTC and so fast but No indication of wrong doing. We may be off the board for today but people go to jail for fraud like this i dont think these guys were ready to go to jail over this, moreover i believe there is a legit offer on the table being hashed out. This deal is done IMO its only a matter of coming to gather on figures and they are close enough so the chance of a retraction of the B/O is slim.
