rrb123, I apologize for my bad math. I guess I have been ill-informed on how to calculate pre and post split math for over 5 years.
Again, my bad and apologize. I will learn from my mistake.
ST
Nice post Crozz. I was not in Mphase and wrote that from a third person view. I don't want to mislead. I did almost bail from VRUS because of that but greed got the best of me.
I have been in three others that I had millions of shares that still sit in Schwab account worth a couple of cents due to R/S,s.
It is possible for a R/S to work out down here but everything must be perfect for the setup.
Large upward PPS weekly, used for up list only and holding large steady momentum with new revenue streams announced after the split and lastly a high enough current PPS as not to have a large split.
What would be great would be a 100-1 max on the 14C and Anshu only call 50-1 and use dividends from the TAM deal to buy back shares.
I feel we would need to be close to a dime just prior and after all that everything has to line up. Like I said, good R/S's rare as hens teeth down here.
Family Blessings,
ST
Wow rrb123,
I see you have not been through a split. So you please try to find holes in my math to make the 35.00 fake news. How much do you think his account is worth. I'll check back. Good heavens, your phone has a calculator in it.
Split math is very cut and dry. If you owned the same percentage of the company, the split ratio would have to match the post split PPS.
Do think the share price opened up 5000% more than pre split.
Go get a little knowledge in before you spew uneducated nonsense.

ST
Hey Crozz, firstly, I would like to mention I have a great deal of respect for your knowledge and comprehension of the OTC market.
However, having said that, I disagree strongly with your response to Broken in replying to Shelby about the Mphase Reverse Split. Post 158000
What a coincidence that today is the one year anniversary of the actual Mphase XDSLD split date. While I don't agree with BI about increasing shares to management prior to the split, or nearly anything for that matter, the part about the existing shareholders getting hurt financially is sadly very, very true.
While the AS reduction is noble, it has nothing to do with the simple math calculation that occurred in shareholders accounts.
The setup:
From the end of January, 2019 to just before the split May, 21 2019 the stock is trading between $1.00 and $1.50. The split takes it to $1.63. One week later and inside the no trade freeze the stock drops to $.070. Woops!
Lets say your one of the shareholders with 250,000 shares. The three months prior to the split and up until the split your account value is: $375,000 on a $1.50 day. You most likely bought in the several months prior when it averaged @ .50 Your up a quarter mill and loving life.
Now just like Gomer Pyle would say, "Shazam" and now just 7 days after the split, your share count is now 50 after the 5000/1 split and your account value is $35.00, yep, Thirty five Dollars. If you held to the next high of 12-2-2019 @$1.47 your escape value at it's highest is $73.50 And today on the one year anniversary from the split your account value is $1.15
Isn't that special.
I have been through 3 R/S's and they all had the same results. I know there are a few examples of good from these but they are as rare as hens teeth.
Management looking out for the best interest of it's shareholders; Not my take on this one.
VRUS
ST
rrb, I'm a little confused. You do realize I'm the portraitist here not the antagonist, right? I've been here since 6-2017 and still up a pile.
Color me one of the positive holders.

Shinook,
So what are you trying to get across to all those that have trusted your advice for the last two years on this being a great stock to invest in? Just curious.

Dewm, what is the name of the other stock you have that did a 1/150 split and "went up"?
Thanks,

Cdub,
Agreed. I also dislike all the legal mumbo jumbo. I learned years ago to beware the word "Promulgated"
It means in regular English; I'm going to sneek up behind you and stick it in your a**.

Three, you don't know were my entry point is so guessing is just that.
Quit with the suspension BS would you please.
ST
Cdub, I wish that was the case. It is not.
Please for your reading enjoyment find: 1. B of the note rules.
b. Until the Thirtieth (30th) day after the Issuance Date the Company may pay the principal at a cash redemption premium of 110%, in addition to outstanding interest, without the Holder’s consent; from the 31st day to the Sixtieth Day (60th) after the Issuance Date, the Company may pay the principal at a cash redemption premium of 115%, in addition to outstanding interest, without the Holder’s consent; from the 61st day to the Ninetieth Day (90th) after the Issuance Date, the Company may pay the principal at a cash redemption premium of 120%, in addition to outstanding interest, without the Holder’s consent; from the 90th day to the One Hundred and Twentieth Day (120th) after the Issuance Date, the Company may pay the principal at a cash redemption premium of 125%, in addition to outstanding interest, without the Holder’s consent; from the 121st day to the One Hundred and Fiftieth Day (150th) after the Issuance Date, the Company may pay the principal at a cash redemption premium of 130%, in addition to outstanding interest, without the Holder’s consent; from the 150th after the Issuance Date to the Pre-Payment Date , the Company may pay the principal at a cash redemption premium of 135%, in addition to outstanding interest, without the Holder’s consent; After the Prepayment Date up to the Maturity Date this Note shall have a cash redemption premium of 140% of the then outstanding principal amount of the Note, plus accrued interest and Default Interest, if any, which may only be paid by the Company upon Holder’s prior written consent. At any time on or after the Maturity Date, the Company may repay the then outstanding principal plus accrued interest and Default Interest (defined below), if any, to the Holder.

Cdub, please look at the last very long sentence in 1.B for early repayment. If payed as scheduled it is not so bad just the 8% plus the discount fees of what looks like $18,000.00. That gives you an aggregated APR for borrowed funds of 18.9%. This is why we need all hands on deck to find libor/commercial trade financing.
Stop everything else and get this done or we are!
ST
Cdub, good post and have enjoyed all of your thoughts.
If you read the entire note, including the prepayment penalties you will get a new prospective on early payoff. It is not akin to our previous friendly notes for early payoff.
Up to 120% and the 8% APR penalty. Bend over and smile, this one may hurt a little. Let alone if they default, that shoves 7,350,000 shares into the dilution pot.
This is a Toxic Mama Jama at all levels. Including not saying what is the 8K for exactly, other than it's a private placement with an accredited investor. Yep, that one makes me sleep just fine.
However, to the companies credit, their getting good at filling out 8K's. Even filing 8K's to tell you an 8K is coming. We are big boys and girls and can think for ourselves, thanks anyway.
I'm getting tired of this, can you tell. I'm a long 2 plus year cheerleader that simply want's to share some truthful feelings backed up by quantitative math.
For $350,000.00 a year plus millions in stock perks, I would pack up my little alligator belly brief case and spend 20 hours a day on the road looking for regular domestic trade financing if I really cared about the shareholders. In addition to finding a way to lower the share structure without doing an R/S of any sort. They raised the OS without a R/S how about a little company help.
Hey, Mark in IR. Did you get that. My inbox is full of the same sentiment from heavy bag holders.
If you can sense a new frustration in my post I'm guilty. To be down $130,000.00 because of simple greed and not so well thought through moves is making me ill. In to long to sell so please, pom pom leaders please don't tell me to sell and move on. I have more shares than you could wish for. And, for heavens sake all you R/S proponents wishing for a R/S. Just f'kn stop. You have not been through enough of them to speak any truth. If it's in conjunction with an up list and 50-1 or less split we might survive.

ST
New 8K out on a new note.
After reading the entire note I might guess this is the ugliest note yet.
I won't even get started on how I really feel on this one. After the last note conversion I thought a little toxic note rest was due.
WE NEED LOC and/or COMMERCIAL/ BANK TRADE FINANCING. Good grief!
Another buying opportunity in the morning.

Crozz, awesome response as usual. I didn't know how they would be issued but warrants would seem the best. I don't have a problem taking a hit of any size in Q2 as I'm not going anywhere. It will be good to get it off the balance sheet so we can look forward to more normalcy in Q3 and going forward.
Good job brother, let us know what Mark says if you would.
ST
Okavango, you mentioned in an earlier post tonight that you only reply to those post to you. This was NOT to you!
You are truly a lonely person. In the iggy box you go.
Please do not respond back as I have no interest in playing your foolish little games.
ST
Hey Crozz, I have always enjoyed your post but I feel this one needs a little more explaining.
Yes his compensation package by contract was performance based and has caused many to raise their concern on the last few 10Q's and the K. The package allowed for a max cap of 20% stock ownership value of the company.
Rather than showing it in each future Q which will drag down the profit line, and perhaps the pps, they decided to advance the entire remaining amount tomorrow and account for it as a line item in Q2.
Then going forward in the Q3 filing it would not have that charge or drag on bottom line. It will however show up in Q2 numbers. I don't know how they will be issued? Warrants, restricted? Also not sure what accounting wizardry will be used. It's all good however.
That's my take on this very simple matter. I don't think shareholder value was the driving reason for this.
Still, he deserves every penny, it's his company after all.
ST
Family Blessings and stay safe

Hi Z-Trade, that would be fine. My concern is why Milumir is NIOSH N95 certified and ours not. Maybe a quick way to show NIOSH certification for us. Time will tell.
Thanks
ST
PennyGrubber, I wonder if the mask on kunk's post from Milumir are in fact ours and the Chinese company designed them and sold manufacturing rights to ZC top? The story continues.
Thanks for you and Joe's help.
ST
Joe, both those TC numbers belong to Honeywell.
Something is amuck.
ST
Hey Kunk and thanks for the link;
https://www.milumir.com/Buy-4-Free-Shipping-For-Excellent-Breathability-Extra-Comfort-p221848.html
While these look exactly like the TC Top mask I would wonder.
Scroll down a little and you can see the NIOSH N95 certification complete with numbers. they are a little blurry and I tried to look it up with no love. There is even a TC number on it.
Can someone with better eyes take a crack at the NIOSH lookup please. If this is true, we're in the pay dirt.

Thanks Bull$hark.
I have been reading every post here for the last couple of weeks to get a feel for who's who and the company potential. Pretty telling if I say so myself.
I like this company for a buy and hold and will most likely take a position after finishing my DD by the end of next week if higher low's hold.

sextuple growth
Of course nobody believes that HYPE, but the INTENT IS OBVIOUS. The claim is BEYOND reasonable.
_________________________________________________________________________
Okavango, the mention of sextuple growth is not manipulation by any accounting. And very reasonable given its recent past. I guess you missed that part.
I had a summer 2017 average of .0033 It ran to .035 in September 2019.
That is a DECUPLE growth or a 1000%. (a ten bagger + for some of the OTC math impaired) Six hundred is SO very doable given past performance and hardly hype let alone unreasonable.

Hey TF, June 2nd will be 2 years for me and never sold one single share. Quite a ride and only going to get more exciting.
We picked a remarkable stock, when we got in RBIZ it was not unlike a lot of other OTC stocks. Truly some luck and persistence at play here. The light only began to shine when we became VRUS.
All I can say is I'm grateful.

Joe, good for you on the smart buy. I too had a fill I didn't think would happen.

I feel a little dirty buying down here...….
OK.., over that now and I feel better that the market is closed. So I'm off to Schwab to see if they can sell me the little Red Radio Flyer Wagon tandem coupler hitch cause my main Little Red Wagon can't pull it all now.
A bag load pulling problem I suspect. If I have to stop at scales, I'm in trouble but I'll make this work yet!
Good grief are we having fun yet! Can't wait for tomorrow. Took a big towel out to dry powder. Can you pull Little Red Radio Flyer Wagon triples in CA legally? May be worth the ticket.
Also, so many fudsters claiming claustrophobia in the new unlimited IGGY box. I love occasionally banging on the side telling them to shut up as I walk by.
