you folks may have talked on this-but isn't it reasonable to think that Garrow would sell only 51%-the controlling interest and still be involved with TFN as directors and such.
I just have a hard time believing they would sell the whole barrel of goods without retaining some sort of TFN vested interest.

Mr. Gallent was appointed president and a director on February 3,2005.
On March 11, 2005, the Company issued 20,000,000 restricted shares
of common stock to Mr. Gallent as an employment incentive. These
shares were valued at $140,000 ($0.007 per share).

On September 25, 2005, the Company entered into a three-year employment agreement with Mr. Gallent in his capacity as president (see Exhibit 10.5). Under this agreement, he agrees that he will at all times faithfully, industriously, and to the best of his ability, experience, talents, and training perform all the duties that may be required of and from him pursuant to the express and implicit terms hereof, to the reasonable satisfaction of the Company. The agreement
provides a minimum base salary of $175,000 per year with fifteen percent annual increases and participation in other employee benefit plans. Mr. Gallent is entitled to stock options at the discretion of the Company's board of directors.
Should the Company's board of directors vote to remove Mr.
Gallent from employment by the Company, he will be entitled to receive the following:
(a) balance of wages outlined in this agreement from
the date of the board's vote to the end of the agreement;
(b) 50,000,000 restricted shares of the Company's common stock; and
(c)continue health/medical plan insurance benefits for the balance of the agreement under the existing health/medical plan.
This agreement may not be terminated by either party, except that the Company may terminate Mr. Gallent for cause in the event any of the following enumerated events occur:
(a) he fails to work for the Company at a
level of competency satisfactory to the board of directors;
(b) he engages in any activity that brings disrepute and harm to the Company;
(c) he fails a drug test (that is, he tests positive for the use of
illegal drugs or substances); and
(d) he has become permanently disabled for a period in excess of six months.
As an integral part of this agreement, Mr. Gallent agrees that for a period of three years from the date his employment with the Company is terminated, he will not, directly or indirectly, in any manner or capacity, as principal, agent, partner, officer, director, employee, stockholder, guarantor, consultant, investor, creditor,member of any association, or otherwise, engage in any facet of the business that had been conducted by the Company, anywhere in the United States of America, except with the prior written consent of the
Company.

Company's senior management, including its chief executive officer, could have

The Company intends to recruit in fiscal year 2007 employees who are
skilled in the industry in which it operates. The failure to recruit these key
personnel could have a material adverse effect on business. As a result, the
Company may experience increased compensation costs that may not be offset
through either improved productivity or higher revenue. There can be no
assurance that the Company will be successful in retaining existing personnel
or in attracting and recruiting experienced qualified personnel.
IMO- IMO Gallant is resigning for any nunber of reasons:
1. He wants to be with family
2. Getting different job with better management vs. shareholder relations
3. He douesn't want to be involved because of what may or may not be about to happen
4. More toxic financing is coming down the road

The Revenue Stream from Jr. must be HUGE-
The Long Term effects of Jr. leaving DEI could really put a financial strain on the company.
I think she should have settled for the 51% Jr. was asking for and been happy with it. I think Jr. could have run the company perfectly fine and he woulda had help as well.
Personnaly, I think she has put DEI in danger of imploding and losing everything they have worked so hard to get over the years.
If any of the other sponsors for the other teams of DEI see the company losing focus not performing-they could start pulling up stakes.

I've been thinking on our points system-picking rules;(Sorry Phil)
IMO-The top 10 in standings can week to week without a great deal -so for a couple 2-3 weeks-and theoritcally even longer, we could be picking from the same top 10 list-thus picking the same drivers week in and weekout.
In the future, I would propose having the top 10 picks come from the starting lineup for each weeks race,which changes much more than the Standings.
I hope to have not offended any of our Board Mods-twas and is just a thought.
