Again no worries. Paper stuff with several parties, including lawyers and the Government, is always something that requires patience. If not Monday then Tuesday. The deadline is June 9th. and personally I have no doubt at all that the merger is announced on or before June 9th. I'm 100% positive on that.
deer99, he is doing absolutely right. Giving you the name of the buying company would be a very big mistake. Be happy that we have Tom Parilla in this situation. Hardworking and dedicated for a solution that will make all of us (of course just LONGS) happy. Others would have gone down and claim a burnout. He is fighting for US. No worries. It is going to happen on Monday. Just consider that the SEC is a Government Entity and not working on Saturday/Sunday. So these guys need Monday to sign it off.
FRTD and the buying company are private companies and therefore do also work on weekends.
I also do not see a problem in the exchange of eMails between Tom and individual shareholders. The trading in FRTD shares is suspended. Nobody can take an advantage out of the information. The only sensitive information would be the name of the buyer and that name he kept secret. So before FRTD is back trading on the market there must be a public update and with this everybody is again back on the same level of information.
I'm pretty sure the lawyers of the two companies went over the paperwork not just once. Typically the papers exchange more than once before everybody is happy with it. Once both parties are fine the documents go to the SEC. Let's see if they want to have adjustments or not. If yes we need another day if not the announcement is good to go on air. Either we have it on Monday before the market opens or after the market is closed. I don't think it is gonna hit the buying company while trading.

But that "GAP UP" did happen with about 400 million shares or almost 3x the float. Makes it a bit different.
But what about in the case of FRTD and the buyout. Now that they havn't been successful driving the company out of business. What happens now ? How do they cover the FRTD shares that they are short ? Maybe most stock was shorted at about 2-3 cents. The buyout is at 12 cents. Do they have to cover the new stock at 12 cents or do they just start the game again with the new company ?
I agree. This time at least the SEC seems to have the docs on the table as well and this way fully informed.

Since the stock is suspended and you can't trade it is not a problem. Nobody can take an advantage out of it. Easy & relax.
And the short seller gets away with this ? In many cases they destroy jobs. That should be prosecuted.

There are some people here with a good line to Tom. Maybe we'll hear later from one of them but I'm pretty sure the announcement happens on Monday and not today.
I prefere they take two more days to make the deal waterproof and rock-solid and then come out with a statement Monday Morning.

12 cents is a good price although I think without the suspension a higher price would have been possible. The suspension puts pressure on Tom to settle. The counterparty knows this. Well I'm happy with 12 cents.

What symbol has changed ?
To date the company has received over 15,000 individual orders for the VaporVites herb vaporizing system. This number includes the initial 5,000 order the company received April 8th. The initial 5,000 order will be fulfilled the first week of June with the remaining 10,000 units completing fulfillment mid-June. The initial deposit for the combined 15,000 units has been received by the company and the outstanding balance will be paid to the company COD upon receipt of the VaporVites delivery by the purchaser. The company has also announced that they have a backlog of over an additional 43,000 orders for the VaporVites system which they plan to fulfill in July.
The US House of Representatives late Thursday passed a measure that would prohibit the federal government from interfering with states' medical marijuana ? laws.
The bill is the first time in history that any chamber of Congress has acted to protect medical marijuana businesses and users. It also got bipartisan support: 170 Democrats and 49 Republicans voted in favor of the bill.
"Federal tax dollars will no longer be wasted arresting seriously ill medical marijuana patients and those who provide to them"
The measure was attached to a funding bill for several federal agencies, and it blocks the Department of Justice and Drug Enforcement Administration from using funds to prevent states from implementing their own medical marijuana laws.
The measure, however, will require approval from the Senate and President Barack Obama. The Senate is expected to pass its own funding bill, so the medical marijuana amendment will need to survive through both chambers' reconciliation process — and then obtain Obama's signature — to become law.
Still, marijuana legalization ? advocates praised the House's decision.
"Congress is officially pulling out of the war on medical marijuana patients and providers. Federal tax dollars will no longer be wasted arresting seriously ill medical marijuana patients and those who provide to them," Dan Riffle, director of federal policies at the Marijuana Policy Project, said in a statement. "This is a historic vote, and it's yet another sign that our federal government is shifting toward a more sensible marijuana policy."
The vote, while historic and a bit surprising even to advocates, is part of the federal government's ongoing shift toward more liberal marijuana policies. Just a few weeks ago, the feds increased how much marijuana can be grown for medical research. President Barack Obama and his administration have also taken steps ? to mitigate prosecutions against marijuana businesses that operate legally under state laws.
Marijuana advocates, in previous interviews, have said that this is the logical progression for marijuana policy as popular opinion shifts in favor of legalizing the drug ? and more states begin to seriously consider ? fully legalizing marijuana. As more congressional leaders gain more constituents that legally use marijuana for recreational and medical purposes, they will face increasing pressure to relax their stance on the drug.
With or without the buyout FRTD is going to sell 250'000 VaporVites in 2014. $12'000'000.00 profit.

As far as the 10Q goes I'm still waiting on one final piece, and then it's done and I'll upload it to otcmarkets.com. I thought I'd have it done about an hour ago, but seeing how it's the weekend it's taking longer. The SEC did NOT contact in any form before the suspension, there was no Due Process. I met with Finra for 2 hours about 2.5 weeks ago, and everything was fine. The SEC tried to tell me it was a joint call between the SEC and Finra and when I asked about the Finra 2.5 hour meeting the SEC girl was stunned and had no idea what I was talking about. She took the name and number of the Finra rep that interviewed me and said she was going to call him. She questioned the validity of the PR's and asked me to give her both contract agreements and contact information regarding the Discover card deal, American Express, and the purchase of the Internet Property. I gave her that information within an hour, and then see asked me for the same information for the Casino deal we announced Friday. All PR's are completely legal and we have all documentation. I'm hoping once she calls Finra and sees that a 2 hour interview already took place, and then sees the information I sent her they can do something about the suspension. As far as the LOI goes, I met with the Board of the acquiring company last night and explained the situation and they're not concerned and moving full speed ahead. You will see news from me about the LOI early this coming week. I feel badly for our shareholders about the suspension, and I'm angry at the SEC for doing this without Due Process. I in fact did not even hear from them except in an email until about 45 minutes after the suspension. Look for the 10Q sometime today on otcmarkets. The Attorney Letter from Jehu hand for the 10K was already submitted and we're just waiting on otcmarkets to verify the information and then update the site that we are now fully current on our filings.
