(OTC Pink: XTRN) CEO Wayne Bailey announced today that following the failure to get 60% of XTRN shareholders to exchange their shares for a merger with XREE, the company will now proceed on its own to convert Las Vegas Railway Express, Inc. (OTC:PINK:XTRN) into a freight handling railroad called Las Vegas Terminal Railway for purposes of operating its developing freight opportunity here in Las Vegas and Salt Lake City. We are in the process of bringing on a new Chairman of the Board and freight operator with a freight rail background and to procure freight rail property here in Las Vegas and Salt Lake City for terminal railway operations. We have procured the consultants Railmark to help develop the business plan for this new approach. XTRN has planned the development and operations of a new passenger station to be built for the X Train regular service from Los Angeles to Las Vegas. The X Train would pay us a fee for train arrivals, departures and car storage on our tracks. A contract for this station use is being prepared by X Train management.

I also agree with all that you stated. Imo when OS gets maxed out, only 2 things can happen they either increase the as or rs. Either way they have to file to do either. Only positive for shareholders now is the time from OS being maxed out to the date of increase of as or rs. Once os maxed there will be no more shares to sell and that is where this will get fun. With no more shares this can run like crazy as there will be no more dilution. Money train is coming

I almost think we are better off without the merger. If x rail starts running trains from LA to Vegas on a regular basis, we have a built in revenue stream without doing anything else. I would like to see where our current CEO will take this. Remember all the past PR's have come from XREE.....Waiting for our CEO's silence to break here hopefully soon.
So there you have it. XTRN will remain in business. The company will not dissolve or go away. All I know is now I am rather excited to see what our actual CEO is going to do with this company as Barron has nothing left to do with it. Looking forward to his first PR........to be continued

To my knowledge, XTRN will remain in business. It still owns a 5% royalty from the gross revenues of XREE from running the LA to Vegas route. That could be a significant sum. - mb

Plan of Operations
The X Train
On February 11, 2016, the Company entered into a share exchange agreements with some shareholders of Las Vegas Railway Express, Inc. ("Las Vegas Rail"). Las Vegas Rail had developed a brand identity in its development of a passenger train service from Los Angeles to Las Vegas, called the X Train. X Rail Entertainment, Inc. was formed to enter into an agreement with selected shareholders of Las Vegas Rail to exchange the stock of the Company for certain shares of Las Vegas Rail. In addition, the Company executed a license agreement with XTRN to pay a royalty of 5% of the gross revenues generated by the Company's operation of the X Train brand services including the operating name of Las Vegas Railway Express. Accordingly the Company owns the right to use Las Vegas Railway Express as an operating name, which it acquired under the license agreement.
Under the licensing agreement X Rail Entertainment Inc. operates a division named Las Vegas Railway Express, an excursion passenger rail service also known as the X Train that will run between Los Angeles and Las Vegas. Service is expected to begin in late 2017. The Company plans to have its casino guests ride this exclusive train service and manage a host of activities for its guests throughout their stay in the resort and casino.
Under our agreement with Las Vegas Rail, the only revenue that Las Vegas Rail will receive is a royalty of 5%, and the only property owned by Las Vegas Rail that we will use in our operations is the X Train brand name. Las Vegas Rail will not perform any services under the agreement.

Accordingly, the Company plans to operate an excursion passenger rail service between Los Angeles and Las Vegas. The service will operate as an Amtrak train on the Union Pacific Railroad, BNSF railroad and Metrolink railroad under Amtrak's access entitlement. The X Train will be stored in Amtrak's 8th Street yard in Los Angeles and the consist will be assembled there by Amtrak switching engines. Each consist will be made up of unique privately owned custom railcars which the Company will lease based on demand for that particular weekly service. Each train will consist of 10 railcars with a total capacity of approximately 410 passengers.
Arrival into Las Vegas will be at a train station just north of downtown Las Vegas. The train station, on a site in in North Las Vegas located at 4910 Donovan Way, North Las Vegas, NV, has not yet been constructed. The station is being built by R & O Construction of Ogden Utah and is expected to have a temporary platform completed by October 2017, and a final structure completed by March 2018.
Arrival into Las Vegas will be at a newly constructed train station just north of downtown Las Vegas. At arrival, passengers will disembark the rail cars and immediately board a limo or tour bus to take them to the property where they are staying. All accommodations and activities planned for the weekend stay will be booked via the X Train booking center in Las Vegas. Weekend VIP and club hop services will be coordinated through Red Carpet VIP services for niteclub and outings. Passengers will be picked up at their hotels on Sunday at noon for a 2 pm departure back to Los Angeles Union Station where the weekend experience is concluded.
To commence commercial service of the Las Angeles to Las Vegas route, we will need to negotiate and secure the necessary rights, equipment and facilities. These items include: securing a regularly scheduled train agreement from Amtrak to operate our excursion service on a weekly basis beginning with one round trip train per week and increasing to six round trips per week over the next several years as demand dictates, securing operating rights to run our trains over tracks owned by private railroads, obtaining the capability to operate train equipment safely and in conformity with applicable government regulations, and purchasing or leasing appropriate locomotive and passenger cars designed to move passengers over the route in comfort and securing leases on terminal facilities and passenger depots in Los Angeles and in Las Vegas. We expect the X Train to begin running in December 2017.
The Company also owns a licensed IATIA travel agency, X Train Vacations which books rail excursions for other passenger railroads in the United States of America. X Train Vacations is considered as a part of the Las Vegas Railway Express division. The Company plans to earn commissions from services that it will provide in 2017 in conjunction with the X Train rail service.
The specific steps, estimated costs and expected timeline for operation of our X Train service are as follows:
August 2017 – October 2017: Rail realignment on station property to accommodate the X Train station – Cost - $2 million
October 2017 – November 2017 - Training of Amtrak crews for certification of the new route between Dagget, Ca. & Las Vegas - $ - $550,000
September 2017 – November 2017 – Beta test runs on route $250,000
August 2017 – September 2017 – Procurement of passenger rail cars for service – lease deposit $500,000
November/December 2017 – First run at one per week.

XTRN anybody know how many notes were left that needed to be converted prior to new company? Also how much money were they all worth? I would bet that those notes just about equal the diluted shares. We are very close to being totally done if not done already.

That is a great question. Just because OS is increasing does not mean float follows same amount. Seems to me like float may not have increased all that much. Especially with the same shares being traded between .0003 and .0005. Again we fly on news due to low float
