exactly. people try to make it sound like these are "institutional investors" taking positions in the stock in the same way you would think of it on a big board stock. in reality these are VC's buying shares at a discount to market and it amounts to dilution

all of the scenarios you listed are quite possible and happen on a regular basis in the pink casino...
when a stock has apparent good news (crash test results), and on the day it is issued the stock goes down a great deal (in this case 22%) on high volume (in this case 2x avg volume); then you can assume dilution IE the Co is selling shares to raise money.
so, paying attention to that price action tells you enough to base your decision on, regardless of whether you ever answer the questions about IS it a scam and HOW so?

Totally Disagree w/ that, I look at both + and -
there are many companies that remain undervalued when both are fully considered, and this is Not one of them. SPDC the negatives I mention are facts/ reality and the positives you mention don't come close to outweighing them. The pps decline says it all here.
What would be the impetus for that? MC still way too high at $20m for a co. w/ 100m debt vs. 7 mil cash and negative EPS. A CEO who raked huge cash at merger so could care less what the PPS is - the price action tells you that for sure. Going to get delisted from nazzy unless they RS to meet pps requirements for listing

RE CS, you were in another MJ stock same time as me, when CS became involved same story had to sell shares to pay for her and all the possible "expansion" opportunities RFM* look at it now pps is tz2 deja vu comin

DEFINITION of 'Cross Trade'
A practice where buy and sell orders for the same stock are offset without recording the trade on the exchange, which is outlawed on most major stock exchanges. This also occurs when a broker executes both a buy and a sell for the same security from one client account to another where both accounts are managed by the same portfolio manager.
INVESTOPEDIA EXPLAINS 'Cross Trade'
Typically, this is yet another way for a broker to rip you off. When the trade doesn't get recorded through the exchange, there is a good chance that one client didn't get the best price.
However, cross trades are permitted in very selective situations such as when both the buyer and the seller are clients of the same asset manager. The portfolio manager can effectively "swap out" a bond or other fixed income product from one client to another and eliminate the spreads on both the bid and ask side of the trade. The broker and manager must prove a fair market price for the transaction and record the trade as a cross for proper regulatory classification.
The key point is that the asset manager must be able to prove to the SEC that the trade was beneficial to both parties before executing a cross trade.

they are selling at the highest price the market is willing to pay for the shares at this time. The more they sell, in back to back sessions, the lower that number gets.
