Acc441, not only are you correct in saying EXPO was cognizant, but, the supposedly hired back room yet to be named CEO was also complicit unless he/she is deaf, dumb and blind [what the heck, throw in stupid]!! The silliness of anyone saying this person is going to come out of the closet with full transparency is total absurdity. Management's direct and misleading corruption is the reason for EXPO's demise and most plausible extinguishment. Simple as that! End of story IMO.

In EXPO terminology I don't compare $.27 to $.45. The downward pressure by conspirators show they are willing to spend 167% more for a lower price entry. The federal tax liens will need to be paid, BUT how?! If borrowing has dried up maybe that stock split filing [er, error] will come in handy?? Maybe a CIMA LLC?? Acc441, therein is the "catch 22". BC got shut down. EXPO and D&D are "alter egos" by several evident ways they do business. Notices have gone out to all that may have not been aware. If anyone is SERIOUSLY going after them [even with a lame attorney] I see a clock cleaning! If not, they get a pinky pass and nobody wanted to get em. IMO
"Alter ego" undeniable. D&D is laden with defects. There are too many examples that publicly come into play. A good lawyer would shred any attempts of what they are trying to do IMO.
SBB, one of strongest arguments EXPO could provide in separating D&D is also one of its' greatest weakness.
What Legal Risks Are Likely In The Parent/Subsidiary Relationship?
A parent corporation may hold its subsidiary accountable for the expectations of its board of directors. And, this is the purpose of the parent's control of its subsidiary: to hold it accountable for performance. As long as the parent permits the subsidiary to act independently under the direction of its board, there is little risk to the parent of being found liable for the negligence or wrong-doing of the subsidiary. After all, the parent in a parent/subsidiary relationship is merely a stockholder, and the law is clear that a stockholder is not liable for the actions, debts, or obligations of the corporation.
However, if the parent exercises excessive control over the subsidiary by, e.g., commingling funds, interchanging employees, having its board serve as the board of the subsidiary, sharing office facilities, using a common letterhead, and otherwise blurring the distinctions between the parent and the subsidiary as separate independent corporations, then each corporation is at risk for the unfunded liabilities of the other under the legal doctrine of "alter ego." Under this doctrine, a litigant may "pierce the corporate veil" of the subsidiary corporation and reach the assets of the parent corporation under the theory that the two corporations, for legal liability purposes, are not two independent corporations, but are but one corporation in fact. In this way, the litigant may seek payment of an unfunded liability of one corporation from another corporation. It must be noted, however, that a litigant pursuing an alter ego theory of liability has an uphill fight. Courts are not likely to permit a litigant to "pierce the corporate veil" of a corporation and reach the assets of its parent shareholder, unless it is abundantly clear that the two corporations were indistinguishable as separate corporate entities and are operating as one corporation.

SBB, CIMA [as an LLC] is not a good vehicle for a publically traded company as they would have to convert it to an INC. first. Many states are excluded or have antiquated laws in this relatively new vehicle so I believe they may have something else in mind. There is no doubt there is a lot of scrambling going on by the Weasels of EXPO. The problem is their mental prowess may get in the way and the IRS reduces them to gerbils on a ferris wheel. This might be most appropriate as I understand they make the best prison pets. Either way EXPO is EXPOSED and more so everyday. JMHO
I do THINK that the IRS would look into the [arms length advance] relationship between who made the advance and who received it . The Cima Holding LLC registration with Nevada by ARKANSAS [where have we heard that before] registered agents is just a co-incidental circumstance to what is currently going on. CIMA would never be so bold as to buy assets with EXPO raised EXPH shares and shift them ... did/does CIMA outsource employees through D&D Displays?! I wonder why Wil left?! Yep, after diluting EXPH by over 2.3 BILLION shares in 2010/2011 management capped it off by taking employee's funds and not paying the IRS. With federal tax liens and dire pps, how can EXPO survive?! Where will the money come from now?! Asset sales on EBAY apparently didn't help, doghouse sales at rural dealer locations aren't enough, EXPO exposed! PinkSheet STOP warning remains. They can't keep up losses with no money to borrow.
