He said GNPH is ready to apply to the NAZ and meets all the qualifications. But the bigger challenge right now is to move capital out of China. Crocker said they don't even have the money to pay the attorneys for the arbitration. Also they can'y buyback shares until money gets to the US. So we wait....

Those folks at seeking alpha are very good reporters.
About six months ago their CEO emailed me about GNPH and wanted to get my opinion about the stock. He saw a blog I was on where I mentioned GNPH. I gave my opinion to him and put him in touch with Elsa and Crocker. He told me he was a news service and wanted to find some good up and coming China stocks. Their reporting is the best thing GNPH has going for them in the PR arena. If potencial investors just read the 10Q they will see the strength of this company. Its real, its growing, and its a damn good investment in these troubled times.

The Nasdaq has three sets of listing requirements. The company must meet at least one of the three requirement sets, as well as the main rules for all companies.
Listing Requirements for All Companies
Each company must have a minimum of 1,250,000 publicly-traded shares upon listing, excluding those held by officers, directors or any beneficial owners of more then 10% of the company. In addition, the minimum bid price at time of listing must be greater than $5, and there must be at least 3 market makers for the stock. Each listing firm is also required to follow Nasdaq Corporate Governance rules 4350, 4351 and 4360. Companies must also have at least 450 round lot (100 shares) shareholders, 2,200 total shareholders, or 550 total shareholders with 1.1 million average trading volume over the past 12 months.
In addition to these requirements, companies must meet all of the criteria under at least one of the following standards.
Listing Standard 1
The company must have aggregate pre-tax earnings in the prior 3 years of >= $11 million, in the prior 2 years >= $2.2 million, and no one year in the prior 3 years can have a net loss.
Listing Standard 2
The company must have a minimum aggregate cash flow >= $27.5 million for the past 3 fiscal years, with no negative cash flow in any of the 3 years. In addition, its average market capitalization over the prior 12 months must be >= $550 million, and revenues in the previous fiscal year must be >= $110 million.
Listing Standard 3
Companies can be removed from the cash flow requirement of Standard 2 if the average market capitalization over the past 12 months is >= $850 million, and revenues over the prior fiscal year are >=$90 million.
A company has three ways to get listed on the Nasdaq depending on the underlying fundamentals of the company. If a company does not meet certain criteria such as the operating income minimum, it has to make it up with larger minimum amounts in another area like revenue. This helps to improve the quality of companies listed on the exchange.
It doesn't end there: after a company gets listed on the market, it must maintain certain standards to continue trading. Failure to meet the specifications set out by the stock exchange will result in its delisting. Falling below the minimum required share price, or market capitalization, is one of the major factors triggering a delisting. Again, the exact details of delisting depend on the exchange.

I believe requirements for NASDAQ are as you said, Minmum $4.00 Its been a long time since I have read them, but I also believe, the reqirement above $4.00 is 30 days. If your already on the NAZ and you dip below $4.00 for 30 or more days then your put on notice for disqualification. If its another 30 days your off the NAZ.
GNPH is a bargin right now. This company is a China bull. Their cash position is outstanding. To add 26 mil in 6 months is amazing.
Read the 10Q - GNPH is growing fast and building a solid foundation.
There have been some scary times with GNPH, but those times are mostly over. Balance Sheet and P&L are looking very good. Growth is strong with no sign of slowing down, 40% sales growth in last six months. Management is building value through very strong growth and new drug acquisitions. Now that arbitrations are favorably resolved we will see costs from merger fade away.
I believe they will solve the problem of transferring money from China to the US. Once that is done look for dividends to come our way.
GNPH is a real Chinese Bull.
GNPH is very impressive. This is an investment you can tell friends and family about with confidence.

Long, EPS = $.55 last Qt is correct
And $.87 first 6 months
However lets assume new drugs sales kick in and increase EPS in 3rd and 4th Qts = just speculation but let's say 3rd Qt = $.65 and 4th Qt = $.70
Then EPS for 2009 = .87+.65+.70 = $2.22

I think shorties are going to get burned!
Between Jan 14 and Jan 30 a bunch of shares were sold short. About 20k. Now looking back at volume for those days it was 48.975K Never during that time was price more than $5 In fact Ave was about $4.15
It was probably some in Ken's group who sold short thinking they were going to get a huge settlement. Wrong! Looks like the shorties are hurting.

Talked with Paul in Crockers office yesterday. The excitment is growing.
Trying to get them to see the value of working with Agoracom. At least until GNPH reaches the big boards. After getting on the big boards GNPH will be in a different class.
Right now GNPH needs exposure and lots of it. Negatives are mostly gone now. However, Paul warned that Tan and his group could appeal.
Side note chinas economy is still growing at 8-9% per year.
GNPH will do well and so will we GNPH longs.

Seems some old GTEC people took the domain back leaving GNPH high and dry. So they got a new domain genesispharmaceuticals.com its a holiday in China so won't be up til next week.
Talked to Crocker he said Clinton has 144 stock so its tradeable now, however he thought Pope shares were not tradeable yet, need to see one more SEC filing
I like having my money here in GNPH, very little down side from here, only up.

Nice observation 996 I like that! GNPH share price will rise very fast once some of the big funds start to buy. Very small volume needed to make this gem fly.
Up listing to big board will introduce GNPH to the whole world. Then watch out cause it will never be under $10 again.
Shareholders of GNPH are holding tight. This is one of the best stocks to be in. Down side from here is very minimal. China is a great market with growth and stability. Wubo gets kudos from me.

Listened to CC and here's most important information:
1. They meet all qualifiers to move to a big board. GNPH is just trying to decide which one. Plans are to complete move by end calendar year 2008.
2. As everyone knows four drugs where under development and only needed approval from China's FDA. The first was approved just 2 month ago. The other three new drugs under development are expected to be approved by end of calendar year 2008.
3. They have been advised not to comment on new lawsuit, however, it involves old GTEC shell and they anticipate no involvement of GNPH. Clarification will come ASAP.
4. Production capacity is about 60%, however, when new drugs come on board they will need to expend some capital for new equipment and advertising etc.
5. They feel very confident about their future, including a fifth drug being developed at a University that they will own, manufacture and sell.
6. Their only concern was being to raise capital because of the USA financial crisis.
I'm feeling good about being a shareholder. China will possibly outperform the world in growth dispite a global slowdown. Wabu in an honest gentalman and is haunted by premerger skelitons he had nothing to do with.
I feel GNPH is a safe place to be considering the dim outlook here in the USA. Any interest that is generated will move SP up.

How did yesterday's legislative shock in Washington impact the rest of the world?
From North to South, and East to West, the response was severely negative. But there's an underlying truth about value being revealed in the U.S. right now, and it's pointing us to big profits in Chinese financial stocks.
You see, Wall Street investment bankers got too crafty with credit. But in China, organic growth is still the main driver of corporate earnings. Leading indexes in Greater China (which includes Taiwan, Singapore, and Hong Kong) are way down off highs one year ago, and Chinese banks are going to lead the surge back up... especially as U.S.-based investors increasingly look beyond Wall Street and Washington's games.
Let's break down the scenario we see heading into October '08.
Every major market in the Asia-Pacific region plunged Tuesday morning in their first chance to respond... as did indexes in Europe and South America, where Brazil got walloped with nearly a 10% decline.
In Europe, the three Benelux countries (Belgium, Netherlands, and Luxembourg) are now joint partial owners of Fortis bank, bought for over 11 billion euros. That came on the same day Wachovia went down, selling its banking assets to Citigroup and continuing domestic consolidation as sub-prime sinks one established institution after another.
We also saw the end of a medium-sized bank in northern Britain, and down in London the key lending rate between banks around the world (LIBOR) soared to the highest rate in seven years.
That movement in credit spreads in Europe's financial hub is creating a ripple effect on the other side of the Atlantic that will drive interest rates higher and terms tighter still.
Just like the VIX volatility index based in Chicago, LIBOR levels are a major measure of market unease. When these are up, investors are biting their nails to the quick... And right now, the VIX and LIBOR are through the roof.
But on Tuesday morning, the Dow went back up by over 200 points on open, seeming to reflect optimism that close to the same deal everyone was so certain about early on Monday will indeed get voted through later in the week.
So, should you be optimistic about the outcome of this chaos?
If you're in China, the answer is yes.
'Bank' on China Financial Stocks To Benefit from the Bailout
German daily Die Zeit pointed out today that 3 of the world's top 5 banks are now in China.
You could chalk that up to attrition, since big Yankee banks like Wachovia bit off much more bad debt than they could swallow (or at least convince you they never had).
However, you must also recognize that China's financial giants like Industrial and Commercial Bank of China, which in October 2006 debuted as the biggest IPO in world market history. It's now the bank with the biggest ma rket cap in the world, but is only listed in Hong Kong and Shanghai. You can buy ICBC H-shares (Shanghai equities are off limits to foreigners) through E-Trade and other international brokerages under the ticker number 1398.
ICBC, along with the other Big Four of China (Bank of China, China Construction Bank, and Agricultural Bank of China), enjoys the overt support of the Beijing government.
When ICBC was preparing to list, the Communist Party's various monetary mechanisms helped sweep nearly $20 billion in non-performing loans off the balance sheet with a $162 billion package to help get the bank ready for game day.
That was a back-end move that made markets happy. Compare that to the sloppy clean-up Washington has tried to orchestrate, but might be making more of a mess.
So take a guess as to where ICBC is today compared to the broader American market, and compared to financials, in particular...
The SPDR Financial Select Sector ETF (NYSE:XLF) has dropped nearly half of its value over the past year, and the Dow is down by over 20%. ICBC has outperformed those, and it's beaten the benchmark Hang Seng index in Hong Kong too.
Here we see ICBC in blue, the Hang Seng in green, and way down there in red, XLF.
The reason, simply, is real growth. Chinese consumers haven't yet gotten addicted to credit, and neither have their banks.
Double-digit GDP increases in each of the past several years and consistent foreign direct investment (FDI) are darn near the inverse of the U.S. domestic economy, where corporate xenophobia rules and the only growth we've gotten recently came from concocted credit products that turned out to be worth nothing (or at least of very uncertain value).
So if you're like the majority of developed-market investors and you're pulling out of emerging markets first as you retreat to safety, think about where the real value is in today's market. China, Indonesia, and other countries have built-in momentum from growing consumer bases and spending that is fueled by savings, not overreaching credit.
The iShares MSCI Hong Kong Index ETF (NYSE:EWH) gained 5% on Tuesday. We're looking for a solid uptrend there to buy into supercharged gains in one of Asia's most stable equity markets for growth.
Keep an eye on that fund and other international ETFs for superior growth in 2009.

He gets kudos from me for the RM, however, he is one of the few that can dump at a profit right now at these low prices.
Who knows who is selling, but someone is consistantly dumping at market or just under. Not alot but everyday. No real compelling reason to hold for the short term only long term. Letting 1000 shres go each day is a nice living.
We need buyers not sellers. 10K was good but disapointing, GNPH needs a real PR program. Need to attract new buyers looking for a good long term hold. GNPH is in a great position just need to help people fing us.
On the web site - Why not leave old one up until new one is ready. Poor marketing to have nothing. Put then GNPH is not know for good PR's OR marketing their company in the US.

and I can't find anywhere it lists assets of pre-merger stocks(LOTUS etc) the only thing I find is some securities revenue, but whats that? I doesn't say what those securities are.
Glad you got info- I think a dividend payment to pre-merger shareholders is an uphill battle.
One thing is obvious this stock is very tightly held. No one wants to sell under $10 unless they are hurting and are forced to sell.
Pope is in at a basis of $8 and $10 bucks - the real sellers are the people in at a lower basis around $4 to $5 like ex-CEO Clinton and others.
The 10K is very confusing about OS. Is it 9.7 or 10.34??? and how much dilution is out there?? Confusing!
I'll be asking questions tomorrow to help clarify the situation.
