(DPDW) today announced it has exchanged 2,250 shares ($2,250,000 aggregate face value) of Series E Redeemable Exchangeable Preferred Stock ("Preferred Stock") from Ronald E. Smith, president and chief executive officer of Deep Down, and Mary L. Budrunas, director of Deep Down, for 2,250,000 shares of common stock. The Preferred Stock had a face value and liquidation preference of $1,000 per share, no dividend preference, and was exchangeable at the holder's option after June 30, 2007, into 6% subordinated notes due three years from the date of exchange.
"With this Preferred Stock transaction, we have reduced indebtedness by another $2,250,000, thereby continuing our efforts to strengthen Deep Down's balance sheet. In addition, the Company has eliminated future non-cash interest charges associated with these shares of Preferred Stock. The value of the common stock received by Mr. Smith and Ms. Budrunas, based on the closing price on September 13, 2007, the date of agreement, was $1,473,750. Mr. Smith and Ms. Budrunas are signaling their confidence in the future of Deep Down by effectively accepting shares of common stock as if it were priced at $1.00 per share," commented Robert E. Chamberlain, Jr., Deep Down's chairman. "

Another thing that caught me was taking the drilling down to 350ft. I would like to know the depth the were drilling at before. Besides 350 ft is a reaaly deep hole and not a cheap one to get ore out of. I think Dak or Faz has posted some info on different methods of extracting ore.
Also I would like to hear some thoughts on the TRSI J/V falling through.
It seems to me he needs a backhoe and a couple dump trucks to pick up whats laying on the ground..lol It looks like the drilling results are not what we expected, but thats why they call it exploratory drilling. Hopefully they have a geologist directing the drilling. I don't look at it as bad news, but rather a welcome bit of info that has been hard to get. I have made my feelings clear on Berman. He needs to be more open with shareholders. I'm still waiting on details of the AUMN purchase. I still have a few mm shares left,but will not add anymore till he comes clean.
PDVP had a great day today. First knocked out the six's, then the seven's, then started on the eight's when some dumping at EOD brought us back to six. A nice rally and we closed at .0007 with nice volume. .0011 is around the corner.
DPDW keeps on truckin towards .90. Has a target of 1.50.
Got to put a battery in the Gixxer.

PDVP will close the LOI to purchase La Playa Holdings, so this is a reverse acquisition play as we expected.
Coastal BB (La Playa subsidiary) has been in business since 2002 and is led by Ron "somebody" and the company focuses on wireless broadband for the residential and commercial sectors.
Their niche, is to focus on rural areas due to technical difficulties in metro areas, plus higher competition from cable companies. They focus on rural areas due to the costs for cable companies to expand there, not being worth the investment in infrastructure. Basically, it wouldn't be profitable for cable providers, but is for Coastal Broadband, because they use radio towers to transmit data.
Coastal Broadband is cash positive
Trends for growth
- Wireless broadband demand is growing fast
- Coastal intend on expanding through Georgia to include the east coast and also intend on expanding into northern Florida.
- Rob Loud also expects to be able to bundle different services together using their radio tower distribution method, to include Telephone, TV and broadband internet access.
Rob Loud History
- Double Major at University of TN in computer science and marketing, which means that he understands the technical and marketing sides of what he is doing.
- He worked in Hertz management and also CNN's internal broadcasting, but focused most on his experience in servicing college students during his time at Place Properties, in which bhe bundled TV, Voice and Internet services to college students.
- Rob Loud has been independent since 2002 and I draw everybody's attention to the information in the Nevada SOS for La Playa Holdings, in which the capital amount is $262,000

Rob Loud was non-specific about what he would do here, but mentioned that there are several possible routes he could go. He stressed that he does not want to do something that damages shareholder positions, because he wants a loyal shareholder base.

Not in the short term, but he does want to get up to date with pinksheets so that people can see he has nothing to hide. No current plans for OTCBB etc.
Previous Owners
He wanted to remove speculation about the old owners, stressing that operational control meant the purchase of 25 million preferred shares from Richard Astrom who took the co back after Jim McGinley resigned in July. 23 million preferred are already issued and 2 million had not been issued. Operational control (i.e. purchase of all 25 million shares) was purchased via a cash payment.
I am not going to put any spin on the above, because I think his comments speak for themselves.
