Transfer of shares, to who?
The LOI spells out a share swap. Shares of ASYI ???# for 100% of KoolTel. If that deal was signed and sealed we would have seen a 8K long ago. The swap would occur in one single move outside of the market not on the trading floor.
If you are suggesting a transfer of ownership via a controlling number of shares by driving the price down and sneaking in cheap shares I think the SEC might be interested in that one.
If Andrew Wells is going to become CEO and the current fiasco team steps aside then wouldn't he be flat out issued shares from the A/S inventory rather than killing the company market value and again this would happen in a single transaction on paper and off of the trading floor.
Take a look at todays trading. So far you see a small amount of gamblers willing to take a swing at a moon shot. As for the 875M+ on the bid maybe promo speculation or maybe a MM thinks he can acquire enough and do some trickery to cause a quick bump which they sell into for fast money? Total speculation as to who is buying the daily dumps. Seriously doubt it's insider related but I could be wrong! All guesses and opinions at this point.
Looks like we are getting to that point pretty quickly if you eliminate those 150-200K shares that have been whacked daily. Up from the 30K that started shortly after the 4.25 BILLION share increase and awful 8K, 10K, and 10Q releases. Speaking of which we should be getting one shortly. See if the single 100K+ lands today
Desperation? Keep peoples hopes up while milking the LOI for all it's worth? They can always authorize more and/or reverse split to keep it going. As little as 4.25 Billion shares are worth I can't see that as being all that is needed to complete a share swap if KoolTel is worth anything even close to some peoples estimates.
And shortly after the company dropped the 4.25 Billion bomb on hopeful investors.

Broke company deep in debt is wanting to buy a company that we no nothing about financially and now there is already a baseless takeover rumor of the yet to be merged unknown entity. LOL What a joke. Somebody hit the flush handle! The crap is far above the waterline and it's smelling really bad in here.

No it doesn't. The LOI doesn't specify how many shares of ASYI are to be traded. Read the filings.
I have considered one possibility as far as the "shell" issue goes. What if the next 10K filing has that particular question checked as a YES? Would anyone see a 8K or other filing to announce a status change like that or would a 10K filing be a acceptable time to notify us shareholders? The next 10K is due in July and just so happens to fall conveniently in time for the LOI expiration.
Let the new conjecture begin! lol Just gave the board author a new subject for his next novel and more for the minions to ramble on about.

"i'm able to over look negativity" Go ahead, it's your money but don't insist on everybody else doing so nor should you insist that every negative opinion not be shared. That just isn't professional. SO let's keep the honesty and professionalism at a high standard then. Let's start with you saying on another board that you are "new to penny stocks" so you should already have experience with negative opinions and realize that they are not to be ignored without verification of their content first. Truly new investors should consider all sources and determine for themselves whether they have value or not rather than being convinced by seemingly concerned starry eyed "new" buyers.
If people didn't "over look the negativity" around .003 they wouldn't be down 99.9% right now. Not to say something couldn't come out of this acquisition but let's stop ignoring the truth. Filter out the fluff with proper DD and that goes for both sides of the argument.

Which way do you want it? You don't like me speculating and you don't like me dismissing speculation. The NOLS are speculation. They are not referred to in any document concerning the acquisition/merger. You and the others talking about them being what KoolTel is after is speculation and nothing else. Ruled out? Maybe not but guaranteed they're not.
Considering the only vague source of any factual information is the Letter of Intent and it mentions nothing about NOLS then I CAN safely say that the NOLS are not the play. It is just more speculation. Our board story teller comes up with a new twist weekly and his follows repeat his stories like they are fact. Just like the latest "buy-out" yapping that I tossed out there for fun last week. lol Like KoolTel is any kind of major player in the VOIP game. Too funny.

If you read the filings you would have seen that ASYI is acquiring KoolTel if a deal is agreed upon. Payment is via a share swap. 100% of KoolTel for a yet unknown number of ASYI. KoolTels value is a total unknown and all the numbers being tossed around are as accurate as wandering around blindfolded trying to stick a tail on a donkey. Ultimately Andrew Wells will most likely take over and the ticker changed to properly reflect the new core business.
All this garbage speculation of NOLS being what KoolTel wants and all these supposed international sales blah blah blah are hype to keep any interest they can, which at this point is seriously lacking. IMO A company run out of a UPS "suite" aka a drop box can't possibly be a HUGE success like it's being made out to be. KoolTel is a subsidiary of Teleplanet and so are the other international companies that some are trying to lump into one big money generating telecom giant LOL. Y'all need to give it a break and just trade it.

Somebody wasted a few bucks to paint a .0002 again. With a billion on the bid it could easily happen again. 200K share days are nothing new here.

I seem to remember some people saying that there was no substantial retail interest in this stock. Well, if there was then there would be some serious ask slapping going on. Looks like road kill to me. Sadly even those .0001s aren't safe either. A reverse split or flat out shutdown could kill those too.

I said earlier that I was inclined to think KoolTel was not in a UPS Store drop box but after this information with the calling PO Boxes suites I'm back to the Store and box being home for the operation.
Since KoolTel is supposed to be a subsidiary of Teleplanet I have been looking around a little there. Still slim pickin's and doesn't mean a damn thing since a subsidiary could go public and not bring anything in from the rest of the main company. I'll post if I find anything that is worth knowing.
I have a email request for info at a angel investor that I found once linked to the mother company. See if I get a reply. I'll post it if they give me anything.
2255B is either next to or shared space in the same location as the Jente Salon which is next to the UPS STORE. I no longer believe that KoolTel is just a drop box since Jente Salon's address is 2255A.
As for the, what looks like apartments/condos above the store fronts, I do believe they are part of the units addressed at 101 Hammersmith Ave. Do a search for that address and see all the units for sale and rent. The number of units in the 200+(second story) range could only be achieved if that whole U-shaped building is one apartment/condo building. Check out the satellite view to see what I refer to. The store fronts facing Queen Street East were probably remodeled and re-addressed for business at some point in time. Just my best guess. Call Andrew and ask him where his business is!

Reality check for possible "investors" lurking behind the scenes and wondering what this reverse split talk is all about. Also for those that wonder if .0001 is really the bottom.
Lets say that you're feeling like gambling right now at .0001 and you toss a tiny $500 buy out there. It's already bottom, it can't go any lower! You pick up 5M shares and wait for the merger to happen. In the mean time the company releases a PR after hours on a Friday announcing a 1 for 1000 R/S effective Monday 8am. Monday rolls around and your account VALUE hasn't changed but you see that you have 5000 shares at .10 now. 9:30 comes and the typical day proceeds as they have been, shares get dumped into the bid and you watch your share price sink. Being the firm believer that you are you cling to your shares while some post that they are going to add to theirs. All or nothing! Going down with the ship! Can't go any lower! But it does. Eventually all the way back to .0001. There you sit with your 99.9% loss then suddenly some mediocre news hits the PR News Wire. The merger is a done deal but a little deeper inspection shows that it isn't what it was hoped to be. The stock shoots up to .02(oh, goodie now you're only down 80%) and stalls then begins to retrace it's path back down. You HOLD! Because the company is for real! And it will be something someday! Just like ASYI turned out to be with it's revolutionary airline software, right?
But on the bright side news comes out before a R/S and it's fantastic! The price blows past a dollar and you become a instant multi-millionaire.

The problem is that KoolTel or OAN Services initiates the charge NOT the carrier. Some of what I gathered seems to be that people sign up for something without reading the agreement and the KoolTel service is packaged in there but they didn't take the time to understand what they were going to get charged for. Damn, I let some honesty slip out again. Nevertheless I wasn't pointing to that, just noting that these search results only turn up these valid/invalid complaints but there is nobody raving how good their KoolTel plan is nor anybody recommending it other than these paid ads that some Adam character has been blasting the web with for a year now. Google Voice actually does have people recommending it in those same results.
As for the FREE Google Voice, it's only the basic that is free and very limited. They DO have plans and features that you have to pay for. Going on your assertion that FREE isn't worth having I guess KoolTel's FREE phone app must be worthless also. Maybe Andrew should offer a FREE basic to get people to try it like Google does. Looks like their model is working.
Merger still on? Until we hear otherwise I guess so but the 17 more days is pretty useless assumption. Two questions for that one. When did the LOI expire for the Birthday Slam deal and when did we find out about the merger being dead? Time between the two was MONTHS apart. Hopefully the factors that point you to a merger can do just that. The problem is that the only factor I see is the LOI. Everything else could be just a ploy to lead people in that same direction. Staying current in filings benefits the dilution idea also, kept peoples interest just that much longer, didn't it. 4.25 BILLION new share could be used in the swap for KoolTel but to date the number of shares traded has to be some dumpage going on be it by debtors or ASYI directly. Yes, the big question is who is buying them but looking at the ASK side shows plenty of flipping going on. The MMs surely must be happy to make 25-100% in this low range.
I'll toss in a reply to the other person while I'm at it. .02 on a 1 BILLION share O/S? Really? By all means show some calculations, to us mathematically challenged, based on what our market cap would be. Please provide FACTUAL VERIFIABLE KoolTel financial information so we can see where you derive these numbers from.
Did you READ those search results? Sure there are complaints about Google Voice just as there are for KoolTel that most have dismissed :(. READ those results and see that most are complaints about Magic Jack and other services. Google Voice is MENTIONED in the text of their comments so it shows up in the results. You will even notice that MANY of them SWITCHED TO Google Voice and compliment it over what they are actually lodging their complaint about like the Magic Jack units.
