Its funny how Yayhoooo comes on and tries to find something in the filings to sway people into thinking her way. I guess its that way with anything. Its like politics, each side spins their own BS. Only with this, apparently reading is difficult. The float is the same according to how I read the filings. Yoohooo lady has an agenda, you notice how she never responds to those kind of questions. Whats the agenda and point of someone constantly trashing a stock. Either A. they're a basher and want it to go down for a number of reasons, or B. they have no life.

Its a shame so much time is spent having to defend the the truth as stated in the releases, against the drivel being spewed.

Gee Obi, thats only like 50 something links to name just a few. Are ya sure the company is real ;) For those who are ready to jump me for saying that, I'm being extremely sarcastic here. The company is real, and is huge considering... IMO. The real deal!

1. 8K filed (Promise from the company kept)
2. PR - Merger agreement done and filed (Deal is Done, promise kept)
3. Filing that states the share structure is what we thought it was and has not changed, despite those that wish to "spin" the truth. (Another deal upheld)

This company looks to do what it says. How many other pennies can people say that about..Veeeeeeery few!

Mis-Information...>Read the Filings and PRs...>Whats clearer than that, especially after you have had a chance to read the filings. The share structure is the same. They finally put out some official information stating this. Exactly what people were asking for. If anything is screwing with this stock, it's the bums who want to bash it to oblivion for no good reason, shorters, and or groups. Its not the shares, IMO.

They've done everything they said they would:

1. Filing the 8K
2 PR'd the merger intentions and agreement (the Deal Is DONE)
3. Clarified the share structure. (The one thing the could of done better was make the filing a little more clear to read. I believe/hope they will put out something setting it on stone, once again, to deal with naysayer's such as yourself. Not attacking ya, just stating the truth as I read it from the filings.

Thats my opinion and apparently many others here. It may take a bit to understand the filing, it did for me. But thats how it reads in my book! At least we have all weekend to try and understand this better!

Agreed Obi....They've asked for a filing to show what the share counts were. Its released, and some are so quick to bash the h*ll out of it. IMO this is a good thing, it shows to a degree what the structe is. Granted they probably could have worded it differently to avoid these rats but once its clear whats going in, sounds like a good thing!

No reason to be sorry. I was just saying what many here are, looks like manipulation to me. Pink sheets- it happens all the time and quite easily at times as well. Once it moves up to BB and higher things should change. The other thing to consider is the brokers out there that are restricting trading. Alot of things are at play here.

MM Manipulation is common place on Pinkies as many of us know. The game is one of emotion and when it comes to money, emotion drives us all. It's how we control that emotion thru experience and our DD that decides how we are as trader. Point being, the MMs and or other traders we should say, are scaring the cr*p out of some of ya. Relax, panic decisions usually mean loosing money here. Everyone has to make their own choices of course, but dang....lol

We have a good company here, darn good I think. Probably one of the more solid things in pinkie land with all the DD and info. Google, Yahoo, MSN, Dogpile or any of the other search engines will show ya that.

Entry into a Material Definitive Agreement

ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On January 12, 2007, Franchise Capital Corporation (the "Company") executed a definitive agreement with TTR HP, Inc. d.b.a. Aero Exhaust, Inc. ("Aero") which calls for a share exchange of common stock between the Company and Aero. Under the terms of the definitive agreement, the Company can exchange up to 95% of its total capital stock for up to 100% of the total capital stock of Aero. The specific share amounts will be determined at closing, which is anticipated to take place once the Company is current with its financial statement filings and Aero has completed an audit of its historical financial statements, presently anticipated for the second quarter of 2007.

In conjunction with executing the definitive agreement, the Company agreed to a revolving commercial loan to Aero in the amount of $1,500,000, of which $850,000 was drawn down on January 12, 2007. The loan bears interest at the prime rate and is due and payable in 18 months. Notwithstanding the payment terms, the loan and any accrued interest are convertible into Aero common stock at the time the share exchange closes.
