SMH...you guys are killing me! Yes your calculations are right IF $100k was the amount...BUT it was only $95,529 left on 12/31. They already made their first payment in 2015. So the balance left on this note when the 10-K came out was $1,897...NOT $6,3XX. It's a small amount, but you're off. Look at Note D in the 10-K. It's $95k+ left on 12/31 table...not $100k. Do you agree yet?
I pinged the company to figure out what their plans are with Note A and why we are seeing dilution if all the notes are paid off with maturity dates anytime soon. We'll see if they can tell me anything?

In some regard, I think all of our dilution posts are freaking potential buyers out? I think it's good to note that we will continue to see moments of dilution based on the payments we see with Note A. However, post after post about dilution and notes may not be best? LOL
In regards to Note A, I calculated the current total to be $669,290 left before today (unknown if today's t-trade went towards this?) They are also paying the interest with each payment, so even though they are paying down the principal, they also pay a 18% or so premium on each payment (see 10-K for specifics on each payment...1/19, 2/11, 3/7, 3/21).
I don't think there is a way to fully know what's going on or what's going to happen. The company can do us all a favor with a PR stating next steps to eliminate toxic funding (totally agree here). However, the lenders seem to be in control of the conversions. Best situation is to do an equity placement with North River and take out these other lenders.
Ok, this is my last post on the notes for a while until I hear more from the company. I think we have a good grasp on the risk with dilution moving forward. Again, company not hiding anything...just slow to get private funding initiated.
Lastly, the Company forecasts cash flow from operations during 2016 may begin to provide capital to support on-going operations.
While no assurances can be given regarding the achievement of future results as actual results may differ materially, management anticipates adequate capital resources to support continuing operations over the next 12 months through the combination of infused capital through exercised warrants, infused capital through non-public private placement, forecasted working capital from operations, and existing cash reserves.
I think sales and private funding will be huge here soon! Just need to keep on keeping on for now.

900k note is due in 2019, but you can see from recent transactions in the 10-K that they have been making a conversion every month to two weeks. I think they have some sort of payment plan going to pay this down over time.
Yes the 100k note should be done now? But we will continue to see this random payment showing itself every once in while...or until the NR financing can wipe this garbage out.
Yep. That was a $10.2k t-trade. Curious to see if any dilutors show tomorrow. That would have paid off 100k note now and potentially next installment of 900k note. Might be clean for a few weeks here? Fingers crossed! $AWGI

By the way, hardly any shares have been sold into .0025 ask. We just need decent volume and all these issues will go away. Daily undulations will drive investors crazy if watching. All toxic notes generally state "The Lender has the right to convert the outstanding principal and interest into common shares at its option, at any time." These are no different unfortunately. However, they would only convert if they knew the price is going up. I'm assuming they know this is going to pop soon (less shares for them), so they're just trying to get cheap shares. You will notice the dilution here doesn't hit the bid 'normally', but stays on the ask.
One big day could pay off most notes here. The supply is not endless and it's bound to pop back up. $AWGI

And here's the beautiful thing that people forget about dilution. Most investors run the other way when they see it, but the higher the PPS when dilution occurs, the less impact it has on the investors. Higher PPS means less shares pay off the notes. If we can get this over .01 solidly, the dilution impact in the pipeline will be minimal to the share count. They're not hiding anything! $AWGI for the win!

There are two $35,227 notes due 10/14/17 and no payments have been made yet.
So overall, we can expect small dilution to occur for a bit...BUT the ones maturing anytime soon are paid down/paid off in full.
They did enter into a new $250k agreement, but have only exercised $25k of the loan so far.
All this could be paid off with the North River deal...so we will wait and see. In talking with Jeff Stockdale a week ago, we should expect this in the near future (revised deal).

You're missing the first paragraph for Note B, but Note C is both paragraphs:
On May 27, 2015, the Company entered into a financing transaction with an accredited investor ("Lender) which loaned the Company $36,750 on a convertible promissory note. On December 4, 2015, the Lender converted $4,750 of the outstanding principal and interest into 952,331 common shares. Again on December 18, 2015, the Lender converted $4,000 of the outstanding principal and interest into 1,618,011 common shares. Again on December 28, 2015, the Lender converted $4,000 of the outstanding principal and interest into 1,743,012 common shares.
The current portion of the note payable is $24,000 and $-0-, at December 31, 2015 and December 31, 2014, respectively. The note matures on May 27, 2016 (the "Maturity Date") and to pay interest on the unpaid principal balance hereof at the rate of Eight (8%) percent. The Lender has the right to convert the outstanding principal and interest into common shares at its option, at any time. The conversion price will be variable and based on a 40% discount to the market price. The market price will be the average of the two lowest closing prices for the common stock during the fourteen prior trading days including the day upon which a Notice of Conversion is received by the Company. This note is referred to as Note C in the table below.
Then you have to look at the shares paid on 1/5, 1/12 and 1/20 to see that Note C was paid off.
Same for note B...but on dates 1/5 and 1/6.

Hey, I just double checked my notes and Notes B & C are paid off in full! They were part of the $36,750 and $38,000 notes (23k and 24k were the balances at 12/31). So they no longer exist :)

Good to see the 10-K on time. This company is a slow burn, with Big Bang potential at anytime. I like the business, and all the potential they have.
I was an original investor in Tesla and saw a similar type of progression until BANG! This is obviously on a smaller scale lol. However it can take just one gov't purchase or private trial that can boost confidence to all potential buyers. Our time is near here. $AWGI

So sales increased significantly, they made some headway on their notes due, have private financing lined up, and net loss improved significantly.

The $1897 was based on the fact that at 12/31/15, the note only had $95,529 to pay on it, not the full $100k. That equates the difference.
