I remember doing the same thing with ALT - watching as it climbed higher and higher and higher and higher - and it was always too high to buy - "ah, but it'll drop" - yeah, sometimes they do . . . sometimes they don't - it's a crap shoot.

There is no confusion at all. Read the S1 carefully. No shares have been sold to the investor so they cannot have them available to dump into the market.
The problem is . . . the S1 makes it very clear that the shares have NOT yet been purchased from GAXY so they could not have been sold on the open market.
If you read carefully, no one has purchased any shares . . . yet. And the filing makes it very clear that the timing and the price of UP TO 200M shares is fully controlled by GAXY. So, the institution has the right to buy, but the conditions under which they buy are not theirs to decide. Read carefully.
When did they sell those shares?
Mike, bro . . . c'mon - several people have tried to clear this up for you. This is NOT what the S1 indicated.
They listed as "saleable" UP TO 200M shares, some or all of which may be purchased from the company by Tydasco, over a period of days, weeks, or months. The company controls the timing and price of any sale, and may not sell 200M shares . . . or any shares at all. They are simply registering shares that MAY be sold . . . I know it's a lot to take it, but if you wade through it, it will eventually make sense (I did not read it very closely at first).
Did you notice when those shares sold?
About the S1:
They made a deal with Tysadco in which T. could purchase up to $2M dollars worth of GAXY shares - no price given. The filing today is contingent upon 200M shares being purchased by Tysadco (not sure if they did or at what price - bet that price changed after today) - and is a registration for Tysadco to sell up to 200M shares (assuming they actually purchased them).
Not sure any of this has happened or will happen.
Offering to sell shares not yet purchased? Even the S1 is "not complete" - not sure what they are doing here, but after today's action, there may be some significant changes . . .
I think the date of the offering initial deal was July 9, so they made the deal w/o the benefit of knowing the big spike today. Not sure what caused the spike, but unless they have some stellar news to report, dumping 200M shares into the market will kill this 'rally.' Maybe someone over there knows something we don't, but I have come to doubt it.
