Keep in mind that in his opinion and order the Judge comments on Page 17 that there is a likelihood of Tecnimed prevailing on the Bad Faith claim against ASFX.
On page 31 the Judge further opines that Tecnimed has demosntrated its likelihood of prevailing on the suit's claim of infirngement and suffering irreparable harm.
Additionally the Judge on page 23 has took judicial noticce as to the Auditors Substantial Doubt of a Going Concern Opinion, which ASFX disclosed in its S1 filing.
So the Judge orders an injunction and orders a recall of all the 4000 pieces the Dr. said would be involved in his estimate.
Again 12,000 units were shipped between September and December. if they are accurate in their estimation of 4000 units in the float, that means that 8,000 units were sold thru in 4 months or 2000 a month at $19 per at wholesale, even if you assume that they offered no discounts or other purchase incentives the generated $152k in 4 months or $38k permonth in revenues. Now, if some or much of this inventory is on consignment then they have the issue of no revenue and now incurring $130k in expenses associated with the Court Ordered recall.
Sometime ago I posted that if they had to take goods back from a failed consignment or insufficient sell thru the cost of the process including the retailers imposed fees it would likely be a negative net cash flow. Others on here laughed at my "SPECULATION" and my experience to know that this could happen..Well in this document its clearly stated that $95k is the anticipated cost of this wild speculation. This is as per Dr. Chris' own testimony. So $95k divided by 4,000 units is $23.75 per unit hard cost or a likely net net transactional loss of $4.00 per unit plus the cost of refitting ($ estimated by Dr Chris at $35k).
And this assumes that they gave the trade no purchase incentive....yea right.

Sorry CFG, you know that I have been even handed when possible,

if a retailer reduces retail by $5 dollars they expect manufacturer to make up the $5. A new vendor has no hope of the retailer reducing his "money in the till"
so... 19 - 9 cost is 10 less - 6 discount dollars net rev appears to be 4 bucks..on promo units, less bokers commission of about 10% on the 19 bucks is another $2 if they sell for full margin they will see about 8 or 9 bucks

they made a meticulous list of things that can destroy the business and screw the shareholders...lemme see here........yeppers

How much of this was consignment, how are they gona cover the $24. per unit recall expense and $8.75 per unit repackaging expense (35K divided by 4000 units)thats $32.75 per unit in just recall expenses. Tack on approx $10 cost and your at $42 to $44 per unit in true hard cost for a $19 sale that will likely have discounts in the $5 to $7 range. Being generous they will lose $30 bucks a unit.
So we now have the company upside down to the tune of $120,000
on 4000 units, that's if they find a buyer for them.

I find it highly amusing that for people that laugh at how "WE" are not being paid attention to, spend so much time and energy trying to discredit the truth and the facts that are the reality of ASFX.
If this is "Not Paying Attention" I would hate to see what "Paying Attention" looks like.
Maybe if you spent half as much time looking at the reality of the company that you spend beating back the facts you might look at your "Tactics" differently.
Please, don't give me so much credit. It's not a challenge to find problems in this company. This is a nightmare scenario to 10th power. Insolvency, driven by ineptitude and managed by incompetency.
Unfortunately there are probably a lot of people that are going to be hurt here, and some that cannot afford to lose their money but may have been misled by the type of fantastical hyperbole that permeates this board.
I hope that those that have engaged in a continuos pattern of whitewashing and worse can live with the damage they may have caused to unknowing dupes.

The chickens have come home to roost. The company management's incompetence and reckless behaviour has now caught up to them in the way of a Federal Court ordered National Recall.
Maybe if folks here focused their attention on real business issues and management abilities, and worried less about hyperbole and nonsensical blabber like "to the moon on the space shuttle ASFX", we would all be looking at a different scenario.
The packaging issue has not been resolved. As an assitant on this board you should try to make sure your facts are accurate. Your incorrect. The CEO states in his declaration in Dec of 2010 that it will require recalling about 4,000 units to modify.
As per the company, the recall will cost about $95k in retailer related fees. Things like administrative charges for pulling off the shelf. Maybe you remember when I said that having to pull the product for poor sales etc would result in these kinds of fees, and you scoffed at my wild speculation and lack of knowledge and of course my experience in running businesses? By the way I always enjoy your comentary on my background, even more so when I see how much you know about this whole area.
Well in a way you were correct. I never anticipated that a Federal Court ordered National Recall due to the company's reckless behaviour and total mismanagement would be the trigger for the trade pulling the product off the shelves. This is a new one, even for me. Management has taken recklessness and incompetence to a whole new level.
And then there are the direct costs of $35k in printing and repackaging. If the problem has been corrected why are necessary remedial printing costs being discussed by the CEO as recently as 5 weeks ago. You should get your facts straight.

Court order is dated January 18th, 2011. Absolutely correct date.
The S8 is dated January 20th, 2011. They were fully aware of the court order when they filed the S8.
CFG, It would seem that this Court Ordered National Recall would require a restatement of 2010. Not that they have published results. Im not GAAP literate, but having possibly and knowingly acted in Bad Faith at the time the goods were shipped or invoiced may trigger such a restatement or perhaps a significant footnote.

you simply don't get it Dog, this is a huge gift from the Gods. They now have inventory to sell that they dont have to assemble or import or finance, I hope that the units aren't hypothecated via factoring or PO financing. That will be a clustermess.
They in my opinion will have a tough time getting back in, the attys for the retailers will demand copies of the recall order. Standard proceedure. When they see the language and they read into going concern, bad faith and tecnimed's likelihood of prevailing language, it will be a tough road to hoe, that being said if they in fact do get back in its a sign of real interest by the trade. However when you do the math the sell-through makes that unlikely in my opinion.
In retrospect all of the "placements" may have been other retailers and e-tailers simply listing an item they could sub from a CVS.com or Amazon.com etc...
