I also tried this phone number in the latest Regdex filing and it was disconnected when i tried to call it last week, if you look at the date of change it is 05/18/07 and disconnected a week later, seems strange to me.

The form must be filed no later than 15 days after the first sale. The exact form type is usually REGDEX, but may be a REG D-1 or similar.
This means to me they have 2 more Regdex's(504's) in Sept 06 started and are selling as you could see this morning. The sellers usually lighten up on Friday's and early Monday to give a false read, could move up some here, they did the same with WTVI when they let it run huge then started selling, i started warning them at 5 cents now .0029, was knocked(mentioned here by a poster here) as a basher there also, but was PM'd by some thanking me.
That's my 1 cent worth because it is not worth 2 cents.

While companies using the Rule 504 exemption do not have to register their securities and usually do not have to file reports with the SEC, they must file what is known as a "Form D" after they first sell their securities. Form D is a brief notice that includes the names and addresses of the company’s owners and stock promoters, but contains little other information about the company.
Reg D Companies selling securities in reliance on a Regulation D exemption or a Section 4(6) exemption from the registration provisions of the '33 Act must file a Form D as notice of such a sale. The form must be filed no later than 15 days after the first sale. The exact form type is usually REGDEX, but may be a REG D-1 or similar.
Windsinger, please read especially the last 2 paragraphs....
Rule 504 of Regulation D
Rule 504 of Regulation D provides an exemption from the registration requirements of the federal securities laws for some companies when they offer and sell up to $1,000,000 of their securities in any 12-month period.
A company can use this exemption so long as it is not a blank check company and does not have to file reports under the Securities Exchange Act of 1934. Also, the exemption generally does not allow companies to solicit or advertise their securities to the public, and purchasers receive "restricted" securities, meaning that they may not sell the securities without registration or an applicable exemption.
Rule 504 does allow companies to sell securities that are not restricted, if one of the following circumstances is met:
The company registers the offering exclusively in one or more states that require a publicly filed registration statement and delivery of a substantive disclosure document to investors;
A company registers and sells the offering in a state that requires registration and disclosure delivery and also sells in a state without those requirements, so long as the company delivers the disclosure documents required by the state where the company registered the offering to all purchasers (including those in the state that has no such requirements); or
The company sells exclusively according to state law exemptions that permit general solicitation and advertising, so long as the company sells only to "accredited investors."
Even if a company makes a private sale where there are no specific disclosure delivery requirements, a company should take care to provide sufficient information to investors to avoid violating the antifraud provisions of the securities laws. This means that any information a company provides to investors must be free from false or misleading statements. Similarly, a company should not exclude any information if the omission makes what is provided to investors false or misleading.
If you are thinking about investing in a company making a Rule 504 offering, you should call the SEC’s Public Reference Branch at (202) 551-8090 or send an email to publicinfo@sec.gov to find out whether a Form D has been filed or to obtain a copy. If the company has not filed a Form D, this should alert you that the company may not be in compliance with the federal securities laws.
You should always check with your state securities regulator to see if it has more information about the company and the people behind it. Be sure to ask whether your state regulator has cleared the offering for sale in your state. You can get the address and telephone number for your state securities regulator by calling the North American Securities Administrators Association at (202) 737-0900 or by visiting its website. You’ll also find this information in the state government section of your local phone book.
Here is what Regulation D means....
Yes the Regdex(504) for 08/14/06 is ending(June 1) but they filed 2 more Regdex's(504's)in Sept 06, seems very decieving on their part to make it sound like all the dilution is over on June 1 when they know they filed 2 more Regdex's after that one. This will probably be deleted even though it is on topic and factual.
Just my honest opinion.

Budget
Dak77, why do you think that the share price fell 29.41% today? Could it have been because of the 2 Regdex's filed in September 06 and all that dilution made it fall like it did. Would like an honest answer or is this off topic also.

I would like to ask one question here without being deleted, is this board just for pumpers or can facts be presented to this board? Yes or No.

Digital, let me repost this email i recieved from Russell Industries asking about all the Regdex's...please read it again .....
"a form D has to be filed with every transaction per Reg D"
"EVERY TRANSACTION" why do you think they had to raise the Authorized Share Count from 750 Million shares to 2 Billion shares on April 16th just for the fun of it, say it out loud to yourself, Two....Billion....Shares
Now say to yourself....why? Now look at the Regdex filings and the dates on them.... i'll tell you them, 09/07/06 and 09/26/06. I believe that RB was telling the truth about the 504 being completed by June 1 for the 08/14/06 Regdex filing but forgot to mention the new Regdex filings for more dilution in Sept. that is going on right now.(imo) The Annual Report sucked because it had nothing in it at all and nothing about their death spiral financing and how many financiers and who they are. What's Berman's salary per year? Anyone.

Rule 504
Rule 504 provides an exemption for the offer and sale of up to $1,000,000 of securities in a 12-month period. Your company may use this exemption so long as it is not a blank check company and is not subject to Exchange Act reporting requirements. Like the other Regulation D exemptions, in general you may not use public solicitation or advertising to market the securities and purchasers receive "restricted" securities, meaning that they may not sell the securities without registration or an applicable exemption. However, you can use this exemption for a public offering of your securities and investors will receive freely tradable securities under the following circumstances:
You register the offering exclusively in one or more states that require a publicly filed registration statement and delivery of a substantive disclosure document to investors;
You register and sell in a state that requires registration and disclosure delivery and also sell in a state without those requirements, so long as you deliver the disclosure documents mandated by the state in which you registered to all purchasers; or,
You sell exclusively according to state law exemptions that permit general solicitation and advertising, so long as you sell only to "accredited investors," a term we describe in more detail below in connection with Rule 505 and Rule 506 offerings.
Even if you make a private sale where there are no specific disclosure delivery requirements, you should take care to provide sufficient information to investors to avoid violating the antifraud provisions of the securities laws. This means that any information you provide to investors must be free from false or misleading statements. Similarly, you should not exclude any information if the omission makes what you do provide investors false or misleading. ""NEVADA""
An "accredited investor" is:
a bank, insurance company, registered investment company, business development company, or small business investment company; ""Death Spiral Financiers""
Accredited Investor Exemption - Section 4(6)
Section 4(6) of the Securities Act exempts from registration offers and sales of securities to accredited investors when the total offering price is less than $5 million.
The definition of accredited investors is the same as that used in Regulation D. Like the exemptions in Rule 505 and 506, this exemption does not permit any form of advertising or public solicitation. There are no document delivery requirements. Of course, all transactions are subject to the antifraud provisions of the securities laws.
""The Company has chosen to sell its shares to only accredited investors to raise equity capital, rather than borrowing to raise equity capital. Russell Industries plans to continue to raise equity capital and will not release gratuitous press and will make information available to the public only on the company's website, www.russind.com, www.pinksheets.com, and through press releases when Company news warrants it.""

HOUSTON, TX, Mar 05, 2007 (M2 PRESSWIRE via COMTEX) -- Russell Industries, Inc. (RSDS.PK) would like to update its shareholders regarding its capital raising. The Company has been raising equity capital pursuant to and in compliance with SEC Rule 504 Regulation D since August 2006. The Company plans to raise up to $1,000,000 and has raised $367,000 to date. The equity capital is being raised for expenses, working capital and potential acquisitions. The Company has chosen to sell its shares to only accredited investors to raise equity capital, rather than borrowing to raise equity capital. Therefore, to date, the Company has no debt from loans to raise equity capital. The Company, its Investor Relations Department and Transfer Agent have recently been barraged by what appears to be day traders and chat room "conspirators", in a non stop effort to encourage the release of premature press and ex-parte company information their short term gain. Russell Industries plans to continue to raise equity capital and will not release gratuitous press and will make information available to the public only on the company's website, www.russind.com, www.pinksheets.com, and through press releases when Company news warrants it.

Petty, "not old news" "my problem" my problem is the deceiving way that this company put out a PR stating that the 504 would be done June 1th knowing full well that they have OTHER dilution filings(REGDEX's) inplay as we speak but tried to make it sound as if in that PR that this was all the dilution that there was going to be and after June 1th everything is going to be just fine knowing full well that they sold the shareholders out for more dilution.
