Of so, that could be in process right now, considering the merger is being investigated by both parties under the DD period of the MOU for the merger.
Ok, I need the brains of some of you tax experts out there. This is in regards to a potential value of AMNP.
I was re-reading the AMNP quarterly report looking for additional information on the value of the proposed merger.
I noticed that AMNP has a tax write off that is in excess of $5.6 million (or maybe as much as $11 million), good until 2027.
[quoting the report:
As of July 31, 2011, and 2010, the Company had approximately $5,659,708, and $5,456,980, respectively, in tax loss carryforwards that can be utilized in future periods to reduce taxable income, and will begin to expire in the year 2027.]
At the present price per share, (.0021) AMNP's outstanding share value is less than $200,000. (I see the O/S as 82 million X .0021 = $172K.) That makes a tax loss credit of $5.6 million available to CGFIA with the consummation of the merger for what now looks like a purchase price of less than $200K.
That seems like a pretty good deal for CGFIA. When the profits start rolling in, CGFIA should be able to transfer some or most of its profit over to the subsidiary corporation (for just about any services provided by it) and use the tax credit to write off the taxes. That seems like almost tax free income.
Am I on the right track here tax guys?

I understand your feelings, Mr Dale, and your analogy. I grew up in an environment where, at times, adding water to the soup was an act of survival. But at least everyone got a full stomach at night. Although there was no extra nutrition, I didn't feel hungry and got what I would originally have had.
I still feel that things are going to work out. I'm not in a position to add more to my investment, but I'm not about to give up now. That is just my "eternally optimistic" but still cautious outlook on life. It usually works for me.

Ray, it shouldn't effect the merger, per se, but the increase in A/S does provide enough of a "bank" of shares to complete the merger, no matter what AMNP's and CGFIA's price climbs or sinks to.
With the old share structure, it was possible that there would not be enough shares available to complete the agreed upon trade of shares ratio.
The merger itself should still be viable, as long as it passes the DD phase that is supposed to be happening right now.
JMHO, alternate views are always welcome for discussion.

I think your deadline is a logical one. If there is no break by September, then it will be a long, cold, and expensive winter for CGFIA.
I do believe that we should see progress on the mill, at least. Almost everything required by the DRMS is done. Unless someone has a personal vendetta against CGFIA, then the mill should be granted the rights to restart operations very soon. That will bring income, and profits should follow.
Let's hope for good news soon.

I think you are getting my messages mixed up. The 1.7 billion are what the members of this iHub board hold. That isn't going to change when the share price changes. Those 1.7 billion shares are bought and paid for already.
(I understand that you can buy twice as many shares at .0001 as you can at .0002, but I don't see anyone getting any shares at .0001.)
Guyer and Rice and their salaries are a different matter. (or was that just a mixup in posts?)

I don't think it would be a conflict of interest, but Fearn could just as easily accept payment in stock for some of his holdings he is selling to CGFIA.

Actually, that is a problem. No one has reported sales to me. There has been 137 members reporting their holdings, and most of them are at least occasional posters. The largest holders are frequent posters, and are reporting increases, or totals now held. But your point is well taken. I'm sure that some people have sold shares and not reported it to me. (As a guess, you could probably discount that total by 20%, but that is STRICTLY a GUESS)
Eagle, Look at the dollar amount cashed in from year to year. I think you will see that the $ amount is pretty consistent, at least for Guyer. The number of shares has increased, but that is because the share price has decreased so much.
Also, look at the 10Q, as far as stocks paid to Guyer and Rice this year. There has been NONE, meaning they they have not been paid anything this year.
I don't think you can really classify it as "unloading", because if they collected their salaries at this PPS, their share holdings would be much higher. That is my opinion of what I see in the numbers, but I guess we can both look at the same numbers and come to different conclusions.

Sergey, I'm a long way from being a chopper pilot. I just had a few lessons in it, but I love it! With a good rise in PPS, I'll get my certification and then we can have some fun!
In the mean time, I know someone who is a full time chopper pilot, just retired and would fly us anywhere we want to go. He is also a hog rider, so he would fit right in. I'll drive the chase RV! Gotta have a place to keep the grog cold!

Beechcraft was so confident that they were the only airframe to be seriously considered for the CAS competition. Now a lot of "some bodies" have to fight for their jobs.
Can you imagine the sales manager who was saying all along "we have this one in the bag" and now finds out that their bag had a hole in it!
Having been in sales / engineering jobs all my life, I read this as a total blindside of Beechcraft. Someone did not keep close contact with their customer during the decision process.
JMHO, FWIW!
I hope TADF gets a good piece of the action in the upcoming contract awards, however it comes to them.

Nothing official on the lifting of the chill. 567 has info that we are in the DTC line for review, but is unsure where we are in the process.
CGFIA has definitely been a "gray hair maker" lately, but I'm way passed plain old grey, I'm totally "snow white"!
