More behind the curtain than meets the eye
895,000 in computer equipment equals assets but that contradicts your sticky post about "no assets" so which is it? assets or no assets? Did all the computers disappear? Tech Data is a Scientologist Computer Hardware Dealer
Why would they give them almost a million dollars in PC's if they weren't getting paid?
No loan collateral, no way to fund expansion, no way to double revenue. I disagree period. End of sentence.
If I just bought TALK for 10bn I would not give myself a reverse split when revenues are $17m and doubling per annum
Does SEC need to sign twice?
Finra oversees brokers and security dealers the SEC oversees Finra which governs its member firms. TALK is not required to register with Finra because TALK doesn't deal securities.

What are you hoping to find in restated financials? All I can assume is that you don't like how good the financials look? Or you just can't believe you are wrong?
You should see my broker's dirty laundry list at finra. Finra does a very good job of slapping their hands with little fees after bilking billions out of the little guys. Could be that unlimited line of credit OMG! If Finra oversees brokers and security dealers, then why don't they stop the naked shorting and fail to delivers?
The government has a history of being slow and laying out red tape too

Form 10-K for the Fiscal Year Ended Auguest 31, 2013
Filed December 16, 2013
File No. 000-54664
Mr. Spirgel,
Thank you for your comment follow-up letter of April 29, 2014 regarding Form 10-K filed by iTalk, Inc. (the “Company”). The Company is aware of the denial of its request to waive submission of audited and pro forma financial statements for its WQN acquisition. Accordingly, the Company has engaged its independent auditor and directed that an audit of the assets acquired be performed. It is, therefore, the intent of the Company to submit an amended Form 8-K which will include the required audited and pro forma financial statements.
The preparation of this disclosure will require the carve-out of the acquisition assets from the Seller’s financial information. The Company estimates that this exercise will require 30 days to complete. Upon completion, the Company shall submit an amended Form 8-K in full compliance with SEC regulations. In the interim, the Company shall fully comply with all restrictions set forth in your comment letter of April 29, 2014.
Please do not hesitate to contact the undersigned at 561-901-0640 with any questions or concerns.
Sincerely,
/s/ Richard Dea

They are obviously working on it...Tesla_se
If you been here as long as I then you probably know about the marijuana thing and that they could have forgot something
You aren't proving anything to me because there is nothing to prove. There is no way you can tell me that there is no grace period that was provided nor that there was any nice people. There are a million things you aren't accounting for.
There is a rule you forgot to read
I am asking if you can prove it
They merged before that so there are mitigating circumstances
What if they are not late will you eat your words?
fiscal years vary and might be in TALK's favor and CPD doesn't even appear on the scene from what I've seen so far.
17 million is enough bread to open a bakery with
I am not debating this without proof that they are late
I would love to see a link to backup your late claim
Can we see a link regarding your claims?

Posting a loss is the way organic growth companies operate. It is called re-investing profits and building credit through borrowing. No need to pump stock prices because growth will take care of the business. Another benefit to showing a loss is there will be no taxes owed. Shorts,...Stick a sock in it!

Re: Finra approval claims
It is a non-governmental organization that regulates member brokerage firms and exchange markets. The government agency which acts as the ultimate regulator of the securities industry, including FINRA, is the Securities and Exchange Commission.

Goooo NEW TALK!!!
You said, "0.2% to the 1.875 Billion public"? Do you mean .2% is the float?
What size is the float? What about supply and demand? Are you certain?
Price to Sales Ratio(acceptable valuation tool)
We know sales are near $30,000,000
We know what the O/S is at 1,875,000,000 or greater
This will be the top of the trading range if SEC filings are accurate:
$30,000,000 divided by OS 1,875,000,000
equals .016 RPS (<----revenue per share)
.0015/.016 (share price/rev per share) gives us the P/S Ratio
p/s ratio = .09375; Undervalued by a factor of 10
what it should be:
move the decimal .015/.016 =.9375 (<----Nearer to 1 x revenue means TALK should currently be at 1.5 cents per share))
Hypothetical worst case if there was a 10 billion share OS:
$30,000,000 divided by OS 10,875,000,000
equals .00275 (<----revenue per share)
.0015/.00275 (share price/rev per share) gives us the P/S Ratio
p/s ratio = .5454; Still only trading at half of revenues
iTalk Valuation 2 ways
P/E Ratio can't be used until there are verified profits but here is a way to find where TALK should be trading; Price to Sales Ratio
We know sales are near $30,000,000

.0015/.00275 (share price/rev per share) gives us the P/S Ratio
p/s ratio = .5454; Still only trading at half of revenues
Market Capital gives a quick glance:
OS times PPS
$2,812,500 is a fraction of estimated sales of $30M
FOOD for THOUGHT!
iTalk's new forward p/s ratio 'CORRECTED;
$30,000,000 revenue / O/S 1,875,000,000
=
.016 RPS (<----revenue per share)
.0015/.016 (share price/rev per share)
p/s ratio = .09375
what it should be:
move the decimal .015/.016 =.9375

DEFINITION of 'Price-To-Sales Ratio - PSR'
A valuation ratio that compares a company’s stock price to its revenues. The price-to-sales ratio is an indicator of the value placed on each dollar of a company’s sales or revenues. It can be calculated either by dividing the company’s market capitalization by its total sales over a 12-month period, or on a per-share basis by dividing the stock price by sales per share for a 12-month period. Like all ratios, the price-to-sales ratio is most relevant when used to compare companies in the same sector. A low ratio may indicate possible undervaluation, while a ratio that is significantly above the average may suggest overvaluation. Abbreviated as the P/S ratio or PSR, this ratio is also known as a “sales multiple” or “revenue multiple.”
Stocks with incredibly high price/earnings ratios (or no P/E ratios) no one is really looking at earnings.
They are looking at the promise of future earnings. And the promise of future earnings comes from high revenue growth curves with a scalable business model that produces higher earnings in the future.
So any company with a proven high revenue growth curve and a scalable business model can be expected to have strong future earnings. Therefore, paying more on a price/earnings ratio basis is worth it.
That is how stocks get P/Es of 400. The current P/E ratio, however, is meaningless in this line of thinking.
It is far more important to gauge the stock's valuation by the price/sales ratio because all of the assumptions of future earnings are based on the revenue projection, not the earnings history.
The price/sales ratio is:
Market Capitalization /Trailing Twelve Month Sales

note: Zoom out to the 2 year chart the ground is trembling.
Shorts going nuts because they know the float is under 100M for TALK and they loaded up big. Whoever is shorting forgot to do one thing.
THINK POSITIVE
sell the news? that doesn't work if there is no news. An SEC filing hardly qualifies as news
