More U.S. Companies Drop Out, Clam Up
By Joseph A. Giannone and Brendan Intindola
NEW YORK (Reuters) - In an era of greater scrutiny, a number of U.S. companies are deciding being public just isn't worth the hassle anymore.
After the collapse of Enron Corp, WorldCom Inc. and others, regulators and lawmakers raised financial reporting and corporate governance standards for publicly traded companies to increase accountability and transparency.
In the latest and final phase of the reforms, known as Section 404, companies must assess internal financial controls and report findings to the Securities and Exchange Commission (news - web sites).
Confronted with rising costs to comply, and tougher penalties if they don't, a growing number of companies are dropping out of the public arena.
Companies have also responded to new disclosure rules by shutting off investor communication.
"More CEOs and directors say that the benefits of being a public company are being outweighed by the excessive government interference in their operations," said Thomas Donahue, chief executive of the pro-business U.S. Chamber of Commerce (news - web sites).
"When a small-cap company's audit fees double in a single year, and when it pays $1 (million) to $4 million out of pocket to comply with 404, the pendulum has swung too far," he said at a Securities Industry Association conference on Thursday.
ASB Financial (Nasdaq:ASBP - news) on Thursday announced it would go private through a reverse stock split, reducing the number of shareholders to avoid many filing requirements. The Portsmouth, Ohio-based bank said the move will reduce compliance costs.
On Feb. 25, PriceSmart Inc. (Nasdaq:PSMT - news), an operator of warehouse clubs, said it was considering taking the company private to avoid costly reporting standards. The San Diego company may also do a reverse split to reduce its number of shareholders below 300 and exempt it from filing rules.
DROPPING OUT
Catalina Lighting Inc. (Nasdaq:CALA - news) said that same day it would delist its stock from the Nasdaq around March 14. It cited the rising expense and time demands of compliance. Shares of the Miami lighting products company will trade on Pink Sheets.
Federal Screw Works (Nasdaq:FSCR - news), a Michigan maker of fasteners and metal working products, filed on Monday to deregister and delist its shares. Federal Screw, which had fewer than 300 shareholders, will trade in the over-the-counter market.
Earlier this year, Great American Bancorp's (OTC BB:GTPS.OB - news) moved its shares from Nasdaq SmallCap Market to the OTC bulletin board and filed to deregister its stock. The Champaign, Illinois-based bank, which had fewer than 300 shareholders, said the move would rid itself of filing burdens.
Last October, UNIFAB International Inc., a New Iberia, Louisiana-based maker of facilities for energy exploration, said parent Midland Fabricators and Process Systems LLC intended to take the unit private by repurchasing the 10 percent stake held by public investors.
Overseas firms are also heading for the exits. British biotech firm Provalis Plc (PRO.L) last month became the latest European company to conclude maintaining a secondary U.S. listing and complying with Sarbanes-Oxley is too expensive.
Other U.K. firms that will or have scrapped American Depositary Receipt (ADR) listings include ITV, Premier Farnell, United Business Media and Autonomy Corp. Sweden's TeliaSonera AB and Swedish Match AB ended their ADR programs last year. Germany's Lion Bioscience (LIOG.DE) has also departed.

I'm sure it will be once it gets done but it wasn't in my plans for this year...Q is!
Aloha
Since I mentioned tourism in my last post... what is distracting me right now and keeping me occupied is I'm buying a few vans and a bus for my business because the transportation company I have used for 12 years is downsizing-due to rising fuel costs.
What I am doing is in essence starting a whole new business capable of transporting over 100 people/day during busy months.
Buying the vehicles is not the problem...staffing them is...I live 3800 miles away...
Aloha
Yeah if you look at the date and time of the last 2001 post you will realize what distracted me...I'm in tourism.
Aloha
No, not yet...eom
Yup and that's the best time to PAY ATTENTION!
Aloha
makinbacon...skunks and I and a few others have been around since the proverbial "business plan on a paper napkin" stage so what is going on now is purely phenomenal! The only reason I hang around everyday is to catch the next run where I can hit refresh and be up $50-100k! Things are friggin' boring right now...I either need to get a life or Q needs to run!
Aloha
LaJolla I think if you don't read the "decipherations" of the PR's by "expert's" on MB's and JUST listen to what the company is doing and see that they are running FULL PAGE ADS in magazines that they are on track for something BIG. Then you add the BIG names that are getting involved and it all starts falling into place.
The problem these days is the minute by minute play by play's. I remember 10 years ago I used to get my Schwab statement once a month...

5 bucks says Honey will be producing AND hosting the morning show. She seems to love being involved and what better way to scream to Ellen and Rosie like levels in the shortest amount of time. Being the host of "THE GAY MORNING SHOW" is a no brainer...
Aloha
Good name huh! or even better....Good Morning Honey! or " A GAY MORNING TO YOU HONEY!
sydney65 That's exactly the idea. To get Honey's fans screaming for carriers because they can't see her hot new show because it's exclusively on Q. If you multiply that by about 4 stars and we are nationwide! I'm not sure whether Jack E. Jett or Jackie Enx would have the fan base yet but I'm sure they help plenty.
Aloha
Hi Rich, this is Froy again...CLICK...hello, hello...@%#%*@!
LOL
ME EITHER...EOM
mcfly that is the best point of the night. Honey is not doing this for Q, Honey is doing this for Honey and SIREN, don't ever forget that! And she chose Q to further herself! Go Q!
Aloha
Well I guess you would have to agree that the 46 people I have on ignore don't fit either. Personally I found it interesting just as Ralph started his post. eoc
Aloha
Skunks
FWIW Since the rumor first came up that Honey may become involved with QTN (and this was pretty obvious right from when you said she was on Q Live) I've had my fingers crossed and it came true!!!! This is unreal!
Unfortunatley if you said you were not interested in the personal life of Kobe, Michael J, J Lo, Jessica or any other celebrity your voice would be lost in the hub bub. Welcome to America! Or should I say E! That's how it is...
Aloha
I'm sure you'll see my other post before you see this. I do agree that this board (in the condition it is in) is not the place to bring things up like this.
I have so many people on ignore that I miss hearing what they are saying.
And that's a good thing...
Aloha
Skunks clear your mind and read this again. There was nothing wrong with his opinion.
Did not say it did Skunks and mean no harm but it is interesting if it were or is. But on another note you cannot say a person's personal life has no bearing on business when it comes to high profile actors, producers, athletes, etc. It certainly does and has had huge affects on thier careers and businesses. As much as we like to think we live in a perfect world we do not. And people, guilty or innocent, once accused or associated with accused usually are branded be it right or wrong.
Aloha
skunks, mcfly and ct...
I know where you guys are coming from, I just don't think Ralph's intention was to drag Honey through the dirt. He found something and posted it.
If you don't like what you see put it on ignore...I DO!
Aloha
PS Ralph's not on there...yet.
good post Ralph! eom
