I remember exactly what you're referring to. That stood out as odd to me as well. Impossible to know if it was just a random comment or had some meaning behind it.

Which if true, makes us extremely gullible, Chad a scammer, and everyone else involved guilty of fraud.

I'd say calling it a fallacy is an understatement. Why the hell did he mention private equity in the press release if that has nothing to do with this "new business"?

I don't specifically remember who said the company had no debt, but many of us (myself included) assumed the debt would have been paid off by Chad's supposed private equity company. Obviously we were wrong with that assumption lol
First things first, let's see if we ever hear from the ghost named Chad MacKay again. We are just a few months away from the two-year anniversary of him doing nothing. Maybe November will bring another change of control and we can start all over.

Unless you are somehow involved, I don't believe there's any way for us regular folk to know.
Assuming the OTCM share structure updates are accurate, all we can do is rule out one of those options. 🤷
Everyone here has been right about certain things and wrong about others. Many of us are long-term shareholders (myself included), others are here for different reasons. In the end, none of that matters.
After two years, what we know for certain to be the current situation is:
- Chad is still nowhere to be found: FACT
- The company is Inactive - Administratively Dissolved for now: FACT
- The ticker has been Pink Limited since March: FACT
- There is no Q1 report available to clear up some questions: FACT
- SFL Maven Corp. is still a complete mystery, perhaps for good reason, perhaps not: FACT
Whatever is going on with all these 0002s and the accumulation chart is certainly odd, and perhaps a bit suspicious. But, that could be a number of different scenarios.
On the positive side, according to the annual report, the debt is mostly paid off. Also, according to what OTCM is reporting, only about 60% of the AS is currently outstanding.
Anything else is speculation because we don't know WTF is going on. Not necessarily pumping, not necessarily bashing.
I asked if they have any idea what's going on, because the company doesn't communicate with shareholders.
I also asked if he knew why the company was Administratively Dissolved by the Wyoming SOS one day before the RA Information Change was filed.
No, I never got a response. Never heard back from the Registered Agent either.

It's definitely abnormal trading and not regular retail traders. Every day for weeks, it opens at 0003, the bid is only a handful of shares away from 0001, yet somehow 10-20 million shares are traded at 0002 with no bid. Then of course, they paint it back to 0003 before close.

Chad continues to hide, silently in the shadows, while our shares of his so-called "company" -- our partial ownership of his "business" -- slowly become worthless.
Today closed with only $400 left on the bid. Then... we hit .0001, just like many here have predicted.

How do you interpret that, given that the price is just barcoding and most of the trades during that same time period have been at .0002? Seems like accumulation must be good, just don't really understand the dynamic.
It honestly makes even more sense than Deep Power. The press release specifically said working with a University on technologies in the lithium mining industry "that could be really important to the future of electric batteries".
Maybe that's who has been slowly accumulating cheap shares in lieu of a Reg A?
Maybe Chad hasn't bothered to change any of the old SFL Maven info because when/if there's a ticker change for a new company, they will be disassociated with SFL Maven?

The more I think about it, the more I find the way this stock has been trading just as strange as the overall situation with the company.
If the "plan" was to max out dilution and then RS, why wouldn't they have done that when the price was in the teens or 20s? The OS is still at 3.1 billion, which is what it took to pay off the old debt, as we saw in the annual report.
On the other hand, if there is nothing of value here, why isn't the stock already at no bid and why is accumulation still rising?
And, why would whoever is pulling the levers behind the curtain slowly walk the price down and keep it at .0002/.0003, again while accumulation is rising?
Just some random thoughts. I welcome any ideas.

Based on the response I got from the Wyoming SOS, it seems like it's more about them not filing the annual report on time.
We know the OTC put it back to pink limited after they filed the annual there, so they must need to make changes before refiling.
It's only conspiracy if it's not true. Otherwise, it's just reality, like it or not.
As of right now, based on what little we know and more importantly, how incredibly much we don't know, I'd say any theory/scenario is just as likely as any other.
I'm all ears to anyone who has a concrete reason to believe a given theory. But, the whole "Chad will do what he wants whenever he finally feels like it" isn't working for me anymore.
Don't get me wrong, I'm holding on and seeing this through. But I am also going to continue contacting people and digging for information to find out what is happening.
The one that sticks out to me is that several people claimed the only reason any of this happened was to get back to pink current so noteholders could convert shares and get paid.
Those aren't my words, and I am not saying it's true or not. Just something my mind keeps going back to.
That aside, the question is... what now? It's a clean shell with little to no debt and only 60% of the AS outstanding. If the plan was to max out the AS and reverse split, I believe they would have done that a long time ago when the price was much higher.
The more we learn, the less we know.
Thinking back to last year, I'm starting to look at some of those basher posts in a different light now.
WYSOS got back to me again.
They said the RA update only effects the registered agent record and has nothing to do with the company, except that they represent the entity as the registered agent. It changes nothing with the company's records.
Not exactly sure what that means, but it sounds like the update came from the agent. 🤷
I did notice it's the same agency and address as the last RA info change in 2018, just a different contact name.
Hmm... so the SEC themselves has no record of a supposed SEC issued penalty. Very odd.
I emailed the SEC on Monday asking similar questions, but am still waiting for a response.
However, I also emailed the Wyoming secretary of state and did get a response from them.
They said SFLM is in an Inactive Administratively Dissolved status because they did not file the 2024 Annual Report on or before 4/1/2024. However, they are still current and have a 2 year reinstatement window until June 2026.
I am going to reply back asking what the RA information change typically signifies. Is the company changing hands yet again?
I am also going to contact Colonial Stock Transfer to see if they have anything to offer.
It's not even about the money anymore for me. It's about getting to the bottom of whatever is going on here.

Chad definitely had to pay the $25,000 fine that was from Ladin's wrongdoings, per the SEC documents. I'm just trying to find something regarding the 5-year penalty to understand it better. Let's see if the SEC responds to my inquiry for more information. 🤷

One last thing, and I am only asking because you have mentioned it several times. Have you seen any official SEC document that mentions the 5-year Reg A penalty/restriction? I am very interested in reading the specifics, but have yet to find anything from the SEC database.
