Glazers + Rosewood Private Investments + HJOE
Everyone seems to have a theory so I'll throw my opinion in. On the other board, Steve R. and Thunder were posting in passing that one of the reasons for Rosewood Investments being a potential player in all this is for HJOE"s to acquire more traditional non-toxic financing. I agree and feel this theory makes much more sense than a buy out or reverse merger.
At one point, the Hangover Shot was selling well (right before the PLN debacle) in 2011. Why wouldn't the company have sold then when the stock price was over .80? Because they wanted to grow the company and make it huge. Why would they sell now when the price is in the .003's. If you really want to make the company successful long-term, you get rid of the toxic financing and replace and eliminate the debt or replace with better traditional financing...thats what Rosewood could be bringing to the table.
Why would a stock buy back make sense at some point? Gene Gilstrap put a significant portion of money into this company at .03 (when the stock price was as low as .0001)? Why would a well respected millionaire keep putting his money in when the stock price was way lower? I won't speak for anyone but I don't mind speculating that there had to be something said about any potential settlement with PLN having the money go towards either paying off the toxic debt or buy back of shares to reverse the damage of the toxic financing. .03 may seem far to some but not that far if a favorable PLN settlement comes through and a share buy back gets ordered.
And some will probably say that no one can predict what will happen in the PLN settlement but I see the decision and money swinging in HJOE"s direction because:
1. Mike Jayne, one of the principals in this company and a very experienced lawyer in winning cases just like the one they have against PLN
2. PLN has been asking for extensions in the mediation process to switch lawyers (never a good sign this late in the game)

Agreed, the damages from PLN resulted in huge hits to the share price...there cold be sizable punitive damages reflected in a potential settlement
and don't forget a potential settlement with PLN
What is the difference between the most read board and the breakout board?
When did the company say that if there was a settlement, they would apply it to a share buy back? Do you have link?
These numbers are way off. Are you calculating the O/S count between 1.7B-1.9B?

Raymond, I promised I would get back to you if Veal responded to to my Inmail.
To summarize, I asked him if he had any words of wisdom for investors who had stuck with the company and margined down and who were nervous about the upcoming reverse split and upcoming dilution, also letting him know I post on this board. It was his birthday weekend but he did make time to respond and I can't say there was a lot of sugar coating. This is the first time I have contacted Veal or any member of the company ever. See his response below:
Sorry for the delay in response. Its my birthday so I am spending time with family today. I appreciate the nervousness. There is clearly an uproar regarding the company's recent actions. We are limited as to what we can do. Our attorneys hsvd told us to avoid the boards do we dont do much except monitor them. There are people on the boards who may actually benefit from price declines through stock shorting so we encourage caution to all readers. Personally I've had a variety of experiences in this type of situation. There are no guarantees. One of my former companies called neogenomics once faced this and did s reverse split. This happened ten years ago. The value actually has increased and now the company does 80 million in sales. So it can be done. Its hard and this is hard too. I appreciate everyone's efforts. We will continue to work to capitalize on our opportunities and thank you again for your support. Matthew veal

Asides from meeting them, what are your feelings on the additional authorized shares and potential reverse split. I know Veal has limits on what he can say to you but I am wondering if he has given you a feel for what will happen. More specifically your thoughts on:
1. EB5 funding. I know they applied but I have also heard most EB5 funding goes the real estate route. Are they still good candidates to get it? What have you heard? If nothing, let us know that too if possible.
2. I am assuming the additional shares are a backup in case they don't get favorable funding. With the good data from soft run, do you think they will secure favorable financing? If yes, why?
3. PLN lawsuit- this could drag out for awhile but have you heard anything?
4. Japan/Korea - if this gets through, how much would this soften the dilution?
5. Reverse split- in the past you have speculated you didn't see there being a reverse split but there appears to be one on the horizon. What changed from your earlier talks with Veal to now?
Lux, these aren't east question but this is a sensitive time for some investors and any incite you can give would be appreciated.

I also wanted to get your (and Lux's) take on how much more capital would need to be raised to get things rolling for production runs over the next year to support a $5 million dollar sales number? ABC Store update. As I told you guys, I am in Maui, HI this week and said I would check in to see if any of the ABC stores here were carrying the Larry Energy shot or Hangover Recovery shot. At this time, neither was being carried in the Wailea or Kihei ABC stores. That doesn't tell us much because the company had a soft rollout as Lux had mentioned (plus this is Hawaii and I can understand if the company wanted to ship more locally). I'm still very optimistic on HJOE's future and see a bright 2015 but I still wanted relay what I saw.

I will be in Maui this coming week and will let everyone know if I see any Hangover or Larry energy shots in the ABC stores. Though I rarely post, I have been watching posts for on this board for over 18 months. I try to take balance the good with the bad but truly believe what Lux, Thesmalls, and others have posted. The company has solid management in place and I believe we are going to be in a good place with 9 months. Now, the stock may still drop in the short term but even if it does, it doesn't reflect the the positive direction the company is moving in. Good luck to all!

Smalls, I really respect your opinion and have thought highly of of the balanced opinion you bring this board. I wanted to ask your opinion on a few topics.
1. The increase in shares and upcoming dilution. Most of us know this is coming and the the people that have been around kind of of know why (packaging issues, marketing people being in charge decisions...etc..pre-Veal).
Part A- What is your opinion of the dilution? Do you think most of the authorized shares that may get put into play right away? Why?
Part B- What is your opinion of the loans HJOE took out? I'm not sure how much information is available to the public on this? Did HJOE give themselves appropriate time to pay back the loans and companies potentially cashing in on these shares? I realize some of the loans/investments were pre-Veal vs. post-Veal but still welcome your opinion.
Part C- I'm in this long but I wonder why most investors wouldn't sell and rebuy later? I guess I'm asking if an every day investor could be potentially diluted by 50-70%, what is their motivation not to sell now and rebuy later if dilution is on the horizon?
2. Also, I'm wondering what kind of revenues would this company have to generate for this company to reach a stock price of .25? .50? 1.00? Why?
Sorry if I bombarded you with questions but you seem to be the only one on the board who provides truly valued technical analysis (LUX provides us with our valuable trench updates from someone who has been in the field for over 20 years...haven't forgot about you buddy!).
