GroveWare Technologies Ltd. (GROVD) and Annapolis Junction, Maryland based Cummins-Wagner Co., Inc. have signed a contract to implement GroveWare’s MobiTask™ software to streamline Cummins-Wagner’s work-order management processes, enhance quality assurance, reduce costs and improve the customer service experience of its equipment service and maintenance clients.
Verizon Wireless (VZ) introduced Cummins-Wagner to GroveWare. Cummins-Wagner is a distributor of industrial and mechanical equipment. The company has several offices that provide solutions and services to its clients throughout Maryland, Virginia, Washington DC, Delaware, West Virginia, Pennsylvania, New York and Florida. For the technicians at each office, a majority of whom are “on location”, the time required to visit and collect service tickets at the office is an expensive and labor-consuming activity. Cummins-Wagner had previously attempted to provide its field technicians with an electronic forms solution, but none of these efforts met with much success.
Within a couple days, GroveWare provided Cummins-Wagner with a demo of their “Service Ticket” using MobiTask™ and the application was field-tested by their technicians. The Ticket allowed technicians to electronically enter the client information, parts used, equipment details, labor, and add notes directly onto the screen of an Android™ tablet using an electronic form which looked very similar to the paper ticket they had been using for years. The field testing was a success and Cummins-Wagner decided to partner with GroveWare to develop a working Service Ticket that would be uniform across their entire company. The goal of the project was to streamline the work order process, to eliminate unnecessary paperwork, lessen the amount of time spent collecting and processing service orders, limit trips to the office by technicians, and significantly reduce cost.
GroveWare created an enhanced version of the Service Ticket that is wirelessly and securely connected to a database which includes of all Cummins-Wagner's customer information. The Service Ticket is wirelessly dispatched from the office direct to the technician's tablets in the field, ensuring an immediate and consistent data flow within the service order process and removing any miscommunication that might occur over the phone. The technician receives an email notification that he has received a service order, opens the file on his tablet and views the information sent by the dispatcher. The technician completes the rest of the information onto the tablet, detailing work completed, parts used, and then submits the data back to the office in real time. Receiving a notification that a service order has been completed, the dispatcher will verify the information, and approve it which will automatically create a PDF of the Service Ticket which is sent by email to the directly to the client.

GroveWare Technologies' MobiTask Solution to Provide an Inspection Reporting Tool to the Largest Independent Wood Products Inspection and Testing Agency in the U.S.
TORONTO, ONTARIO -- (Marketwire) -- 10/09/12 -- GroveWare Technologies Ltd. (OTCQB:GROVD) and Conyers, GA based Timber Products Inspection Inc. (TP) have concluded a contract to install and implement GroveWare's MobiTask(TM) inspection software designed to streamline its inspection process, enhance quality assurance through reduced data error, and improve the timeliness, while reducing the costs, associated with its inspections reporting. TP learned about the solution from its representative from Verizon Wireless (NYSE:VZ) (NASDAQ:VZ), GroveWare's largest channel partner.
TP completes inspections for the Chain of Custody Certification under the Sustainable Forestry Initiative sponsored by the National Home Builders` Association. The program tracks certified wood fiber through the different stages of production to the end user and promotes sustainability of the forest products we use every day while providing the consumer with assurances that the forest based materials they buy are from legal and responsible sources. TP's SFI Chain of Custody program is accredited by the American National Standards Institute (ANSI).
Any company that processes or trades SFI-certified forest products, including manufacturers of forest products, paper merchants, converters, wood dealers, wood yards, wholesalers, brokers and printers can seek SFI chain-of-custody certification, a process which is overseen by TP. TP also offers consulting for any green building project (NAHB Green Building Standard, LEED, Energy Star, etc.), performance testing, and verification services for the NAHB Green Building Standard, a residential green building rating system.
TP employs over 60 highly-trained inspectors who complete over 3,000 inspections a month throughout North America. The inspectors currently complete their inspection reporting on a paper form and submit inspections to the national office through the mail where the data is then clerically transcribed and entered into a database. The entire process is inefficient, costly and not environmentally friendly. TP recognized that the use of paper-based inspection reporting was no longer aligned with its long term goals of quality control, innovation and environmental responsibility and began looking for a solution that would facilitate the timely collection and reporting of inspection results.
After extensive consultation between GroveWare and TP, MobiTask proved to be the ideal solution for TP's inspection process with the full expectation that MobiTask would streamline its inspection and certification procedures. MobiTask will provide the inspectors with a means to complete and submit inspections immediately from the field using standard wireless devices. The project will assist TP by eliminating cost, reducing its carbon footprint, improving accuracy and timeliness of reporting and creating an overall fluid inspection process.

A MobiTask installation is comparatively inexpensive to set-up, typically costing customers only a few thousand dollars for initial design, configuration and integration and each user is then charged a monthly fee by GroveWare for use of the software (depending on the number of users and features selected). By comparison, custom-built solutions can often cost tens or even hundreds of thousands of dollars. Item 3.03 Material Modification of Rights of Security Holders
On September 17, 2012, our board of directors resolved to decrease the number of authorized shares of our common stock, par value $0.001, from 450,000,000 to 50,000,000. Correspondingly, our board of directors affirmed a reverse split of one for five in which each shareholder will be issued one common share in exchange for five common shares of their currently issued common stock. Under the Nevada law, shareholder approval was not required.
A proposed effective date of September 28, 2012 was established in order to provide FINRA ten days notice pursuant to Rule 10b-17 of the Securities and Exchange Act of 1934, as amended. Prior to approval of the reverse split we had a total of 321,000,000 issued and outstanding shares of common stock, par value $0.001. On the effective date of the reverse split, we will have a total of 64,200,000 issued and outstanding shares of common stock, par value $0.001. New stock certificates will be issued upon surrender of the shareholders’ old certificates.
A copy of the Certificate of Change that was filed with the Nevada Secretary of State on September 17, 2012 is attached hereto as Exhibit 3.1 and is incorporated by reference herein.
In connection with the reverse split, we have the following new CUSIP number: 399807205. We have submitted the required information to FINRA and expect approval in the coming weeks. Once effective, we expect that our common stock will be quoted under the symbol “GROVD” for a period of 20 trading days. After 20 trading days, our common stock will resume trading under the symbol “GROV.”
