I disagree integral. I think initially it had everything to do with the ums bankruptcy. I think now it may be less related. But time will tell.

LOL...except that Lee is the President of iTALK...and the partial owner of FX1...which owns the T-Mobile locations. Also... The lease company is still active in Georgia. There are active operations. Just need them to get their ish together on the filings.
The Chap 11 case is closed when the creditors have all been paid off completely. Then UMS can petition the court to close the case. That will take months.
Hopefully we'll see some kind of connection to Lee and iTALK soon.
The Wholesale agreement is going to a diff company...not FX1. I agree with pb that FX1 owns the TMobile locations that were transferred to them and are staffing those locations.
How this fits in with iTALK is still a mystery.

I agree DJ. Although we have been wondering how iTALK would own the locations after the bk and already know that iTALK merged with UMS Inc which Lee owns...iTALK is in danger of disappearing off the grid. Makes no sense to me that they have not paid the 1600 dollars to update the Nevada filing.

The only connection to iTALK is that Lee is the President of that "company." FL Auto Phone owns a majority position in FX1. The other owner is KHC which is owned 50% by Lee. I didn't see any updates saying who the other 50% owner of KHC was.

I don't think it has been revoked yet. I believe there is a hearing on Dec 8.

Exactly. From what I heard...that footnote saying that Lee rescinded the agreement with TALK was a misunderstanding by the attorney that filed the document.
In terms of ownership of iTALK...Levy owned the company through his Preferred A shares which we have since found out never existed. Leaves a big door open IMO. Unless there was an update to the articles to add those Preferred shares...the shareholders owning the common stock own the company.
Could be the reason Levy let this go to shit. Ppl dumped and maybe he or Lee accumulated shares. All speculation of course.
It seems like a no brainer. Why would Levy spend so much time and effort accumulating everything to do with TALK and then just let it dissolve.

Read an article recently that companies are allowing their securities to be revoked so they are only responsible for filing the prior 2 years of filings once they do reinstate. With all of the UMS back and forth are they aren't they...this would probably benefit iTALK.
It could also mean absolutely nothing.
I find it strange the filing by Cameron McCord of the docs for FX1 in Georgia. Then the amendment in October and the involvement of Lee as a minority holder. In addition to the fact that FX1 is in the same building that iTALK once occupied in GA.
Also, iTALK leasing is still active in GA.
Will be interesting to see how it all plays out.

TALK can actually find a MM on the OTC and file a Form 211.
They didn't have a lot of operations so its not as if the filings will be complicated. Plus they don't need to be audited on the OTC.
From what it seems, T-Mobile and Metro objected to the involvement of Fox Development. UMS was initially trying to work out an agreement where they would own the debtor UMS LLC after the bk was over. T-Mobile did not want Fox to have control over those stores...wanting to maintain control over them instead. I can't remember the exact wording.
However, due to lack of funds avail UMS had to partner with Fox for the cash infusion and in return give them the interest in those locations. At least that is what they were working out the details to when Metro told UMS to sell all the locations. This new company will eliminate Fox having any kind of interest after the bk.
It appears that this new company where Lee has a minority stake will become the new owner of the T-Mobile locations at least.
If TALK is remotely involved here they could take this new company public under that name. Just guessing. Don't want to get too excited here or hopeful at all.

Maybe that's why the hearing is on 12.6. Isn't the revocation hearing for TALK on 12.9?

FX1 is a Georgia LLC registered company set up in August and amended in October. Owners are...
KHC and Florida Auto Phone a FL registered company. The 400k appears to be the money they received initially from the company that TMobile didn't want to own UMS. Wonder if they came to an agreement on this.

5 calendar days. However...last yr it ended up being 2 months late and was finally filed in January. The OTC is cracking down on late filings lately. Could see a yield sign go up here at EOY if they don't file.
