Read the JV, there's an IP component that is exclusive.
TenKay, try reading the filings, the exhibits can be a wealth of information. They would answer all of your questions, including things like State of incorporation, combination questions etc.
You're not making an effort to answer your own questions, but then publicly raise questions in a effort to create suspicion among those who may not know how to look this information up.
State of incorporation is clearly stated in the exhibits. As was all the other questions you raised.

They are Doctors and Scientists. Professionals, such as Corporate and Securities Attorney's, Auditors etc.. advise management on filings.
The CEO is a previous high ranking Army Officer. I'm sure his management experience is sufficient to properly delegate expertise.
There will be considerable changes in management overall. But generally speaking, yes.
Alan, the fact that you bring up GW Pharma suggests you still don't understand our business plan.
It's very simple.
All the technology and IP stays in the Pubco. Instead of the original plan of separating the assets and spinning half the assets out, all assets stay in the pubco now.
The exiting vertical farming people (current IHC management) are simply going to start a new company (The Harvest Group) and the pubco will license the use of the IP to the Harvest Group for produce related projects. The pubco would receive some kind of yet to be determined royalty for the use of the IP.
This deal I believe is actually much better for pubco shareholders than the original one filed because it keeps all the IP/assets in the pubco. Hence the change to the LOI and disclosure.

It was stated clearly in the PR the intent.
The most significant detail seems to be getting overlooked is the intent to register with the DEA as a legal producer under Federal Law.
Another poster from Ihub emailed me.
No, I've never heard of Hiru Corporation. Indoor Harvest, nor any of its Directors or Officers is involved in this Company.
So those rumors can be put to rest right now.
