I am not quite sure where we are at here?
But then again, i have a 'strange feeling' that i do...
Enjoy much, your 'assessment' of this long and 'tangled' journey with this 'Ariadne'!!!!
Thanks for joining us and sharing your 'opines'..
galtjohn61,,,,in appreciation
Thanks 'BR' also for that opinion, 'Completely agree with Cowen's target : $10'..
I see you 'sold' more yesterday, which appears to be another pretty good decision, considering the 'letdown' of today..
I think you have stated that you would 'probably sell the rest of your position at 10$, if this 'ariad' shall climb that far..
something to think about and may not be a bad 'target' to get out of this overdue investment return if it can be accomplished. who knows
hey, see you changed the picture on your profile here. i like the new one a bunch more.
keep up the good work and thanks for sharing
"Can't see the forest for the trees", as the old 'adage' goes.
I also believe it was 'a brilliant deal' by 'denner and minions'!!!who knows, 'berger' is still advising, maybe he had input for same, in spite of being so 'despised' on the forum. the guy wasn't a 'jerk', perhaps abit 'shady' here and there. but then again, who 'amongst' us is not during the journey, in spite of ourselves and our best efforts?
'Ponatinib', what a drug discovery? With the bad 'decisions' in the history of same, (we all make a few of the above), let us see down the road where 'AP534' ends up.
galtjohn61
a very, very short 'half-life' on the thread 'yo' concerning 'missives'.
i would like to make a reference to 'ariad' in that it appears to be going up abit in the last few weeks.
June 6 at 'ASCO' should be interesting, to say the least.
nice to see ya 'yo'
galt
Thank you 'Sir'
That in itself is mighty 'impressive'..
I think that 'he/she' means it would sell its entire position.
Maybe not a bad idea, who knows..
'His/Her' gain would probably be 'our' loss. Would really be kind of sad to see that happen.
"must have been a senior moment, Galt. I can relate to that'
lol, perhaps that would explain it.
interesting week, what with 'ASCO' coming up? this 'Ariad', seems like it has been a part of my life for longer than i had 'desired' from the beginning.
thanks
galt
'lax', that is a serious allegation from the opposite side of the 'cyberspace' playing field.
i will take it upon myself to 'referee' this match?
we shall not tolerate anything but 'honesty and integrity' in regard to same.
Go 'Ariadne'!!!!!!!!!!!
ding, ding, ding
sorry about the misspell
should have been 'zzaatt'
'zzat'
(no longer in technical use)---'mono'.....in reference to the 'DSM', updated diagnosis would be 'megalomania//megalomaniac'??? just for 'political correctness'...lol
You appear to be new to our 'Ariad Community' here which is always welcomed as a 'breath of fresh ideas'..
'Welcome' and feel free to share thoughts on where this 'Ariadne' journey make take us. Some here (including myself) have probably been here much more longer than anticipated, but still 'full' of anticipation not a lot unlike 'life' itself...
galt
ps--'Half-life',,humored me for the day. lol
'Sarissa Capital Management'
Holds the largest position in this one also..
'denner' has his hands full it would appear?
http://finance.yahoo.com/news/robbins-arroyo-llp-investigating-officers-230100681.html
'zzaatt'
just wanted to let you know i enjoyed your 'observations' from earlier today. made a lot of sense and was 'reality' oriented, which at times is hard to come by on occasion.
sorry for the good folks that missed it as it must have irritated someone.
Go Ariad???
you remind me of 'Harvey Berger' from years ago?
galt
I think you are very 'correct' in that 'opinion'..
From this 'opine' it would appear he is rather 'deeply' underwater with some very 'bad' choices we all seem to make here and there in this 'investment' world. 'post-haste' a good choice in describing same?
galt
'denner', we shall see
'AEGR', the 'whizkid' entered about +/- 25 some years ago, take a look.
'VVUS', the 'whizkid' entered about +/- 7 take a look.
'APRI', the 'whizkid' entered about +/ .90 take a look.
'special guy',,,hmmm....i would guess also leading to the 'promised land'?
again,,, we shall see
good to see you again
I Am kind of hoping we may shall see how it 'plays out' before 'election day'...
The 'Ariadne' struggle, my goodness
thanks
good stuff
maybe i am partial to 'kristofferson' as we were together during the 'vietnam years' in that long ago battle.
may we hope the 'Ariad' can weather this 'battle'?
the big 'kris' and i were glad to make it home.....'freedom'
hey there, Mr 'br'
that is why we gotta love ya? all in it 'together' until 'death do us part'........
'Ariadne', goodness, so long now.
that is a long one '2da'
break it down now!!!!!!!!!!!
'2damoon', come now 'June', we shall see
'2damoon'
gonna get er done in 'June'
'Ariadne',,,,OK
'Vidpok', thanks for being a part of it
'June'
good things happen
always in mutual respect
peace
galtjohn61
I 'think' perhaps the month of 'June' could be that 'turning point'!!!
''ARIADNE,,,mythology vs reality,,we shall see?
'Vidpok' 'et al.'
I think maybe 'Ray' might agree, bless him
"IH Admin [Shelly]"
I think you do a terrific job in monitoring this 'ihub' board.
just wanted to say 'thank-you' for your effort in same..
above and beyond, thanks for being here.
Thanks Barry,
In mutual agreement on your opine in regard to 'abundantly clear'.
The last paragraph--lol
with respect
galt
'Vid'
In spite of it all as we sit on the last day of this 2015.
'Jess', 'optimism', good stuff.
'2da', thanks.
'ss', always enjoy.
'greggors, trading_cyclist'--et al.
been a struggle, not so unlike 'life' itself!!
thanks for sharing
Not a bad response and optimism is always good to strive for in our 'gray matter' between our ears. If the wiring ain't half bad in that part of the anatomy, it helps alot.
'Realism' is probably more constant in the function of 'same'. The great 'divider' in how we view our surroundings in relation to others.
"(1). shelf offering (2). partnership (3). loans"
(1)==DOA..That well has been sucked dry, at the current PPS.
(2)==Perhaps, but quite 'sticky' in trying to unload the company down the road.
(3)=='loans', from what source? I think again 'DOA'.
'Funding/Cash'--The top of the agenda. We shall probably know soon enough if the 'whiz kid' and 'Denner' have a plan. I really hope they do.
The 'kid' cost millions, 'Berger' wasted millions..And to soon to know if 'Denner' is worth the hype? Batting below 200 on his maiden venture without 'props'.
galt
and with that i will 2nd 'gregorio' as the 'very best'. did not know if he was even still around after so many years. glad he is.
hard to tell what to do with the 'investment' at this point in time. new 'ceo', nothing has really changed yet, except faces. and even the old 'face' special advising.
my ever so present concern (nagging)----'funding/CASH' as the ongoing concern that should be quite front and center. been to long in the investment (which i take full responsibility for). really hard to see more 'dilution' now, even if it could somehow be pulled off. I think 'Berger' fixed about everything on that last 'going to the well' at around $19. Those fine folk do not have short memories.
perhaps 'Mr Paris' has a bit of the 'houdini' bloodlines running thru the 'tree' of life from his ancient beginnings. i hope him well for all concerned.
thanks '2da' for the ever ongoing 'analytical' synopsis of 'as the ariad turns'?
peace
galt
'hedgefundpartner', the forecast from a mere four weeks ago has changed a tad.
number 1 on the scenario list is the hit for the week/weak!!!
"All Im saying is I heard $16 was offered a long time ago. Just like MSFT offered to buy yahoo at $33 or $37 a few years back they did not sell and it tanked to $15 and went back to $50 years later.
$16 was before. Do i think $16 is doable, yes... If Brig data continues to be good. 788 is going after a bigger market than what we are in now so. Yes, in an auction $16 is doable.
Would I accept $11. No as it was already rejected...
Ultimately, I think Denner will take $14 just out of sheer frustration in order to book a winner in his portfolio and move on.....
My scenarios are:
Bleak - New CEO brought in. No sale
Good - We sell at $12-$14 (Baxalta comes back with higher offer)
Very Good - We sell at $14-$16 once Brig confirms Best in Class data
Excellent - $16+ Multiple bidders emerge once 1st one confirms takeover interest...
Other than the bleak scenario, the 3 rosy scenarios appear viable to me.....A CEO would have already been brought in 9 months into the separation agreement..
HB would have been paid and he would have been gone. Why hang around if the money is already guaranteed. He will take credit for the sale and ride off on his white horse. It's his legacy...
This is the only thing that makes sense when "you read between the lines" of what has happened here the last 12 months or so when Denner began squeezing the Board. He still could add another Board member but hasn't if I recall. I think the BOD has finally rolled over and its a matter of time..."
calling all 'minds' or maybe 'angels'///per galt
'forecasting is always a risky process'
gotta love it
i think perhaps Jess that i am reading 'between the lines' which at best is quite 'personal assessment'.
after reading the '8K' a couple of times, i came to the conclusion that it is more 'pathetic' than at first glance.
more waste down the 'ariad disposer', which has done quite a job at handling same without complete malfunction.
the 'storyline' remains, without end?
galt
'Dr Berger' going to do some 'advising'? Mr 'P', one can certainly garner an opinion or two from that read?
On December 16, 2015, the Board of Directors (the “Board”) of ARIAD Pharmaceuticals, Inc. (“ARIAD” or the “Company”) appointed Paris Panayiotopoulos as the Company’s Chief Executive Officer and President and as a director of the Company, effective January 1, 2016 (the “Effective Date”). Mr. Panayiotopoulos will serve as a Class 3 director with a term expiring at ARIAD’s 2018 annual meeting of shareholders. Mr. Panayiotopoulos will succeed Harvey J. Berger, M.D., who, as previously announced on April 29, 2015, informed the Board of his decision to retire as Chairman, Chief Executive Officer and President of the Company, effective as of December 31, 2015. Dr. Berger will assume the role of special advisor to the Board and Mr. Panayiotopoulos as of the Effective Date.
Mr. Panayiotopoulos, age 41, is a global biopharmaceutical leader. Prior to joining ARIAD, Mr. Panayiotopoulos served as President of EMD Serono, Inc. Prior to EMD Serono, he was at Eli Lilly & Co.
Employment Agreement
On December 16, 2015, the Company entered into an employment agreement (the “Employment Agreement”) with Mr. Panayiotopoulos which provides for an annual base salary of $650,000, an annual target bonus of 70% of his annual base salary and a one-time make-whole payment of $500,000 in order to reimburse Mr. Panayiotopoulos for benefits he is foregoing from his current employer. This make-whole payment is subject to clawback in the event Mr. Panayiotopoulos terminates his employment without “good reason” (as defined in the Employment Agreement) or the Company terminates his employment for “cause” (as defined in the Employment Agreement) within the first year of employment. The Employment Agreement also provides for a one-time payment of $50,000 in order to reimburse Mr. Panayiotopoulos for certain expenses he will incur in connection with his commencement of employment, and other employee benefits. The Employment Agreement has a three-year term.
Commencing in fiscal year 2017, Mr. Panayiotopoulos will be eligible to participate in the Company’s long-term incentive compensation plans on terms and conditions no less favorable than the Company’s other senior executive officers.
In addition, the Employment Agreement provides for a grant of 200,000 service-based restricted stock units (“RSUs”) and 1,500,000 stock options to Mr. Panayiotopoulos as inducement grants in accordance with NASDAQ Listing Rule 5635(c)(4). The RSUs shall vest in three approximately equal installments on the six-month, twelve-month and eighteen-month anniversaries of their grant date. The stock options have an exercise price equal to the closing price of the Company’s common stock on the date of grant and have a ten-year term. One-fourth of the stock options will vest on the first anniversary of their grant date, and the remaining portion of the stock options will vest in thirty-six approximately equal installments on a monthly basis thereafter. The vesting of the stock options and the RSUs are subject to Mr. Panayiotopoulos’ continued employment, except as otherwise described in the Employment Agreement.
In the event that the Company terminates Mr. Panayiotopoulos’ employment without “cause” (as defined in the Employment Agreement) prior to or more than two years following a change in control of the Company, Mr. Panayiotopoulos will be entitled to receive an aggregate amount equal to the sum of his then-current annual base salary plus his then-current target annual bonus, payable in installments over a one-year period, and 12 months of continued coverage under the Company’s group health insurance plan. In addition, the unvested portion of any outstanding equity-based incentive compensation awards that, absent such termination, would have vested in accordance with their terms during the 12-month period immediately following the effective date of such termination will vest, and the remaining portion of such outstanding unvested awards will be forfeited.
In the event that, within the two-year period following a change in control of the Company, either the Company terminates Mr. Panayiotopoulos’ employment without “cause” or Mr. Panayiotopoulos terminates his employment for “good reason” (as defined in the Employment Agreement), Mr. Panayiotopoulos will be entitled to receive an aggregate amount equal to two times the sum of his then-current annual base salary plus his then-current target annual bonus, payable in installments over a two-year period, and 24 months of continued coverage under the Company’s group health insurance plan. In addition, any outstanding equity-based incentive compensation awards will vest and, if applicable, remain fully exercisable through their original term.
galt
give you credit 'SS' your quick on your feet? how you catch some of that as with last evening, impressive. lol
now if we could nail one of 'outside curve balls' for a 'homerun' it would indeed be a dazzler......
galt
'2da', well, here we are. 'denner' threw a 'curveball' that was wide to the outside. 'berger' ain't gonna get to ride the 'big white stallion' off into the sunset. no legacy, unless counting the 'boo's' from the gallery.
new face, same problems. big funding needed, trials coming up in Europe starting January. Cutting the cash burn to bare bones probably will not solve the needed cash.
hard to believe the new 'fellow' will be coming in for less than a year. and so, where do 'we' go?
same sinky mess and always for the so many years now 'needing cash', with very few options now if any.
help again '2da', analyze this cash burning mess and see what you can come up with? way beyond this old brain. lol
thanks
galt
what a turn
your guess good as any. i think tomorrow we will shall see?
galt
now what?
new 'CEO' tomorrow
goodness
Thanks '2da' sounds reasonable and well thought out at this juncture.
Trials, 'better late than never' i guess is how to assess that bit of news. Now for the interesting part, the 'Funds' to pursue above. I would think that issue would have to be disclosed at some point in the very near future. My goodness, what a walk thur the valley, even as 'Harvey' must be cleaning out the office and tidying up.
Thanks
galt
Thanks '2da', looking forward to it.
'Vid' you again have run the risk of unleashing the quintessence of the 'lampoon' that is always circling in the 'dark shadows'? I enjoyed the missive of this earlier AM.
Something has to give here sooner, rather than later with the beloved 'Ariadne'. per galt 'instinct', which ain't been to good lately...lol
However, the best compass i have to navigate with. I hope it stays fairly reliable.
galt
"2damoon1 Monday, 06/29/15 07:14:45 PM
While I haven't confirmed it's truth, if one were to accept the $10B/ $3B ONYX thesis as fact, Aria is worth at least $25-$33 pps.
No doubt Pona gets to .5B by 2022, and probably a multiple of that, and '113 will likely outsell Pona (and quickly). Using just $.5B apiece by 2022, that's $1B by 2022. It suggests a pps of the low $30's.
I'm still sticking with $20+ pps b/o for now, but considering a raise, sometime in the next 6 months provided a b/o doesn't make that moot".
'2da' sometimes i wonder about your 'projections'?
OK, about '6 months' in the above reference have passed.
What is the new 'projection' for that last paragraph?
So easy to look 'back', but then again rather difficult to see up ahead.
galt
It is kind of like a 'colonoscopy' with Ariad as we speak.
The 'prep' resembles same. You drink the gallon of tasty liquid, as you near the bottom you know that the 'final flush' is here. All you have to do is let the 'scope' do the rest, with a certain amount of trust that it 'will' work out OK, because you have done your part to do the 'best' you could.
That is the best i can lay er out there for you. I have had way to many of the 'colon' preps, which qualifies me as an expert on the analogy...lol
Hope it helped clarify the 'misty' issues here.
Thanks Vid, it was good. Hope for you the same.
We could use a 'gift'. My 'hopes' are quite aligned with many here.
The forum that we participate in, is appreciated by most. Hopefully it will have a conclusion in the not to distant future.
Always enjoy your input along with the majority here. What a 'Journey' this Ariad.
galtjohn61
'Vidpok'
warm also in the 'midwest' today'. my better half and i went out and played '98' holes of golf. needless to say we were rather 'tired' at the end of the pursuit.
that 'ariad' was not green, could be due to a lack of 'nitrogen'. a little nurturing should do the trick.
the best to you
galt
