I bought in yesterday on the breakout and made a few bucks, but then I went and read the filings on the company and how many times this company has changed names. They are supposed to be a petroleum and gas company for Gods sake and all of a sudden they decide to get into the pot business. My brain told me too many red flags but my greed told me to take a chance. Thank God I only have 10,000 shares. GLTA

I have both a regular trading account an a roth trading account and because I believe that both PHOT and FITX will be huge one day in the future, how ever long that might be, I decided to sell my position in my regular trading account and purchase it back in the roth account so when these stocks are huge I won't be paying a bunch of capital gains taxes. Either way I believe that they both have great long term potential. This is a marathon not the 100 yard dash. GLTA

I am not trying to be a hard ass....Right now I’ve just loss my ass in SPNG.pk...I have not sold but I am severely upside down and I need to pay 80k in taxes... Maybe you can see why I’m a little anxious. I like the products, I like all the stores that you are in and I still believe in the company. Maybe a heart felt PR outlining where you are on the financials and that you ARE working on them and that THEY WILL be released would go a long way to help settle all the ill will that exist out there right now. I appreciate the fact of the new products, but until the financials come out your stock is going nowhere. I invested tens of thousands in your company believing that you had something great. I understand if some accounting errors were made in the past... I can deal with that. What I don’t understand is why you won’t file and why are you keeping people in the dark. You are completely breaking your own code of ethics. I have one question... ARE YOU GOING TO FILE A 10K? Or are you going to completely forget about your investors. All the new product and new store won’t mean a thing unless you file your financial statements. Please throw us a bone.

I hear ya Roc... I have been stuck in this fiasco for close to a year. Much of my predicament is my own fault. I had a chance to get out twice with a fairly large profit, but greed got the best of me. I hope and pray this turns around. One way or the other I'm in it for the long haul. Selling now at the massive loss I would take doesn't make sense. If I could write all of it off my taxes I would, but you can only take $3000 a year.

I Hope you are right Dark Lady. I am long and so far I have refuse to sell because the loss I would occur does not make sense at this point. I just wish they would they would file and let the dust settle from there. This is just one of a bunch of storms that I am personally facing at the moment. I really thought the Walmart news would give us some sort of boost. I really could use some good news in my life right now. I am getting a bit battle weary.

No code or policy can anticipate every situation that may arise. Accordingly, this Code is intended to serve as a source of guiding principles for directors and executive officers. Directors and executive officers are encouraged to bring questions about particular circumstances that may implicate one or more of the provisions of this Code to the attention of the Chairman of the Audit Committee, who may consult with inside or outside legal counsel as appropriate.
1. Maintain Fiduciary Duties
Directors and executive officers must be loyal to the Company and must act at all times in the best interest of the Company and its shareholders and subordinate self-interest to the corporate and shareholder good. Directors and executive officers should never use their position to make a personal profit. Directors and executive officers must perform their duties in good faith, with sound business judgment and with the care of a prudent person.
2. Conflict of Interest.
Directors and executive officers must avoid conflicts of interest with the Company. Any situation that involves, or may reasonably be expected to involve, a conflict of interest with the Company must be disclosed immediately to the Chairman of the Audit Committee.
This Code does not attempt to describe all possible conflicts of interest which could develop. Some of the more common conflicts from which directors and executive offices must refrain, however, are set out below.
Compensation from non-Company sources. Directors and executive officers may not accept compensation, in any form, for services performed for the Company from any source other than the Company.
Gifts. Directors and executive officers and members of their families may not offer, give or receive gifts from persons or entities who deal with the Company in those cases where any such gift is being made in order to influence the actions of a director as member of the Board or the actions of an executive officer as an officer of the Company, or where acceptance of the gifts would create the appearance of a conflict of interest.
3. Corporate Opportunities.
Directors and executive officers owe a duty to the Company to advance its legitimate interests when the opportunity to do so arises. Directors and executive officers are prohibited from: (a) taking for themselves personally opportunities that are discovered through the use of corporate property, information or the director’s or executive officer’s position; (b) using the Company’s property, information, or position for personal gain; or (c) competing with the Company, directly or indirectly, for business opportunities, provided, however, if the Company’s disinterested directors determine that the Company will not pursue an opportunity that relates to the Company’s business, a director or executive officer may do so.
4. Confidentiality.
Directors and executive officers must maintain the confidentiality of information entrusted to them by the Company or its customers, and any other confidential information about the Company that comes to them, from whatever source, in their capacity as director or executive officer, except when disclosure is authorized or required by laws or regulations. Confidential information includes all non-public information that might be of use to competitors, or harmful to the Company or its customers, if disclosed.
5. Protection and Proper Use of Company Assets.
Directors and executive officers must protect the Company’s assets and ensure their efficient use. Theft, loss, misuse, carelessness and waste of assets have a direct impact on the Company’s profitability. Directors and executive officers must not use Company time, employees, supplies, equipment, tools, buildings or other assets for personal benefit without prior authorization from the Chairman of the Audit Committee or as part of a compensation or expense reimbursement program available to all directors or executive officers.
6. Fair Dealing.
Directors and executive officers shall deal fairly and oversee fair dealing by employees and officers with the Company’s directors, officers, employees, customers, suppliers and competitors. None should take unfair advantage of anyone through manipulation,, concealment, abuse of privileged information, misrepresentation of material facts or any other unfair dealing practices.
7. Compliance with Laws, Rules and Regulations.
Directors and executive officers shall comply, and oversee compliance by employees, officers and other directors, with all laws, rules and regulations applicable to the Company, including insider-trading laws. Transactions in Company securities are governed by Company Policy entitled “Insider Trading Compliance Program.”
8. Waivers of the Code of Business Conduct and Ethics.
Any waiver of this Code may be made only by the Board or a Board committee and must be promptly disclosed to the public by filling a Form 8-K Report.
9. Encouraging the Reporting of any Illegal or Unethical Behavior.
Directors and executive officers should promote ethical behavior and take steps to ensure the Company (a) encourages employees to talk to supervisors, managers and other appropriate personnel when in doubt about the best course of action in a particular situation; (b) encourages employees to report violations of laws, rules or regulations to appropriate personnel; and (c) informs employees that the Company will not permit retaliation for reports made in good faith.
10. Failure to Comply; Compliance Procedures.
A failure by any director or executive officer to comply with the laws or regulations governing the Company’s business, this Code or any other applicable Company policy or requirement may result in disciplinary action, and, if warranted, legal proceedings.
Directors and executive officers should communicate any suspected violations of this Code promptly to the Chairman of the Audit Committee. Violations will be investigated by the Board or by a person or persons designated by the Board and appropriate action will be taken in the event of any violations of this Code.

I have been a fan of spng and have been long for almost a year...Stupid Me...But this is the proverbial nail for me. I think it's time to take my lumps and they will be massive.... What does it take to sell this POS on Scottrade. Do you have to do it through a broker. It doesn't seem to work on line.

I actually talked to Steven Y Moskowitz 5 minutes ago. He was caught off guard when I called and to be honest I didn't expect him to answer the phone. It is not an office number aand must be a personal number. I asked about the 10k and 10q and he would not say anything that could be taken as insider trading information. I told him I was a small investor compared to some, but it was a lot to me and it would be nice to have all this behind us so we could move forward. He said the he believed that they would be proven to be in the right and hopefully soon the information would be released. I do believe that it was Moskowitz that I talked with. Just wish I could have gotten more concrete information.

I know that we are in gray land which is kind of like walking through Death Valley, but even Death Valley has life in it. I find it odd that this trades everyday between .04 and .05. I am long 327000 shares and right now I am married to a sponge. I am upside down by 30 k and I thought of taking the lose off my taxes, but I can only take 3 k off a year and unfortunately that is not going to help that much. I have traded this several times in the past and was even a part of black Friday. It is as if someone watches my every move. When I sold thinking it would go down to buy more shares, the stock went up and when I have held the stock has gone down. Go figure. For those of you that are successful in trading stocks and make a living at it my hat is off to you. I have been very successful in many things except trading stocks and I think it is because I have a hard time removing my emotions out of the equations. If I had a button that did the opposite of what i intended to do I would be rich. Thank God I have a good job in this economy and I have had a stellar year. My biggest problem is I hate to lose. I want to be successful at whatever I try. When it comes to SPNG , I guess I just got greedy. Twice I was up enough to pay for my new 2010 Camero, but I wanted more. I know I know... pigs get fed and hogs get slaughtered. Leason known, but not learned. I pray that this will turn around and management will get their act together. I have read every post for the past 8 months and I just don't know who's right. I am almost to a point of making a trip to New York and sitting down face to face with these guys. I am the first to admit that I am not a professional trader. Every time I have tried day trading I have had my butt handed to me. I wish I had more knowledge in this so I could sell at these temporary inter day highs and buy back more at the lows and increase my position. I think this stock could have some great potential. I did feel that the stock was moving up too fast and was over due for a pull back. Thank God I didn't panic and sell in the free fall.
