C shares are already in the hands of previous WiseBuys. No c-shares were proposed for Hacketts. It was $6M in cash and notes and 5% of O/S in an option pool for the Hacketts.
What is the valuation as we know it today with Hacketts?
With LOWTRADE's expertise and reputation, he doesn't have to look far for opportunities. In fact, most come to him.

My O/S estimate stands at 800M for valuation purposes and assumes full dilution of the preferred C.
Tom holds the B shares to avoid a hostile takeover and control the board. I don't belive there is any intention of converting them. Otherwise the C holders and option holders (Wisebuys and Hacketts respectively) would never have signed up to the deal. Tom also has ~ 500k shares of C.
Also the conversion on the C is $4/share, so the dilution depends on market value at the time of conversion.

IMO. They could have converted part of the Preferred C. Or they may have issued more shares to raise the cash necessary to close the Hacketts deal.
Not sure but expected a PR soon to boast about the merger and clear the air.

Agreed. The Merger Agreement included in the 8k states:
"Upon the execution of the this Agreement, SVCC shall issue a press release, after approval thereof by WiseBuys, and file a Current Report on Form 8-K reporting the execution of the Agreement."
The Agreement was executed 10/23 and the 8-K was released, we should anticipate a PR shortly.
Also, the closing of Hackets is anticipated on or before 11/30/07. The agreement will be in default if not done before 1/1/2008.
Hackets will cause the retail operations of SWVC to be cash flow positive without cashing in their "marketable securities". This is the reason the earlier PR reported WiseBuy's "Comprehensive Net Income" and not simply "NI". This was an early warning that WiseBuys wasn't as profitable as many thought.
The terms of the Hackets agreement also indicated that the availability of funds to consumate the transaction must be provided by Tom by Sept 30th. Therefore we should not have any further changes in capital structure from that in the 8-k (except the current O/S descrepancy). However, the agreement also calls for an option pool for the Sellers (Hacketts) in the amount of 5% of the O/S of SWVC.
Interestingly enoungh if the Hacketts exercised these options immediately it would almost repay the $1.5M needed at closing (depending on the O/S and the share price).

What is also telling is that the management team has reduced their salaries (or deferred them). This says:
1) they believe in the company;
2) they believe they can achieve a positive cash flow in the near future and
3) they care about investors and dilution
At this stage you invest in managment. It is this fact along with the stellar DD you have posted that keeps me holding a sizable position here.

With the performance brand of Aero, their likely first play is toward one of the specilty vehicles such as the Cobra Mustang or a Roush performance package.
This strategy is a logical fit just like Brembo brakes... It should be easy for them to get traction here.

It should be equal or better tomorrow and Wednesday.
Thursday won't be bad either after everyone returns from the convention and settles back into their portfolio.
Next week looks good as well the the post convention PR is released.

This is a great move for the 1st day of the conference! IMO something is coming. This move seems a bit soon to driven by conference exposure.
We have a lot more to look forward to.

Second that... SWVC better move its a$$. COPI has a stronger business model. Shareholder value for COPI will be created via sales. For SWVC it means CapEx/financing.

Friday should be green as people look to add before the convention. News usually stems from these events if not through PRs through the technical sessions/presentations. You won't want to be on sidelines if something is leaked. I expect there will be a PR this week building the buzz for the conference and one next week summarizing the results.
