Listen, you guys know I was defending this stock. So don't confuse me with a basher. When I find out that the company insiders have been diluting this stock and selling their shares into a run up, I have to ask questions. When I see the ceo's home address listed as some trailer park in Vegas, once again I have to ask questions. Now with no news whatsoever on this cell, I have to start asking questions. Btw, I wasn't laughing at you yesterday, I was laughing at the situation.
If he is doing it for tax purposes, then why is he selling the property? Wow, you guys see nothing wrong with trailer park in Vegas listed as the ceo's place of residence. Just wow. How is this not a red flag?
I'm just trying to get to the bottom of this. Why does he have this address? First thing that comes to mind when the ceo's address is a trailer in Vegas is scam. Sorry my mind thinks this way and wants answers. Don't bite my head off. These are serious questions that need to be discussed.
And also this one
"I should have kept in mind that people who frequent these message boards do not know how to read and not have mentioned the inevitable reverse split that will come when outstanding shares eventually reach half a billion.
Read SLTD's 10-Q.
It is their quarterly earnings report filed with the SEC. That is where you can educate yourself to the number and conversion price of shares the company has issued and will issue to settle the debt that basically no one on this message board is even aware of.
Do you understand how dilution works? Do you understand that to maintain the same market capitalization when you increase shares outstanding by 50% your earnings have to double?
Where is your upside if the company continues to issue convertible debt that you the retail shareholder pay for with dilution? Purchasers of SLTD's debt short the stock at 0.20 or 0.30 and cover with shares they buy for 0.01 to close settle their promissory notes. Dilution doesn't bother them at all.
Fixate on my mention of a future reverse split if that helps you ignore the fundamentals of this company. It's your money on the line not mine. Less"
And this.
"Connecting the dots on the trends of this stock, a few things have raised concerns. As we seen with the news of the MD buy, the financials were delayed and put off and details were not to transparent, until after the reports were out. We seen somewhere in the range of 1/3rd of the deal was paid for with normal funds, while the other 2/3RDS were financed with equity. One thing we seen was the financials were released after being pumped, which is to be expected. But the unexpected factor was an immedial 12.3 million share dilution during the feeding frenzy. (12 million shares sold in the teens, low twenties equals in the 2 million dollar range, if this is true, the remaining 2 million has been paid thanks to the investors)My best guess was the sudden increase in shares was the MD deal being financed in the midst of the buying frenzy , thats why the price brick walled and just couldnt climb pas .31. Now we just seen 400k insider shares being sold instead of being held during another upward push. This makes me weary of the next 2 aquisitions as if this is indeed true, any foreward push will be quickly diluted to pay for them. Just my thoughts, draw your own conclusions and invest smart! "
Explain this.
"SLTD is a holding company. It acquires subsidiaries and funds operations by selling convertible debt.
According to their latest 10-Q, shares outstanding increased from 213,290,259 to 330,154,485 from Jan 1 to Sept 30, 2014. Holders of convertible debt acquired these shares at 0.01 to 0.02 per share and flipped them in the teens, a tidy profit at the expense of retail shareholders' dilution.
All of SLTD's convertible notes issued, converted, and outstanding are described in detail in SLTD's 10-Q. Read it if you own shares in the company and are interested in how much your shares are worth.
The 2.8 million dollar note they will be issuing to buy MD Energy in Feb. will be convertible into 28 million shares over three years (convertible at 0.10/share). More notes will be issued to fund capital expenditures and acquire more subsidiaries.
Net result for a retail holder is that when shares outstanding reaches half a billion shares, there will be a reverse split, at which point your 50,000 shares will be transformed into 5,000 shares and your dreams of making a million dollars when pps reaches 20.00 be transformed into making $50,000 on the off chance pps ever reaches 10.00.
Bain, where Nelson comes from, are masters of making money for themselves and their investors by issuing debt that somebody else pays off. In the case of SLTD retail shareholders pay off the debt with dilution.
Read their 10-Q. It is all written down there in black and white. Less"
That's my point. Can someone please explain to me why this address comes up? Based on his resume, I wouldn't expect some trailer park home. How does he live here with 10 kids? Stuff is not adding up. Someone please explain.
That's my point though. If this guy is so smart, why would you sell when it is pennies, if you are expecting 100 million in revenue next year? I don't know. I'm just doing my best to ask questions because I do not want to get taken for a ride drinking the kool-aid. I have 67,000 shares and I'm scared. So im asking questions. Not trying to start trouble. You can't get mad at people questioning why a CEO of an otc stock always sells all his shares.
You find it funny that your own management has been the one responsible for bringing this price down and cashing out on the investors dime. Do you guys believe that Jim is not capable of ripping you off? A good job would involve not having to dump your shares every time you get them. Has he not done this? Am I making stuff up? Why not keep some shares? I don't get it?
No need to bash someone for asking serious questions. I have been in since .10 in July. This is a board for this stock to gain information. We are bringing up serious questions that new investors are probably questioning. So don't get upset and just address the issue at hand. It's an otc stock and you need to ask these questions when you see the insiders constantly selling off their entire position. This stock has been a blood bath this week. It doesn't matter that we are higher than we were two weeks ago. What matters is that we just received good information this week and our insiders have used this as an opportunity to dilute and dump shares. It wasn't shorts, it was our own management team taking this down this week. That should piss you off.
Good news is coming? We just had good news and got killed. I don't know who all-in is, but he has been on point. He stated earlier in the week that dilution was coming, damn did it ever this week. They used the run up to dilute like a mofo. No wonder I couldn't figure out why in the world this was a blood bath this week...now I know why. They have been dumping and diluting all week. No regular investor would have been selling into the news this week.
Or is he dumping all those shares next week? When he sells, he seems to sell everything. At least that is how it has been in the past. I'm sure there is nothing to worry about, but you can't tell me this doesn't rub you the wrong way as an investor. It's starting to piss me off. Sending the wrong signal for an otc stock.
Put it this way, if cook sold all his Apple shares and currently owned 0, what would investors say about Apple?
Nothing for nothing, I agree. I understand taking profits to pay bills and taxes, but why sell every share every single time if you really believe in this company. You can't sugar coat that. ESP since they award themselves millions of new shares after every sell. I get that he is hitting his goals and needs to be awarded, but awarded like this?
I believe in this company and I'm long. I just don't understand why the insiders sell EVERY share at EVERY a opportunity they get. I know they need money, but why sell every single share every time. Then the insiders get a ton more after selling the original shares and do it again. What kind of message is this sending investors?
Knew it. They are still going to play with it.
I don't know. I get the felling the mms are still playing with it. They are raising her back up and will prob smack her back down. This will prob be the game with no news on the horizon till next month.
Honestly, I think it does. They are going to play with it next week since news prob won't be coming till end of dec.
lmao
I agree. At this point, I think it's going down more. Too much selling pressure. I didn't think it would hit .18, so it would not surprise me to hit .13-.15 range. It's total bs too. This movement makes no sense.
I will acknowledge that you were right. Good call.
If you are truly long. Fundamentals are all that matter. If you day trade, I can understand why you turn to technical analysis.
The efficient-market hypothesis (EMH) contradicts the basic tenets of technical analysis by stating that past prices cannot be used to profitably predict future prices. Thus it holds that technical analysis cannot be effective. Economist Eugene Fama published the seminal paper on the EMH in the Journal of Finance in 1970, and said "In short, the evidence in support of the efficient markets model is extensive, and (somewhat uniquely in economics) contradictory evidence is sparse."[59]
Technicians say[who?] that EMH ignores the way markets work, in that many investors base their expectations on past earnings or track record, for example. Because future stock prices can be strongly influenced by investor expectations, technicians claim it only follows that past prices influence future prices.[60] They also point to research in the field of behavioral finance, specifically that people are not the rational participants EMH makes them out to be. Technicians have long said that irrational human behavior influences stock prices, and that this behavior leads to predictable outcomes.[61] Author David Aronson says that the theory of behavioral finance blends with the practice of technical analysis:
By considering the impact of emotions, cognitive errors, irrational preferences, and the dynamics of group behavior, behavioral finance offers succinct explanations of excess market volatility as well as the excess returns earned by stale information strategies.... cognitive errors may also explain the existence of market inefficiencies that spawn the systematic price movements that allow objective TA [technical analysis] methods to work.[60]
EMH advocates reply that while individual market participants do not always act rationally (or have complete information), their aggregate decisions balance each other, resulting in a rational outcome (optimists who buy stock and bid the price higher are countered by pessimists who sell their stock, which keeps the price in equilibrium).[62] Likewise, complete information is reflected in the price because all market participants bring their own individual, but incomplete, knowledge together in the market.[62]
Is it a science? Can you guarantee anything off a chart? So spare me the voodoo talk. I bought into this company based on fundamentals. I didn't look at some stupid chart and decide that it is a buy. If charting is the key to stocks, why doesn't everybody use it. If it guarantees you the movement on a stock, why wouldn't everyone use it. Please tell me how a past chart has anything to do with tomorrow. As much as you convince yourself otherwise, yesterday's movement really has nothing to do with tomorrow. Fundamentals dictate tomorrow's price. All you traders and Chartists just bring volatility to the market. Ask three different Chartists their opinion on a stock and you will get three diff answers. Science...right!!
I'm not going to lie. I hope this stays down till my money clears. Trying to get to a 100,000 shares. Im at 67,000 and change.
I also love the idiot earlier asking why this stock is on the otc if it is such a good company. Claiming, why don't the venture capitalists support this company since they are flush with money. Are you serious? You are so lost it is not even funny. You do realize this is a publicly traded company right? What makes you think nelson wants to have to listen to a venture capitalist tell him what to do? Why would he be so desperate to give a huge position of this company at a discount rate to some venture capitalist? Please explain (to the individual making these dumb statements).
Agree. If anyone thinks that this price drop this week is not being manipulated, I have a bridge to nowhere for sale. There is no reason whatsoever that it should be sold (or should I say dumped) this week based on the news and earnings report. So it is obvious it is being manipulated by day traders trying to make a quick buck on the run up this stock experienced. Get a big enough group, and it's easy to manipulate a small cap stock like this.
When will you people realize that charts are useless. It's like looking at the results of the roulette table on the electronic screen and thinking it will help your bet. Is it a science? Will charts work every single time? If not, you are just fooling yourself with the chart data. What does prior movement have to do with future movement? Please explain.
Exactly!!! Show us the proof. Screen shot of trades please.
People don't realize that shorts and day traders can't make a dollar if people don't sell and play along with them. Don't panic sell, you are just giving away your money to day traders. What pisses me off with these day traders is that they are screwing the company out of much needed capital to invest. They are making their money off people who are not professional investors, people that heard of the company and believe in it enough to invest in it. This is where they are taking the money from. They cause these people to panic and lose their money. Taking away a long position just to make a quick dollar(basically stealing through manipulation). Don't get scared and give your money away to these punks. This is a gem. Hold it tight.
Oh for sure. The problem is that they made it so obvious that they scared people away. Volume is crap right now. Why can't these people stick to investing instead of trying to scam their way to profits. Hate these type.
Terrible job of manipulation. So easy to spot, it's not even funny.
Total bs. I was watching the asking price drop almost 10% in less than 30 seconds. Someone is playing with the price. That is some really questionable movement.
Wtf was that? Someone just dropped the price on purpose.
In for close to 50,000 shares. Will apply more to my position in the coming weeks/months if management keeps hitting all their goals. I'm still trying my damn hardest to find something wrong with this company because it seems too good to be true. But hey, the fundamentals say it's a great buy!
have you looked at how much dilution is sitting on the BS in the form of warrants? That's what is scary. I'm really trying to get a feel for this stock. I believe in it, but it is still scary.
Insider trading is simply making money on insider information in a publicly traded company. So purchasing shares right before you know that news will be released is called insider trading. So I'm guessing no significant news this week, or this guy is going down for insider trading if he cashes out on news.
Do you guys think the buying of stock is bad short term? If he bought today and it flies up this week on news, wouldn't that be insider trading?
Cali law? Can you go into more details explaining your post
Thank you for the great write up. Really liking this company.
Besides the insider sales, the only other thing I see as a negative are the amount of shares outstanding. Nothing really to worry about? I don't see any posts talking about it, so I'm guessing no one is concerned.
