If you want to know more about the issue then read Maddogs, Ninja and lowmans postings going back the last 4 weeks, but at the end of the day, it is all resolved now anyway, not in the best interest of either us the shareholders and I am sure management feel the same way as well. However given the circumstances that CTGI were in, I am sure that this was the best Don could do, so we have protected our core assets which was the most important, but have also got Mr Greenblatt as a significant shareholder, MAN!! my stomach still turns when I think about that, it must have been really hard for Don to swallow that as well. I will now try to put that thought behind me and just focus on the good things that will come down the road from here. LTC and CCTI still holds a lot of value, and I am going to stick around to benefit from that.

We have filed a complaint against Gordon Allison, our former executive vice president, seeking unspecified damages in connection with claims based upon fraudulent statements, breach of fiduciary duty and promissory estoppel with respect to our investments in certain projects in which we were involved through actions of Mr. Allison. Mr. Allison has filed a counterclaim seeking damages of approximately $328,041 principal and interest for amounts allegedly due under the terms of a November 5, 2003 promissory note issued to him by us, unpaid salary of $150,000, unspecified payment for services rendered, reimbursement of expenses estimated at $23,000 and punitive damages in an unspecified amount. The litigation is in the discovery stage, and we believe the counterclaim is without merit and we are vigorously defending the counterclaim.

You might be here due to my post about CTGI on the IMGG board, so I will try to shed a little light on the legal issue that has been going on here. It all started back in Mobile, Alabama in 2002(see below from their 10K) RTC was responsible for the gas gathering system to the CO2 separator. CTGI claimed that this gathering system was never leak proof, and therefore let O2 into the pipe work, which the CO2 separator could not remove without some further equipment to be installed. Below are some snippets from the 10K filed over the years, where it is all explained in more details, the various corperations mentioned are all affiliated with Leon Greenblatt. I am not sure how Gordon W. Alison fits into all this, but I think that he was somehow connected to Leon Greenblatt as well IMHO. I think he might have been the one introducing RTC to CTGI. Check my next post where I have copied from another 10K.
The carbon dioxide separator equipment has been installed at the Chastang landfill in Mobile, Alabama since 2002, which landfill is owned by the city of Mobile but operated by Waste Management Inc. and Transamerican Waste Industries Inc. An agreement between Transamerican Waste Industries Inc. and Resource Technology Corporation (RTC) gave RTC the sole and exclusive right to collect, extract and remove landfill gas from the property. At this time, RTC contracted with the Company to extract the methane gas. Accordingly, the Company installed the carbon dioxide separator at the landfill in 2002 and 2003. Waste Management Inc. asserted that the carbon dioxide equipment produced methane gas that failed to meet Mobile Gas quality specifications. As a result and as noted in Note 9 , Litigation, a legal dispute ensued as well as RTC filing bankruptcy.
ITEM 3. LEGAL PROCEEDINGS.
The registrant ("CSMG") was sued on February 10, 2005 by Banco Panamericano, Inc. in the Circuit Court of Cook County, Illinois Banco Panamericano, Inc. v. Consortium Service Management Group, Inc. and CSMG Gastech LLC, Case No.2005L001514. The complaint alleges that CSMG entered into a short-term promissory note dated February 15, 2002 ("the Note") by which CSMG

borrowed from Banco Panamericano $203,800 at 12% interest, the Note being due April 1, 2002. The complaint alleges that the Note was secured by all of CSMG's equipment, inventory, accounts, general intangibles and other properties. The complaint alleges that the Note is in default and that CSMG owed Banco Panamericano $514,920 as of February 9, 2005.
CSMG alleges as follows with regard to the allegations of Banco Panamericano:
o Banco Panamericano is not a bank but a Nebraska corporation that is affiliated with Resource Technologies Corporation ("RTC"), a company that is a debtor in a federal chapter 11 reorganization case.
o CSMG and RTC had entered into a contract ("the Contract") whereby CSMG would provide equipment ("The Equipment"), at CSMG's cost, to filter landfill gas from a landfill operated by RTC located in Alabama so as to provide marketable methane gas. Among RTC's obligations under the Contract was a commitment to provide a pipeline hookup to the purchaser of the gas. CSMG and RTC would share in the proceeds from the sale of the methane gas.
o CSMG lacked the funds to perform its obligations under the Contract. RTC got its affiliate, Banco Panamericano, to agree to lend CSMG $203,800 to enable CSMG to meet these obligations. It was understood by CSMG, RTC and Banco Panamericano that CSMG would liquidate the Note from its share of the proceeds of sale of the methane gas.
o CSMG installed the Equipment. But RTC never performed its obligations under the Contract. And Banco Panamericano never loaned any funds to CSMG. Rather, Banco Panamericano advised CSMG, from time to time, that CSMG had incurred several indistinctly-described financial obligations to RTC and that Banco Panamericano had advanced the funds subject to the Note to its affiliate, RTC, to cover such obligations. Such allegations of CSMG indebtedness to RTC were not true.
o The intention of RTC and Banco Panamericano from the beginning was to get CSMG to execute the Note - secured by the Equipment, to cause the Note to go into default, and to obtain title to the Equipment through the rights of a secured creditor.
CSMG believes that it, not the plaintiff, is the injured party and that this litigation properly belongs in RTC's chapter 11 proceedings in the federal bankruptcy court.
On March 2, 2005, the case was removed from the Circuit Court of Cook County, Illinois to the Federal District Court for the Northern District of Illinois. CSMG filed its Motion to have the proceeding referred to the United States Bankruptcy Court for the Northern District of Illinois where the bankruptcy proceeding of RTC continues to pend. The Federal District Court referred the proceeding to the United States Bankruptcy Court on December 6, 2005.
The registrant ("CSMG") was sued on September 6, 2005 by Nature Coast Collections, Inc. in the Circuit Court for Hillsborough County, Florida, Nature Coast Collections, Inc. v. Consortium Service Management Group, Inc., Donald S. Robbins and Gordon W. Allison, Case No. 05-7894. The complaint alleges that

Nature Coast Collections, Inc. is the assignee of the original payee, Stonegate Management, ltd., a Costa Rican entity, of four promissory notes executed by CSMG, Donald S. Robbins, as guarantor and Gordon W. Allison as guarantor. The amount claims in the suit is the aggregate principal sum of $630,000, with interest, costs, and attorney fees.
CSMG had the proceeding removed to the Federal District Court for the Middle District of Florida. CSMG has subsequently filed its motion to dismiss the proceedings for lack of jurisdiction in Florida. This motion to dismiss remains pending.
Very interesting question, that would be like a match made in heaven.

That is exactly the thoughts that I have in my head right now. Damn just can't believe how some evil people always come out smelling like roses. whereas the rest of us that always try to do the right thing has to be punished like this. I do know that CTGI will make it in the end, the shear determination of management over the last 8 Months just proves that, however it is going to leave a bittersweet taste in the mouth when it happens, knowing that Greenblatt will then also win.

I hear you and he probably did put a clause in, however it was a huge blow for me today to see a slime ball like Greenblatt getting rewarded in this way. I just can't stomach the fact that the one single guy who has been solely responsible for so much damage to CTGI is now becoming the second biggest shareholder. That just makes me sick to my stomach, if it wasn't for him we would have already taken off with the Dupont deal, and probably be in anywhere from $5-10 per share by now. Back then I had 1 mill+ shares but have had to sell a lot in the last year due to losing my job, so please understand my anger and frustration in seeing this 8K.

OT. Here is another stock worth a look IMHO. CTGI, Also in the medical equipment industry, they have an FDA approved tissue welding generator, which welds tissue together instead of stitching, sutures or glue, leaving the patient with no visible scars to the naked eye after a few Months. Would save hospitals a small fortune if they decided to adopt this technology. Only 45 mil shares outstanding and insider ownership of 20% +. All bought in the open market. Stock is currently trading at multi years low (0.25)due to a legal issue going back years, with an individual named Leon Greenblatt (please Google him and make up your own mind about his character) This issue placed an injunction against the company, and they have therefore not filed their last 2 quarterly reports (all other financial reports going 15 years back have been filed) They are currently in settlement negotiations with him or his layer, and if the outcome is favourable to CTGI then it could make quite a big move from it’s current trading range.

I am with one of my friends right now, and he has an order in to buy 70000 CTGI up til 0.125, but looking at ameritrade the ask price is 0.12, and his order has only filled 15000 so far.

Does anyone know the ask price, according to ameritrade it is 0.10, however I have had a buy order in since the morning for 4000 shares at 0.10 limit, without getting a fill.

I personally think that it is the company selling shares, we are getting close to the end of the month and there is salaries to pay. I am not worried about it, it is just the name of the game at the moment until they get some funding of a kind, either a loan or some kind of capital injection. I still believe that Don will pull of somekind of deal, he has worked to hard for to long to just let this go down the drain, also him and the board have invested a lot here so they will pull out all the stops to keep the company going IMHO.

Yes normally when an OTC company talks about a reverse split I run for the hill, however with this company not only do I think it is nessesary, I think it will be very positive as well, and as long as the market cap dosen't change then it is very ok with me. Furthermore I think this company has the right technology at the right time for multi year growth.

Yes a very nice move, I am a member Of breakthrough technology one of the news letters from Agora financial, They came out with a report about it Monday evening, and I fully believe this report is the reason for the move, as other stocks have made similar moves after being mentioned by them. I myself have followed THPW for the last 1.5 Year but haven't taken a position yet.

Well looking at the the insiders and Institutions they hold almost 85% of OS, and a short position of 2 Mill, I think we have room to grow if they come with some decent numbers for this quarter, I am quite surprised that TRGL is trading this low, even though they have had a lot of problems in the last year.
